Common use of Legal Prohibition Clause in Contracts

Legal Prohibition. On the Closing Date, no injunction or order shall be in effect prohibiting consummation of the transactions contemplated hereby or which would make the consummation of such transactions unlawful and no action or proceeding shall have been instituted and remain pending before a Governmental Entity to restrain or prohibit the transactions contem plated by this Agreement and no adverse decision shall have been made by any such Governmental Entity which could materially and adversely affect the Business. No federal, state or local statute, rule or regulation shall have been enacted the effect of which would be to prohibit, restrict, impair or delay the consummation of the transactions contemplated hereby or restrict or impair the ability of the Purchaser to own or conduct the business of the Business.

No federal, state or local statute, rule or regulation Law shall have been enacted the effect of which would be to prohibit, restrict, impair or delay the consummation of the Merger or the other transactions contemplated hereby or restrict or impair the ability of the Purchaser to own the Company or the Company to own or conduct the business of the Businessits business.
