Legality, etc. No change shall have occurred after December 12, ------------- 1996 in Governmental Rules that, in the reasonable opinion of the Pass Through Trustee, would make it illegal or unduly burdensome for the Trust Company, the Resident Trustee, the Owner Trust, the Charterer, the Guarantor, the Indenture Trustee, the Pass Through Trustee in its individual capacity or any Participant to participate in any of the transactions contemplated by the Operative Documents to be consummated on the Closing Date.
