Common use of Legally Required Disclosure Clause in Contracts

Legally Required Disclosure. In the event either Party is required to disclose, pursuant to a judicial order, a requirement of a governmental agency or by operation of law, any Confidential Information provided to it by the other Party then such Party shall provide the other Party written notice of any such requirement immediately after learning of any such requirement, and take commercially reasonable measures at the other Party’s expense to avoid or limit disclosure under such requirements and to obtain confidential treatment or a protective order and allow the other Party to participate in the proceeding.

Legally Required Disclosure. In Notwithstanding the event either Party foregoing, each party shall have the right to disclose the other party’s Confidential Information and the terms and conditions of this Agreement to the extent such disclosure is required to disclose, pursuant to a judicial order, a requirement of a governmental agency or by operation of law, any Confidential Information applicable laws and regulations; provided to it by that such party shall promptly notify the other Party then party of such Party shall provide legally required disclosure and reasonably cooperate with the other Party written notice of any such requirement immediately after learning of any such requirement, and take commercially reasonable measures at the other Party’s expense to avoid or limit disclosure under such requirements and party to obtain confidential treatment or a protective order and allow limiting or restricting the other Party to participate in the proceedingrequired disclosure.

In the event either that any Party is requested by any Governmental Authority or becomes legally required (including without limitation, pursuant to securities laws and regulations) to disclose, pursuant to a judicial order, a requirement of a governmental agency or by operation of lawunder applicable Laws, any Confidential Information provided to it by in contravention of the other Party then provisions of this Section 8, such Party (the “Disclosing Party”) shall provide the other Party Parties hereto with prompt written notice of any such requirement immediately after learning of any such requirement, that fact and take commercially reasonable measures at shall consult with the other Party’s expense to avoid or limit disclosure under Parties hereto regarding such requirements and to obtain confidential treatment or a protective order and allow the other Party to participate in the proceedingdisclosure.

Legally Required Disclosure. In the event either If a Party is legally required to disclose(by interrogatories, pursuant to a judicial requests for information or documents, subpoena, court order, a requirement of a governmental agency civil investigative demand or by operation of law, other legal process) to disclosure any Confidential Information provided to it by the other Party then in a manner that is not otherwise permitted hereunder, such Party shall will provide the other Party written with prompt notice of any such requirement immediately after learning of any such requirement, and take commercially reasonable measures at the other Party’s expense to avoid or limit disclosure under such requirements and to obtain confidential treatment or a protective order and allow so that the other Party may seek an appropriate protective order. The Parties will cooperate with one another to participate obtain such protective order. All references to a Party in the proceedingthis Section shall be deemed to include such Party's Representatives.
