Common use of Lender Elections to Extend Clause in Contracts

Lender Elections to Extend. Each Lender, acting in its sole and individual discretion, shall, by notice to the Administrative Agent given not earlier than 30 days prior to the Existing Termination Date and not later than the date (the "Notice Date") that is 20 days prior to the Existing Termination Date, advise the Administrative Agent whether or not such Lender agrees to such extension and each Lender that determines not to so extend its Commitment Termination Date (a "Non-Extending Lender") shall notify the Administrative Agent of such fact promptly after such determination (but in any event no later than the Notice Date) and any Lender that does not so advise the Administrative Agent on or before the Notice Date shall be deemed to be a Non-Extending Lender. The election of any Lender to agree to such extension shall not obligate any other Lender to so agree.

The election of any Lender to agree to such extension shall not obligate any other Lender to so agree.

Lender Elections to Extend. The election of any Lender to agree to such extension shall not obligate any other Lender to so agree.

The election of any Lender to agree to such extension shall not obligate any other Lender to so agree.

Each LenderLender under the applicable Facility, acting in its sole and individual discretion, shall, by notice to the Administrative Agent given not earlier than 30 days prior to the Existing Termination Maturity Date and not later than the date (the "“Notice Date"”) that is 20 days prior to the Existing Termination Maturity Date, advise the Administrative Agent whether or not such Lender agrees to such extension (and each Lender that determines not to so extend its Commitment Termination Maturity Date (a "“Non-Extending Lender"”) shall notify the Administrative Agent of such fact promptly after such determination (but in any event no later than the Notice Date) and any Lender that does not so advise the Administrative Agent on or before the Notice Date shall be deemed to be a Non-Extending Lender. The election of any Lender to agree to such extension shall not obligate any other Lender under the applicable Facility to so agree.

Each LenderLender under the applicable Facility, acting in its sole and individual discretion, shall, by notice to the Administrative Agent given not earlier than 30 days prior to the Existing Termination Maturity Date and not later than the date (the "“Notice Date"”) that is 20 days 10 Business Days prior to the Existing Termination Maturity Date, advise the Administrative Agent whether or not such Lender agrees to such extension (and each Lender that determines not to so extend its Commitment Termination Maturity Date (a "“Non-Extending Lender"”) shall notify the Administrative Agent of such fact promptly after such determination (but in any event no later than the Notice Date) and any Lender that does not so advise the Administrative Agent on or before the Notice Date shall be deemed to be a Non-Extending Lender. The election of any Lender to agree to such extension shall not obligate any other Lender under the applicable Facility to so agree.

The election of any Lender to agree to such extension shall not obligate any other Lender to so agree.

Lender Elections to Extend. The election of any Lender to agree to such extension shall not obligate any other Lender to so agree.

Lender Elections to Extend. Each Dollar Lender and/or Multicurrency Lender, as the case may be, acting in its sole and individual discretion, shall, by notice to the Administrative Agent Agent, given not earlier than 30 days prior to the Existing Termination Date and not later than the date (the "“Notice Date"”) that is 20 days prior to the Existing Termination applicable Subject Anniversary Date, advise the Administrative Agent whether or not such Lender agrees to such extension and each Lender that determines not to so extend its Commitment Termination the Maturity Date of the Dollar Tranche and/or the Multicurrency Tranche, as the case may be (a "“Non-Extending Lender"”) shall notify the Administrative Agent of such fact promptly after such determination (but in any event no later than the Notice Date) and any Lender that does not so advise the Administrative Agent on or before the Notice Date shall be deemed to be a Non-Extending Lender. The election of any such Lender to agree to such extension shall not obligate any other Lender to so agree.

The election of any Lender to agree to such extension shall not obligate any other Lender to so agree.

Each Lender, acting in its sole and individual discretion, shall, by notice to the Administrative Agent given not earlier than 30 days prior to the Existing Termination Date and not later than the date (the "“Notice Date"”) that is 20 30 days prior to the Existing Termination Date, advise the Administrative Agent whether or not such Lender agrees to such extension and each extension. Each Lender, acting in its sole and individual discretion, shall, by notice to the Administrative Agent given not earlier than 30 days prior to the Existing Scheduled Termination Date and not later than the date (the "“Notice Date"”) that is 20 days prior to the Existing Scheduled Termination Date, advise the Administrative Agent whether or not such Lender agrees to such extension (and each Lender that determines not to so extend its Commitment Scheduled Termination Date (a "“Non-Extending Lender"”) shall notify the Administrative Agent of such fact promptly after such determination (but in any event no later than the Notice Date) and any Lender that does not so advise the Administrative Agent on or before the Notice Date shall be deemed to be a Non-Extending Lender. The election of any Lender to agree to such extension shall not obligate any other Lender to so agree.

The election of any Lender to agree to such extension or extensions shall not obligate any other Lender to so agree.

Each Lender, acting in its sole and individual discretion, shall, by notice to the Administrative Agent given not earlier than 30 days prior to the Existing Termination Date and not later than the date (the "“Notice Date"”) that is 20 set forth in the Extension Request, which shall not be less than 10 days prior to after the Existing Termination Datedate of the Extension Request, advise the Administrative Agent whether or not such Lender agrees to such extension (and each Lender that determines not to so extend the term of its Commitment Termination Date (a "“Non-Extending Lender"”) shall notify the Administrative Agent of such fact promptly after such determination (but in any event no later than the Notice Date) and any Lender that does not so advise the Administrative Agent on or before the Notice Date shall be deemed to be a Non-Extending Lender. The election of any Lender to agree to such extension shall not obligate any other Lender to so agree.

The election of any Lender to agree to such extension shall not obligate any other Lender to so agree.

The election of any Lender to agree to such extension shall not obligate any other Lender to so agree.

The election of any Lender to agree to such extension shall not obligate any other Lender to so agree.

Each Lender, acting in its sole and individual discretion, shall, by notice notice, in writing, to the Administrative Agent given not earlier than 30 days prior to the Existing Termination Anniversary Date and not later than the date (the "“Notice Date"”) that is 20 days prior to the Existing Termination Anniversary Date, advise the Administrative Agent whether or not such Lender agrees to such extension (and each Lender that determines not to so extend its Commitment Termination Maturity Date (a "“Non-Extending Lender"”) shall notify the Administrative Agent of such fact promptly after such determination (but in any event no later than the Notice Date) and any Lender that does not so advise the Administrative Agent on or before the Notice Date shall be deemed to be a Non-Extending Lender. The election of any Lender to agree to such extension shall not obligate any other Lender to so agreeagree and any Non-Extending Lender shall have its commitment terminated on the then Existing Maturity Date (without regard to any extensions by other Lenders).

Each Lender, acting in its sole and individual discretion, shall, by notice to the Administrative Agent given not earlier than 30 days prior to the Existing Termination Date and not later than the date (the "“Notice Date"”) that is 20 days prior to fifteen (15) Business Days from the date which such Lender received notice from the Administrative Agent of the Borrower’s request for an extension of the Existing Termination Date, advise the Administrative Agent whether or not such Lender agrees to such extension and each extension. Each Lender that determines not to so extend its Commitment Termination Date (a "Non-“Non Extending Lender"”) shall notify the Administrative Agent of such fact promptly after such determination (but in any event no later than the Notice Date) ), and any Lender that does not so advise the Administrative Agent on or before the Notice Date shall be deemed to be a Non-Non Extending Lender. The election of any Lender to agree to such extension shall not obligate any other Lender to so agree.

Each Lender, acting in its sole and individual discretion, shall, by written notice to the Administrative Agent given not earlier than 30 days prior to the Existing Termination applicable Anniversary Date and not later than the date (the "“Notice Date"”) that is 20 days prior to the Existing Termination applicable Anniversary Date, advise the Administrative Agent whether or not such Lender agrees to such extension (and each Lender that determines not to so extend its Commitment Termination Expiration Date (a "“Non-Extending Lender"”) shall notify the Administrative Agent in writing of such fact promptly after such determination (but in any event no later than the Notice Date) and any Lender that does not so advise the Administrative Agent on or before the Notice Date shall be deemed to be a Non-Extending Lender. The election of any Lender to agree to such extension shall not obligate any other Lender to so agree.. (c)

Lender Elections to Extend. Each Lender, acting in its sole and individual discretion, shall, by notice to the Administrative Agent given not earlier than 30 days prior to the Existing Termination Date and not later than the date (the "“Notice Date"”) that is 20 days prior to the Existing Termination Dateapplicable anniversary date prior to which the Borrower has given notice of an Extension Request, advise the Administrative Agent whether or not such Lender agrees to such extension (and each Lender that determines not to so extend its Commitment Termination Maturity Date (a "Non-Extending “Declining Lender"”) shall notify the Administrative Agent of such fact promptly after such determination (but in any event no later than the Notice Date)) and any Lender that does not so advise the Administrative Agent on or before the Notice Date shall be deemed to be a Non-Extending Declining Lender. The election of any Lender to agree to such extension shall not obligate any other Lender to so agree.

The election of any Lender to agree to such extension shall not obligate any other Lender to so agree.

Each Lender, acting in its sole and individual discretion, shall, by notice to the Administrative Agent given not earlier than 30 days prior to the Existing Termination applicable anniversary of the Effective Date and not later than the date (the "“Notice Date"”) that is 20 days prior to the Existing Termination applicable anniversary of the Effective Date, advise the Administrative Agent whether or not such Lender Xxxxxx agrees to such extension (and each Lender that determines not to so extend its Commitment Termination Date (Maturity Date, a "“Non-Extending Lender"”) shall notify the Administrative Agent of such fact promptly after such determination (but in any event no later than the Notice Date) and any Lender that does not so advise the Administrative Agent on or before the Notice Date shall be deemed to be a Non-Extending Lender. The election of any Lender to agree to such extension shall not obligate any other Lender to so agree.
