Common use of Lessee's Indemnity Clause in Contracts

Lessee's Indemnity. To the fullest extent permitted by law, Lessee shall defend, indemnify and hold harmless Lessor, its agents and any and all affiliates of Lessor, including, without limitation, its members, co-venturers, corporations or other entities controlling, controlled by or under common control with Lessor, from and against any and all claims or liabilities arising either before or after the Commencement Date from Lessee's use or occupancy of the Premises, the Building, or from the conduct of its business, or from any activity, work or thing done, permitted or suffered by Lessee or its agents, employees, invitees or licensees in or about the Premises, the Building, or from any default in the performance of any obligation on Lessee's part to be performed under this Lease, or from any act or negligence of Lessee or its agents, employees, visitors, patrons, guests, invitees or licensees. In case Lessor, its agent or affiliates are made a party to any litigation commenced by or against Lessee (relating to Lessee's use and occupancy xx Xxemises), then Lessee shall protect and hold Lessor harmless and shall pay all costs, expenses and attorneys' fees incurred or paid by Lessor in connection with the litigation. Lessor may, at its option, require Lessee to assume Lessor's defense in any acxxxx xovered by this Section through counsel satisfactory to Lessor.

In case Lessor, its agent or affiliates are made a party part to any litigation commenced by or against Lessee (relating to Lessee's use and occupancy xx Xxemises), then Lessee shall protect and hold Lessor harmless and shall pay all costs, expenses and reasonable attorneys' fees incurred or paid by Lessor in connection with the litigation. Lessor may, at its option, require Lessee to assume Lessor's defense in any acxxxx xovered action covered by this Section through counsel satisfactory to Lessor.
