Common use of Liability Cap Clause in Contracts

Liability Cap. Subject to clause 7.1, a Party’s maximum aggregate liability under or in connection with this Agreement (whether in contract, tort (including negligence), breach of statutory duty, indemnity or otherwise) shall be limited in respect of any breach of its obligations herein to €1,000,000 (one million Euro) in aggregate; and

Subject to clause 7.1Clause 13.3, the maximum liability of a Party’s maximum aggregate liability under or in connection with this Agreement (party for all claims whether in contract, tort (including negligence), breach of statutory dutyduty or otherwise made against such party by the other party under or in connection with this Agreement in a year will not exceed the greater of: (a) the aggregate Partner Commission in the preceding calendar year up to EUR 1,000,000, indemnity or otherwiseand (b) shall be limited in respect of any breach of its obligations herein to €1,000,000 (one million Euro) in aggregate; andEUR 100,000.

Subject to clause 7.113.2, a Party’s the maximum aggregate liability of each party to the other under or in connection with this Agreement (Contract, whether in arising from contract, tort (including negligence), breach of statutory duty, indemnity any liability for any negligent acts or otherwiseomissions) or otherwise howsoever arising shall be limited to the sums paid or payable under this Contract in respect of any breach of its obligations herein to €1,000,000 (one million Euro) in aggregate; andthe Initial Term.
