Common use of Liability for Returns Clause in Contracts

Liability for Returns. Subject to the terms of this Agreement, the Investment Advisory Agreement and applicable law and regulation, none of the liquidator, the Directors, the Officers, the Investment Adviser and their respective partners, members, stockholders, officers, directors, managers, employees, agents and Affiliates shall be personally liable to any Member for the return of the capital contributions of any Member.
