Liability of Members to Each Other. A Member or Manager who breaches any provision of this Agreement shall be liable to each other Member and to the Company for any loss, damage or expense arising, directly or indirectly, as a result of the breaching Member's or Manager's (i) willful breach of any provision of this Agreement (including but not limited to any actual or attempted transfer of any portion of a Membership Interest other than as permitted under the terms hereof), (ii) commission of any act which subjects any Member or Manager to liability of any debt, obligation or liability of the Company as if he were a general partner in any jurisdiction or to any other liability except as provided for in this Agreement or under the Act or (iii) commission of any act which results in the taxation of the Company for federal income tax purposes as an association taxable as a corporation.
