A Member definition
A Member s Capital Account shall be increased by:
(a) such Member's share of Net Income;
(b) any income or gain specially allocated to a Member and not included in Net Income or Net Loss;
(c) any additional cash Capital Contribution made by such Member to the Company; and
(d) the fair market value of any additional Capital Contribution consisting of property contributed by such Member to the capital of the Company reduced by any liabilities assumed by the Company in connection with such contribution or to which the property is subject.
A Member or former Member who has directed the Trustee to tender some or all of the shares of the Sponsor Stock credited to the Member's or former Member's Accounts may, at any time prior to the tender offer withdrawal date, direct the Trustee to withdraw some or all of the tendered shares, and the Trustee shall withdraw the directed number of shares from the tender offer prior to the tender offer withdrawal deadline. Prior to the withdrawal deadline, if any shares of the Sponsor Stock not credited to Members' or former Members' Accounts have been tendered, the Trustee shall redetermine the number of shares of the Sponsor Stock that would be tendered under this Section if the date of the foregoing withdrawal were the date of determination, and withdraw from the tender offer the number of shares of the Sponsor Stock not credited to Members' or former Members' Accounts necessary to reduce the amount of tendered Sponsor Stock not credited to Members' or former Members' Accounts to the amount so redetermined. A Member or former Member shall not be limited as to the number of directions to tender or withdraw that the Member or former Member may give to the Trustee. A direction by a Member or former Member to the Trustee to tender shares of the Sponsor Stock reflecting the Member's or former Member's proportional interest in the Sponsor Stock held in the Trust shall not be considered a written election under the Plan by the Member or former Member to withdraw, or have distributed, any or all of his withdrawable shares. The Trustee shall credit to each proportional interest of the Member or former Member from which the tendered shares were taken the proceeds received by the Trustee in exchange for the shares of the Sponsor Stock tendered from that interest.

A Member s Interest or an Economic Interest may be transferred or assigned only as provided in this Agreement.

A Member s personnel file shall contain data pertaining to the Member's personal employment history including but not limited to academic records, employment records, evaluations by the Xxxx and Associate Deans, authorized student evaluations, disciplinary documents, salary documents and correspondence relating to a Member's terms and conditions of employment.

8.3.3 the Managers shall promptly furnish to the requesting Member (i) a copy of any amendment to the Certificate of Formation or this Agreement pursuant to a power of attorney from the Members provided in Section 5.5.1, and (ii) a copy of this Agreement, at the expense of the Company, upon the reasonable request of the Member for a purpose reasonably related to the interest of the Member in the Company; and
8.3.4 unless otherwise provided in this Agreement, a Member shall reimburse the Company for all costs and expenses incurred by the Company in connection with the Member's inspection and copying of the Company's books and records.
