Each party warrants and undertakes that: it has the capacity and full legal authority to enter into this Agreement; this Agreement has been executed by its duly authorised representative; the making of this Agreement does not conflict with any of its existing obligations; and, once signed, this Agreement shall constitute its legal, valid and binding obligations.
