Common use of Licence compliance Clause in Contracts

Licence compliance. HP may audit Customer compliance with the software licence terms. HP may conduct an audit during normal business hours on reasonable notice (with the auditor’s costs being at HP’s expense). If an audit reveals underpayments then Customer must pay to HP such underpayments. If underpayments discovered exceed five (5) per cent of the contract price, Customer must reimburse HP for the auditor costs.
