Common use of LICENCES AND CONSENTS Clause in Contracts

LICENCES AND CONSENTS. Each of the Group Members has obtained all licences, permissions, authorisations and consents required to own and operate its assets and for the proper carrying on of its business (full details of which are set out in the Disclosure Letter). All such licences, permissions, authorisations and consents are in full force and effect, have been obtained on a permanent and unconditional basis and none of the Group Members are in breach of any of the terms and conditions attached to those licences, permissions, authorisations and consents. To the best knowledge of the Vendor, there are no circumstances which indicate that any of such licences, permissions, authorisations or consents may be revoked or not renewed in the ordinary course of events nor are there any circumstances which indicate that equivalent licences, permissions, authorisations or consents on no less favourable terms would not be granted to the Group Members following the acquisition of the Shares by the Purchaser.
