LICENCES AND CONSENTS. 8.1.1 Each Group Company has obtained, holds and maintains all material licences, permits, consents, registrations and authorisations necessary to conduct the Business (as conducted immediately prior to the Reorganisation) or necessary to own or operate the assets required to conduct the Business (as conducted immediately prior to the Reorganisation) (collectively, the “Business Licences”). 8.1.2 Each Group Company is (and during the three years prior to the date of this Agreement has been), and the Business is operated (and during the three years prior to the date of this Agreement has been operated), in material compliance with all Business Licences. 8.1.3 In the past three years, no written notification has been received by any member of the Seller’s Group nor, so far as the Seller is aware, any officer or employee of any member of the Seller’s Group, that indicates that any Business Licence is likely to be suspended, modified or revoked or will likely not be extended, renewed or, where necessary, transferred. So far as the Seller is aware, no facts or circumstances exist which may result in the termination, revocation, suspension or modification of any Business Licence or that may prejudice the extension, renewal or, where necessary, transfer of any Business Licence.
