License Issue Fees. In consideration of full payment for the obligations of the previous set of three license agreements, which shall be replaced by this AGREEMENT, LICENSEE shall pay to LICENSOR ***. Such consideration is already deemed earned and immediately payable.
License Issue Fees. Upon execution of this Agreement, Licensee shall be obligated to pay Licensor the sum of Five Hundred Thousand Dollars ($500,000), in partial consideration for the rights granted to Licensee under this Agreement. Such payment may be made, at the election of Licensee, either (a) in cash on the date of this Agreement, or (b) in fully paid and nonassessable shares of such equity security of Licensee as are issued in the next Qualified Financing (as defined below), at the price paid by the investors in such Qualified Financing and issued on the closing date of such Qualified Financing. 4.1 (b), Licensor shall be entitled to the same rights provided in the purchase agreement and related agreements entered into with respect to the Qualified Financing. For the purpose of this Section 4, a "Qualified Financing" means an equity financing in the amount of at least **, of which no less than ** is purchased by investors who were not previously shareholders (or related to previous shareholders) of Licensee. If Licensor has not been issued shares in a Qualified Financing by way of payment pursuant to Section 4.1(b) within ** days after the date of this Agreement, then Licensor, at its option and on demand, shall be entitled to immediate payment in cash.

Upon execution of this Agreement, and as a condition precedent to this Agreement, Licensee shall pay Demeter the following three amounts: (a) seven hundred thousand Dollars ($700,000) for the rights to Licensed Patents and Demeter Technology for use in Licensed Plant Products in the Field of Activity; (b) two hundred thousand Dollars ($200,000) for the rights to Demeter Patents and Demeter Technology for use in Formulated Licensed Products; and (c) an additional fifty thousand Dollars ($50,000) for a right of first refusal through October 1, 1998 to obtain an exclusive license to Demeter Nutrition Patents and Technology for applications involving nutrition in plants in accordance with the provisions of Article VI. License Issue Fees. GEN-PROBE paid to PHRI on signing of the Original License a license issue fee of $125,000. GEN-PROBE shall pay to PHRI on signing of this Agreement an amendment issue fee of $75,000.
