License Maintenance. You agree to maintain for Station such licenses, including performing rights licenses as now are or hereafter may be in general use by television broadcasting stations and necessary for you to broadcast the television Programs which we furnish to you hereunder. Network will continue to clear all music in the repertory of ASCAP, SESAC and of BMI used in our Network Programs, thereby licensing the broadcasting of such music in such Programs over Station. You will be responsible for all music license requirements for any commercial or other material inserted by you within or adjacent to our Network Programs in accordance with this Agreement.
License Maintenance. 2.1. For Products which the Client has purchased a Software Perpetual License the client must have paid the relevant License Maintenance Fees for the current period, the third- party vendor or PA will from time to time, provide at no additional charge, a new Public Software Version.
2.2. The charge for any Professional Services associated with the installation and/or upgrading of Products, and the re-application or modification of Customisations, will be based on current standard rates as amended from time to time.
2.3. Failure to renew and pay License Maintenance Fees (a lapse of the License Maintenance entitlement) at least 5 working days before the License Maintenance renewal date constitutes a termination of the License Maintenance entitlement. To reinstate a lapsed License Maintenance entitlement will require the Client to either 1) pay for all License Maintenance Fees not paid during the period of lapse plus a reinstatement fee calculated as 20% of all the lapsed fees plus any additional third-party vendor based fees, or 2) purchase new Perpetual Licenses at current list price.
1. Support entitlement
License Maintenance. In the event Client requires additional third-party software user licensing, Client shall contact such third-party software provider to acquire a new license key. Client shall be responsible for negotiating the terms of such licenses and paying for the increased number of licenses.
License Maintenance. EMPLOYEE shall maintain the appropriate licenses (i.e. other than those licenses required to be held by STATEWIDE) as required by law in the performance of this Agreement, including but not limited to a license with the appropriate state and/or federal agency and proper filing of the MU2 with a unique identifier under the Nationwide Mortgage Licensing System (NMLS). You MUST be licensed and registered with NMLS if you "expect compensation or gain, take a residential mortgage loan application, offer or negotiate terms of a residential mortgage loan application." You must also be licensed in certain states to manage employees of those states. EMPLOYEE recognizes his or her responsibility to be properly licensed.
License Maintenance. FEE Licensee shall pay to University an annual license maintenance fee of $ within ten (10) days after the first anniversary of the Effective Date and each anniversary thereafter during the Term.

1.1 Client receives an allocation of Support Cases as determined in the Order Form.
1.2 Additional Support Packs may be purchased.
1.3 Each Support Case submitted to PA decreases the Current Case Entitlement Balance for Support by one Support Case, unless PA opens a software defect associated with the case. Any Support Case for which a defect is acknowledged and recorded in PA’s defect database will not result in the decrement of Client’s Case Entitlement.
1.4 PA will provide Support services for any Public Software Version of a PA Product for 18 months beginning with the public release date of said version.
1.5 PA will provide Support services for any Public Software Version of a Third-Party Product for as long as the Third-Party Product vendor has agreed to support the said version.
License Maintenance. The Board of Education will pay the license fee for licensed maintenance personnel if the license is a requirement of the position.
License Maintenance. Licensee will use its best efforts to maintain in full force and effect through the Term the License and any associated authorizations for the Leased Channel, and will remain eligible under the FCC Rules to provide Lessee access to the Leased Channel. Neither Party will commit any act, engage in any activity, or fail to take any action that could reasonably be expected to cause the FCC to impair, revoke, cancel, suspend or refuse to renew the License. Licensee and Lessee shall take all other actions reasonably necessary to maintain the License in full force and effect, free from any claims, liabilities, liens or encumbrances, and continuing to authorize operation of the Channels in the Geographic Service Area of the License as of the Effective Date. Lessee’s operations on the Leased Channel and activities pursuant to the License shall be conducted in compliance with all FCC Rules and subject to the control of Licensee as mandated by Section 1.9020 of the FCC’s Rules. No person or third party shall be afforded any right, title or interest in or claims to the License, or the rights granted by this Agreement except as specifically provided herein. Lessee may not sublease or authorize any third-party use of the Leased Channel. Licensee and Lessee shall take such reasonable action, and shall reasonably refrain from taking such actions, as are necessary to assure that no condition exists or event occurs, that with or without the lapse of time or the giving of notice, or both, would give rise to any lien, encumbrance, or right of termination, forfeiture, modification, cancellation, prepayment, suspension, limitation, forfeiture, revocation or acceleration against Licensee or with respect to the License or that could have a material, adverse effect on the License or the rights granted by this Agreement. Lessee will continue to operate and maintain such of its existing facilities using the Channels that provide transmission capability in a manner sufficient to satisfy minimum build-out, performance and discontinuance requirements applicable to the License under FCC Rules prevailing at any given time throughout the Term and shall not cease use of the Leased Channel until the expiration of the Term. 1. Support entitlement
1.1 This Appendix only applies where the Client has purchased a Support Services and has paid the annual Support Fees.
1.2 PA will provide Support for any Public Software Version of a PA Product, such Support may cease no less than 18 months beginning with the public release date of any new version.
1.3 PA will provide Support for any Public Software Version of a Third-Party Product for as long as the Third-Party Product vendor has agreed to support the said version.
1.4 As part of PA’s ongoing management of Client account, PA will review Client’s overall engagement with the support team. The objective of the review is to ensure that Client is utilising PA’s services effectively and efficiently. Part of this review will relate to the volume of cases managed in line with Client’s Support Fees value. If it is determined that Client’s volume is above the threshold of reasonable use, PA will work with Client to rectify this imbalance.
