Common use of License Right to Buyer Clause in Contracts

License Right to Buyer. To the extent not otherwise transferred to Buyer pursuant to the Asset Purchase Agreement or this Agreement, with respect to any (i) improvements or inventions covered by Section 5.5(b) above that are necessary to Manufacture the Products in accordance with Product Specifications, or (ii) any Product Specifications, Seller hereby grants, on behalf of itself and its Affiliates (and shall be deemed to have granted) to Buyer, without any further action by Seller or any of Seller’s Affiliates, a fully-paid, non-exclusive, perpetual, sub-licensable, irrevocable, royalty-free license to use such improvements, inventions or Product Specifications solely for the purposes of the Manufacture of the Products.
