Common use of License; Use Clause in Contracts

License; Use. (a) This Appendix I shall govern the Fund’s use of electronic communications, information delivery, portfolio management and banking services, that The Bank of New York Mellon and its affiliates (“Custodian”) may provide to the Fund, such as The Bank of New York Inform ™ and The Bank of New York CA$H-Register Plus®, and any computer software, proprietary data and documentation provided by Custodian to the Fund in connection therewith (collectively, the “Electronic Services”). In the event of any conflict between the terms of this Appendix I and the main body of this Agreement with respect to the Fund’s use of the Electronic Services, the terms of this Appendix I shall control. (b) Custodian grants to the Fund a personal, nontransferable and nonexclusive license to use the Electronic Services to which the Fund subscribes solely for the purpose of transmitting instructions and information (“Written Instructions”), obtaining reports, analyses and statements and other information and data, making inquiries and otherwise communicating with Custodian in connection with the Fund’s relationship with Custodian. The Fund shall use the Electronic Services solely for its own internal and proper business purposes and not in the operation of a service bureau. Except as set forth herein, no license or right of any kind is granted to with respect to the Electronic Services. The Fund acknowledges that Custodian and its suppliers retain and have title and exclusive proprietary rights to the Electronic Services, including any trade secrets or other ideas, concepts, know-how, methodologies, and information incorporated therein and the exclusive rights to any copyrights, trade dress, look and feel, trademarks and patents (including registrations and applications for registration of either), and other legal protections available in respect thereof. The Fund further acknowledges that all or a part of the Electronic Services may be copyrighted or trademarked (or a registration or claim made therefor) by Custodian or its suppliers. The Fund shall not take any action with respect to the Electronic Services inconsistent with the foregoing acknowledgments, nor shall the Fund attempt to decompile, reverse engineer or modify the Electronic Services. The Fund may not copy, distribute, sell, lease or provide, directly or indirectly, the Electronic Services or any portion thereof to any other person or entity without Custodian’s prior written consent. The Fund may not remove any statutory copyright notice or other notice included in the Electronic Services. The Fund shall reproduce any such notice on any reproduction of any portion of the Electronic Services and shall add any statutory copyright notice or other notice upon Custodian’s request. (c) Portions of the Electronic Services may contain, deliver or rely on data supplied by third parties (“Third Party Data”), such as pricing data and indicative data, and services supplied by third parties (“Third Party Services”) such as analytic and accounting services. Third Party Data and Third Party Services supplied hereunder are obtained from sources that Custodian believes to be reliable but are provided without any independent investigation by Custodian. Custodian and its suppliers do not represent or warrant that the Third Party Data or Third Party Services are correct, complete or current. Third Party Data and Third Party Services are proprietary to their suppliers, are provided solely for the Fund’s internal use, and may not be reused, disseminated or redistributed in any form. The Fund shall not use any Third Party Data in any manner that would act as a substitute for obtaining a license for the data directly from the supplier. Third Party Data and Third Party Services should not be used in making any investment decision. CUSTODIAN AND ITS SUPPLIERS ARE NOT RESPONSIBLE FOR ANY RESULTS OBTAINED FROM THE USE OF OR RELIANCE UPON THIRD PARTY DATA OR THIRD PARTY SERVICES. Custodian’s suppliers of Third Party Data and Services are intended third party beneficiaries of this Section 1(c) and Section 5 below. (d) The Fund understands and agrees that any links in the Electronic Services to Internet sites may be to sites sponsored and maintained by third parties. Custodian make no guarantees, representations or warranties concerning the information contained in any third party site (including without limitation that such information is correct, current, complete or free of viruses or other contamination), or any products or services sold through third party sites. All such links to third party Internet sites are provided solely as a convenience to the Fund and the Fund accesses and uses such sites at its own risk. A link in the Electronic Services to a third party site does not constitute Custodian’s endorsement, authorisation or sponsorship of such site or any products and services available from such site.

Custodian and its suppliers do not represent or warrant that the Third Party Data or Third Party Services are correct, complete or current. Third Party Data and Third Party Services are proprietary to their suppliers, are provided solely for the Fund’s 's internal use, and may not be reused, disseminated or redistributed in any form. The Fund shall not use any Third Party Data in any manner that would act as a substitute for obtaining a license for the data directly from the supplier. Third Party Data and Third Party Services should not be used in making any investment decision. CUSTODIAN AND ITS SUPPLIERS ARE NOT RESPONSIBLE FOR ANY RESULTS OBTAINED FROM THE USE OF OR RELIANCE UPON THIRD PARTY DATA OR THIRD PARTY SERVICES. (b) Upon delivery to Customer of System access codes, Custodian grants to the Fund Customer a personal, nontransferable and nonexclusive license to use the Electronic Services to which Software and the Fund subscribes System solely for the purpose of transmitting instructions and information (“Written Instructions”), obtaining receiving reports, analyses and statements and other information and data, making inquiries and or otherwise communicating with Custodian in connection with the Fund’s relationship with CustodianAccount(s). The Fund Customer shall use the Electronic Services Systems solely for its own internal and proper business purposes and not in the operation of a service bureau. Except as set forth herein, no license or right of any kind is granted to Customer with respect to the Electronic ServicesSystems. The Fund Customer acknowledges that Custodian and its suppliers retain and have title and exclusive proprietary rights to the Electronic ServicesSystems, including any trade secrets or other ideas, concepts, know-how, methodologies, and information incorporated therein and the exclusive rights to any copyrights, trade dress, look and feel, trademarks and patents (including registrations and applications for registration of either), and other statutory or legal protections available in respect thereof. The Fund Customer further acknowledges that all or a part of the Electronic Services Systems may be copyrighted or trademarked (or a registration or claim made therefor) by Custodian or its suppliers. The Fund Customer shall not take any action with respect to the Electronic Services Systems inconsistent with the foregoing acknowledgments, nor shall the Fund Customer attempt to decompile, reverse engineer or modify the Electronic ServicesSystem. The Fund Customer may not copy, distribute, sell, lease or provide, directly or indirectly, the Electronic Services Systems or any portion thereof to any other person or entity without Custodian’s prior written consent. The Fund Customer may not remove any statutory copyright notice or other notice included in the Electronic ServicesSystem or on any media containing the Systems or any portion thereof. (c) Portions If Customer subscribes to any database service provided by Custodian in connection with its use of the Electronic Services may containSystems, deliver or rely on data delivery of such database to Customer shall constitute the granting by Custodian to Customer of a non-exclusive, non-transferable license to use such database for so long as this Appendix I is in effect. It is understood and agreed that any database supplied by third parties (“Third Party Data”), such as pricing data and indicative data, and services supplied by third parties (“Third Party Services”) such as analytic and accounting services. Third Party Data and Third Party Services supplied hereunder are obtained Custodian is derived from sources that which Custodian believes to be reliable but Custodian does not, and cannot for the fees charged, guarantee or warrant that the data is correct, complete or current. All such databases are provided as an accommodation by Custodian to its customers and are compiled without any independent investigation by Custodian. However, Custodian will revise each database on a periodic basis as Custodian, in its discretion, deems necessary and its suppliers appropriate. Customer also agrees that Customer will promptly install all updates and revisions to each database which Custodian provides and that Custodian cannot bear any responsibility whatsoever for Customer’s failure to do not represent or warrant that the Third Party Data or Third Party Services are correct, complete or current. Third Party Data and Third Party Services are proprietary to their suppliers, are provided solely for the Fund’s internal use, and may not be reused, disseminated or redistributed in any form. The Fund further acknowledges that all or a part of the Electronic Services may be copyrighted or trademarked (or a registration or claim made therefor) by Custodian or its suppliers. The Fund shall not take any action with respect to the Electronic Services inconsistent with the foregoing acknowledgments, nor shall the Fund attempt to decompile, reverse engineer or modify the Electronic Services. The Fund may not copy, distribute, sell, lease or provide, directly or indirectly, the Electronic Services or any portion thereof to any other person or entity without Custodian’s 's prior written consent. The Fund may not remove any statutory copyright notice or other notice included in the Electronic Services. The Fund shall reproduce any such notice on any reproduction of any portion of the Electronic Services and shall add any statutory copyright notice or other notice upon Custodian’s 's request. (c) Portions of the Electronic Services may contain, deliver or rely on data supplied by third parties (“"Third Party Data”"), such as pricing data and indicative data, and services supplied by third parties (“"Third Party Services”") such as analytic and accounting services. Third Party Data and Third Party Services supplied hereunder are obtained from sources that Custodian believes to be reliable but are provided without any independent investigation by Custodian. Custodian and its suppliers do not represent or warrant that the Third Party Data or Third Party Services are correct, complete or current. Third Party Data and Third Party Services are proprietary to their suppliers, are provided solely for the Fund’s 's internal use, and may not be reused, disseminated or redistributed in any form. The Fund shall not use any Third Party Data in any manner that would act as a substitute for obtaining a license for the data directly from the supplier. Third Party Data and Third Party Services should not be used in making any investment decision. CUSTODIAN AND ITS SUPPLIERS ARE NOT RESPONSIBLE FOR ANY RESULTS OBTAINED FROM THE USE OF OR RELIANCE UPON THIRD PARTY DATA OR THIRD PARTY SERVICES. In the event of any conflict between the terms of this Appendix I and the main body of this Agreement with respect to the FundTrust’s use of the Electronic Services, the terms of this Appendix I shall control. (b) Custodian grants to the Fund Trust a personal, nontransferable and nonexclusive license to use the Electronic Services to which the Fund Trust subscribes solely for the purpose of transmitting instructions and information (“Written Instructions”), obtaining reports, analyses and statements and other information and data, making inquiries and otherwise communicating with Custodian in connection with the FundTrust’s relationship with Custodian. The Fund Trust shall use the Electronic Services solely for its own internal and proper business purposes and not in the operation of a service bureau. The Fund shall use the Electronic Services Systems solely for its own internal and proper business purposes and not in the operation of a service bureau. Except as set forth herein, no license or right of any kind is granted to the Fund with respect to the Electronic ServicesSystems. The Fund acknowledges that Custodian and its suppliers retain and have title and exclusive proprietary rights to the Electronic ServicesSystems, including any trade secrets or other ideas, concepts, know-how, methodologies, and or information incorporated therein and the exclusive rights to any copyrights, trade dress, look and feel, trademarks and patents (including registrations and applications for registration of either), and or other statutory or legal protections available in respect thereof. The Fund further acknowledges that all or a part of the Electronic Services Systems may be copyrighted or trademarked (or a registration or claim made therefor) by Custodian or its suppliers. The Fund shall not take any action with respect to the Electronic Services Systems inconsistent with the foregoing acknowledgments, nor shall the Fund attempt to decompile, reverse engineer or modify the Electronic ServicesSystem. The Fund may not copy, distribute, sell, lease or provide, directly or indirectly, the Electronic Services Systems or any portion thereof to any other person or entity without Custodian’s 's prior written consent. The Fund may not remove any statutory copyright notice or other notice included in the Electronic ServicesSystem or on any media containing the Systems or any portion thereof. The Fund shall reproduce any such notice on any reproduction of any portion of the Electronic Services a System and shall add any statutory copyright notice or other notice to the Systems or media upon Custodian’s 's request. (c) Portions If the Fund subscribes to any database service provided by Custodian in connection with its use of the Electronic Services may containSystems, deliver or rely on data delivery of such database to the Fund shall constitute the granting by Custodian to the Fund of a non-exclusive, non-transferable license to use such database for so long as this Appendix I is in effect. It is understood and agreed that any database supplied by third parties (“Third Party Data”), such as pricing data and indicative data, and services supplied by third parties (“Third Party Services”) such as analytic and accounting services. Third Party Data and Third Party Services supplied hereunder are obtained Custodian is derived from sources that which Custodian believes to be reliable but Custodian does not, and cannot for the fees charged, guarantee or warrant that the data is correct, complete or current. All such databases are provided as an accommodation by Custodian to its customers and are compiled without any independent investigation by Custodian. However, Custodian will endeavor to update and revise each database on a periodic basis as Custodian, in its suppliers do not represent or warrant discretion, deems necessary and appropriate. The Fund also agrees that the Third Party Data or Third Party Services are correct, complete or current. Third Party Data Fund will promptly install all updates and Third Party Services are proprietary revisions to their suppliers, are provided solely each database which Custodian provides and that Custodian cannot bear any responsibility whatsoever for the Fund’s internal use, and may not be reused, disseminated or redistributed in any form. The Fund shall not use any Third Party Data in any manner that would act as a substitute for obtaining a license for the data directly from the supplier. Third Party Data and Third Party Services should not be used in making any investment decision's failure to do so. The Fund Trust further acknowledges that all or a part of the Electronic Services may be copyrighted or trademarked (or a registration or claim made therefor) by Custodian or its suppliers. The Fund Trust shall not take any action with respect to the Electronic Services inconsistent with the foregoing acknowledgments, nor shall the Fund Trust attempt to decompile, reverse engineer or modify the Electronic Services. The Fund Trust may not copy, distribute, sell, lease or provide, directly or indirectly, the Electronic Services or any portion thereof to any other person or entity without Custodian’s prior written consent. The Fund Trust may not remove any statutory copyright notice or other notice included in the Electronic Services. The Fund Trust shall reproduce any such notice on any reproduction of any portion of the Electronic Services and shall add any statutory copyright notice or other notice upon Custodian’s request. (c) Portions of the Electronic Services may contain, deliver or rely on data supplied by third parties (“Third Party Data”), such as pricing data and indicative data, and services supplied by third parties (“Third Party Services”) such as analytic and accounting services. Third Party Data and Third Party Services supplied hereunder are obtained from sources that Custodian believes to be reliable but are provided without any independent investigation by Custodian. Custodian and its suppliers do not represent or warrant that the Third Party Data or Third Party Services are correct, complete or current. Third Party Data and Third Party Services are proprietary to their suppliers, are provided solely for the FundTrust’s internal use, and may not be reused, disseminated or redistributed in any form. The Fund Trust shall not use any Third Party Data in any manner that would act as a substitute for obtaining a license for the data directly from the supplier. Third Party Data and Third Party Services should not be used in making any investment decision. CUSTODIAN AND ITS SUPPLIERS ARE NOT RESPONSIBLE FOR ANY RESULTS OBTAINED FROM THE USE OF OR RELIANCE UPON THIRD PARTY DATA OR THIRD PARTY SERVICES. In the event of any conflict between the terms of this Appendix I and the main body of this Agreement with respect to the Fund’s Trusts’ use of the Electronic Services, the terms of this Appendix I shall control. The Fund Trust further acknowledges that all or a part of the Electronic Services may be copyrighted or trademarked (or a registration or claim made therefor) by Custodian BNYM or its suppliers. The Fund Trust shall not take any action with respect to the Electronic Services inconsistent with the foregoing acknowledgments, nor shall the Fund Trust attempt to decompile, reverse engineer or modify the Electronic Services. The Fund Trust may not copy, distribute, sell, lease or provide, directly or indirectly, the Electronic Services or any portion thereof to any other person or entity without Custodian’s BNYM's prior written consent. Third Party Data and Third Party Services should not be used in making any investment decision. (b) Custodian Upon delivery to Pledgor of Software and/or System access codes, Securities Intermediary grants to the Fund Pledgor a personal, nontransferable and nonexclusive license to use the Electronic Services to which Software and the Fund subscribes System solely for the purpose of transmitting instructions and information (“Written Instructions”), obtaining receiving reports, analyses and statements and other information and data, making inquiries and or otherwise communicating with Custodian Securities Intermediary in connection with the Fund’s relationship with CustodianAccount(s). The Fund Pledgor shall use the Electronic Services Software and the System solely for its own internal and proper business purposes and not in the operation of a service bureau. Except as set forth herein, no license or right of any kind is granted to Pledgor with respect to the Electronic ServicesSoftware or the System. The Fund Pledgor acknowledges that Custodian Securities Intermediary and its suppliers retain and have title and exclusive proprietary rights to the Electronic ServicesSoftware and the System, including any trade secrets or other ideas, concepts, know-how, methodologies, and or information incorporated therein and the exclusive rights to any copyrights, trade dress, look and feel, trademarks and patents (including registrations and applications for registration of either), and or other statutory or legal protections available in respect thereof. The Fund Pledgor further acknowledges that all or a part of the Electronic Services Software or the System may be copyrighted or trademarked (or a registration or claim made therefor) by Custodian Securities Intermediary or its suppliers. The Fund Pledgor shall not take any action with respect to the Electronic Services Software or the System inconsistent with the foregoing acknowledgments, nor shall the Fund Pledgor attempt to decompile, reverse engineer or modify the Electronic ServicesSoftware. The Fund Pledgor may not copy, distribute, sell, lease or provide, directly or indirectly, any of the Electronic Services Software or any portion thereof to any other person or entity without CustodianSecurities Intermediary’s prior written consent. The Fund Pledgor may not remove any statutory copyright notice or other notice included in the Electronic ServicesSoftware or on any media containing the Software. The Fund Pledgor shall reproduce any such notice on any reproduction of any portion of the Electronic Services Software and shall add any statutory copyright notice or other notice to the Software or media upon CustodianSecurities Intermediary’s request. (c) Portions If Pledgor subscribes to any database service provided by Securities Intermediary in connection with its use of the Electronic Services may containSystem, deliver or rely on data delivery of such database to Pledgor shall constitute the granting by Securities Intermediary to Pledgor of a non-exclusive, non-transferable license to use such database for so long as this Appendix I is in effect. It is understood and agreed that any database supplied by third parties (“Third Party Data”), such as pricing data and indicative data, and services supplied by third parties (“Third Party Services”) such as analytic and accounting services. Third Party Data and Third Party Services supplied hereunder are obtained Securities Intermediary is derived from sources that Custodian which Securities Intermediary believes to be reliable but are provided without any independent investigation by Custodian. Custodian Securities Intermediary does not, and its suppliers do cannot represent for the fees charged, guarantee or warrant that the Third Party Data or Third Party Services are data is correct, complete or current. Third Party Data and Third Party Services are proprietary to their suppliers, All such databases are provided solely as an accommodation by Securities Intermediary to its customers and are compiled without any independent investigation by Securities Intermediary. However, Securities Intermediary will endeavor to update and revise each database on a periodic basis as Securities Intermediary, in its discretion, deems necessary and appropriate. Pledgor also agrees that Pledgor will promptly install all updates and revisions to each database which Securities Intermediary provides and that Securities Intermediary cannot bear any responsibility whatsoever for the FundPledgor’s internal use, and may not be reused, disseminated or redistributed in any formfailure to do so. The Fund shall not use any Third Party Data in any manner that would act as a substitute for obtaining a license for the data directly from the supplier. Third Party Data and Third Party Services should not be used in making any investment decision. CUSTODIAN AND ITS SUPPLIERS ARE SECURITIES INTERMEDIARY IS NOT RESPONSIBLE FOR ANY RESULTS OBTAINED BY PLEDGOR FROM THE USE OF OR RELIANCE UPON THIRD PARTY DATA OR THIRD PARTY SERVICES. In the event of any conflict between the terms of this Appendix I and the main body of this Agreement with respect to the Fund’s use of the Electronic Services, the terms of this Appendix I shall control. (b) Custodian grants to the Fund a personal, nontransferable and nonexclusive license to use the Electronic Services to which the Fund subscribes solely for the purpose of transmitting instructions and information (“Written Instructions”), obtaining reports, analyses and statements and other information and data, making inquiries and otherwise communicating with Custodian in connection with the Fund’s relationship with Custodian. The Fund shall use the Electronic Services solely for its own internal and proper business purposes and not in the operation of a service bureau. Except as set forth herein, no license or right of any kind is granted to with respect to the Electronic Services. The Fund acknowledges that Custodian and its suppliers retain and have title and exclusive proprietary rights to the Electronic Services, including any trade secrets or other ideas, concepts, know-how, methodologies, and information incorporated therein and the exclusive rights to any copyrights, trade dress, look and feel, trademarks and patents (including registrations and applications for registration of either), and other legal protections available in respect thereof. The Fund further acknowledges that all or a part of the Electronic Services may be copyrighted or trademarked (or a registration or claim made therefor) by Custodian or its suppliers. The Fund shall not take any action with respect to the Electronic Services inconsistent with the foregoing acknowledgments, nor shall the Fund attempt to decompile, reverse engineer or modify the Electronic Services. The Fund may not copy, distribute, sell, lease or provide, directly or indirectly, the Electronic Services or any portion thereof to any other person or entity without Custodian’s prior written consent. The Fund may not remove any statutory copyright notice or other notice included in the Electronic Services. The Fund shall reproduce any such notice on any reproduction of any portion of the Electronic Services and shall add any statutory copyright notice or other notice upon Custodian’s request. (c) Portions of the Electronic Services may contain, deliver or rely on data supplied by third parties (“Third Party Data”), such as pricing data and indicative data, and services supplied by third parties (“Third Party Services”) such as analytic and accounting services. Third Party Data and Third Party Services supplied hereunder are obtained from sources that Custodian believes to be reliable but are provided without any independent investigation by Custodian. Custodian and its suppliers do not represent or warrant that the Third Party Data or Third Party Services are correct, complete or current. Third Party Data and Third Party Services are proprietary to their suppliers, are provided solely for the Fund’s internal use, and may not be reused, disseminated or redistributed in any form. The Fund shall not use any Third Party Data in any manner that would act as a substitute for obtaining a license for the data directly from the supplier. Third Party Data and Third Party Services should not be used in making any investment decision. CUSTODIAN AND ITS SUPPLIERS ARE NOT RESPONSIBLE FOR ANY RESULTS OBTAINED FROM THE USE OF OR RELIANCE UPON THIRD PARTY DATA OR THIRD PARTY SERVICES. Custodian’s suppliers of Third Party Data and Services are intended third party beneficiaries of this Section Subsection 1(c) and Section Subsection 5 below. (d) The Fund understands and agrees that any links in the Electronic Services to Internet sites may be to sites sponsored and maintained by third parties. Custodian make no guarantees, representations or warranties concerning the information contained in any third party site (including without limitation that such information is correct, current, complete or free of viruses or other contamination), or any products or services sold through third party sites. All such links to third party Internet sites are provided solely as a convenience to the Fund and the Fund accesses and uses such sites at its own risk. A link in the Electronic Services to a third party site does not constitute Custodian’s endorsement, authorisation or sponsorship of such site or any products and services available from such site.

(b) Upon delivery to the Fund of System access codes, Custodian grants to the Fund a personal, nontransferable and nonexclusive license to use the Electronic Services to which Software and the Fund subscribes System solely for the purpose of transmitting instructions and information (“Written Instructions”), obtaining receiving reports, analyses and statements and other information and data, making inquiries and or otherwise communicating with Custodian in connection with the Fund’s relationship with CustodianAccount(s). The Fund shall use the Electronic Services Systems solely for its own internal and proper business purposes and not in the operation of a service bureau. Except as set forth herein, no license or right of any kind is granted to the Fund with respect to the Electronic ServicesSystems. The Fund acknowledges that Custodian and its suppliers retain and have title and exclusive proprietary rights to the Electronic ServicesSystems, including any trade secrets or other ideas, concepts, know-how, methodologies, and or information incorporated therein and the exclusive rights to any copyrights, trade dress, look and feel, trademarks and patents (including registrations and applications for registration of either), and or other statutory or legal protections available in respect thereof. The Fund further acknowledges that all or a part of the Electronic Services Systems may be copyrighted or trademarked (or a registration or claim made therefor) by Custodian or its suppliers. The Fund shall not take any action with respect to the Electronic Services Systems inconsistent with the foregoing acknowledgments, nor shall the Fund attempt to decompile, reverse engineer or modify the Electronic ServicesSystem. The Fund may not copy, distribute, sell, lease or provide, directly or indirectly, the Electronic Services Systems or any portion thereof to any other person or entity without Custodian’s prior written consent. The Fund may not remove any statutory copyright notice or other notice included in the Electronic ServicesSystem or on any media containing the Systems or any portion thereof. The Fund shall reproduce any such notice on any reproduction of any portion of the Electronic Services a System and shall add any statutory copyright notice or other notice to the Systems or media upon Custodian’s request. (c) Portions If the Fund subscribes to any database service provided by Custodian in connection with its use of the Electronic Services may containSystems, deliver or rely on data delivery of such database to the Fund shall constitute the granting by Custodian to the Fund of a non-exclusive, non-transferable license to use such database for so long as this Appendix I is in effect. It is understood and agreed that any database supplied by third parties (“Third Party Data”), such as pricing data and indicative data, and services supplied by third parties (“Third Party Services”) such as analytic and accounting services. Third Party Data and Third Party Services supplied hereunder are obtained Custodian is derived from sources that which Custodian believes to be reliable but Custodian does not, and cannot for the fees charged, guarantee or warrant that the data is correct, complete or current. All such databases are provided as an accommodation by Custodian to its customers and are compiled without any independent investigation by Custodian. However, Custodian will endeavor to update and revise each database on a periodic basis as Custodian, in its suppliers do not represent or warrant discretion, deems necessary and appropriate. The Fund also agrees that the Third Party Data or Third Party Services are correct, complete or current. Third Party Data Fund will promptly install all updates and Third Party Services are proprietary revisions to their suppliers, are provided solely each database which Custodian provides and that Custodian cannot bear any responsibility whatsoever for the Fund’s internal use, and may not be reused, disseminated or redistributed in any form. The Fund shall not use any Third Party Data in any manner that would act as a substitute for obtaining a license for the data directly from the supplier. Third Party Data and Third Party Services should not be used in making any investment decisionfailure to do so. CUSTODIAN AND ITS SUPPLIERS ARE IS NOT RESPONSIBLE FOR ANY RESULTS OBTAINED BY THE FUND FROM THE USE OF OR RELIANCE UPON THIRD PARTY DATA OR THIRD PARTY SERVICES. The Fund shall not take any action with respect to the Electronic Services inconsistent with the foregoing acknowledgments, nor shall the Fund attempt to decompile, reverse engineer or modify the Electronic Services. The Fund may not copy, distribute, sell, lease or provide, directly or indirectly, the Electronic Services or any portion thereof to any other person or entity without Custodian’s prior written consent. The Fund may not remove any statutory copyright notice or other notice included in the Electronic Services. (c) Portions of the Electronic Services may contain, deliver or rely on data supplied by third parties (“Third Party Data”), such as pricing data and indicative data, and services supplied by third parties (“Third Party Services”) such as analytic and accounting services. Third Party Data and Third Party Services supplied hereunder are obtained from sources that Custodian believes to be reliable but are provided without any independent investigation by Custodian. Custodian and its suppliers do not represent or warrant that the Third Party Data or Third Party Services are correct, complete or current. Third Party Data and Third Party Services are proprietary to their suppliers, are provided solely for the Fund’s internal use, and may not be reused, disseminated or redistributed in any formform except as permitted by the third parties providing such Third Party Data or Third Party Services. The Fund shall not use any Third Party Data in any manner that would act as a substitute for obtaining a license for the data directly from the supplier. Third Party Data and Third Party Services should not be used in making any investment decision. (a) This Appendix I shall govern the Fund’s Company's use of electronic communications, information delivery, portfolio management and banking services, that The Bank of New York Mellon and its affiliates (“Custodian”"BNYM") may provide to the FundCompany, such as The Bank of New York Mellon Inform ™ and The Bank of New York Mellon CA$H-Register Plus®, and any computer software, proprietary data and documentation provided by Custodian BNYM to the Fund Company in connection therewith (collectively, the “"Electronic Services”"). In the event of any conflict between the terms of this Appendix I and the main body of this Agreement with respect to the Fund’s Company's use of the Electronic Services, the terms of this Appendix I shall control. (b) Custodian BNYM grants to the Fund Company a personal, nontransferable and nonexclusive license to use the Electronic Services to which the Fund Company subscribes solely for the purpose of transmitting instructions and information (“Written "Instructions”"), obtaining reports, analyses and statements and other information and data, making inquiries and otherwise communicating with Custodian BNYM in connection with the Fund’s Company's relationship with CustodianBNYM. The Fund Company shall use the Electronic Services solely for its own internal and proper business purposes and not in the operation of a service bureau. Except as set forth herein, no license or right of any kind is granted to the Company with respect to the Electronic Services. The Fund Company acknowledges that Custodian BNYM and its suppliers retain and have title and exclusive proprietary rights to the Electronic Services, including any trade secrets or other ideas, concepts, know-how, methodologies, and information incorporated therein and the exclusive rights to any copyrights, trade dress, look and feel, trademarks and patents (including registrations and applications for registration of either), and other legal protections available in respect thereof. The Fund Company further acknowledges that all or a part of the Electronic Services may be copyrighted or trademarked (or a registration or claim made therefor) by Custodian BNYM or its suppliers. The Fund Company shall not take any action with respect to the Electronic Services inconsistent with the foregoing acknowledgments, nor shall the Fund Company attempt to decompile, reverse engineer or modify the Electronic Services. The Fund Company may not copy, distribute, sell, lease or provide, directly or indirectly, the Electronic Services or any portion thereof to any other person or entity without Custodian’s BNYM's prior written consent. The Fund Company may not remove any statutory copyright notice or other notice included in the Electronic Services. The Fund Company shall reproduce any such notice on any reproduction of any portion of the Electronic Services and shall add any statutory copyright notice or other notice upon Custodian’s BNYM's request. (c) Portions of the Electronic Services may contain, deliver or rely on data supplied by third parties (“"Third Party Data”"), such as pricing data and indicative data, and services supplied by third parties (“"Third Party Services”") such as analytic and accounting services. Third Party Data and Third Party Services supplied hereunder are obtained from sources that Custodian BNYM believes to be reliable but are provided without any independent investigation by CustodianBNYM. Custodian BNYM and its suppliers do not represent or warrant that the Third Party Data or Third Party Services are correct, complete or current. Third Party Data and Third Party Services are proprietary to their suppliers, are provided solely for the Fund’s Company's internal use, and may not be reused, disseminated or redistributed in any form. The Fund Company shall not use any Third Party Data in any manner that would act as a substitute for obtaining a license for the data directly from the supplier. Third Party Data and Third Party Services should not be used in making any investment decision. CUSTODIAN BNYM AND ITS SUPPLIERS ARE NOT RESPONSIBLE FOR ANY RESULTS OBTAINED FROM THE USE OF OR RELIANCE UPON THIRD PARTY DATA OR THIRD PARTY SERVICES. (b) Custodian Upon delivery to the Trust of Software and/or System access codes, BNY grants to the Fund Trust a personal, nontransferable and nonexclusive license to use the Electronic Services to which Software and the Fund subscribes System solely for the purpose of transmitting instructions and information (“Written Instructions”), obtaining receiving reports, analyses and statements and other information and data, making inquiries and or otherwise communicating with Custodian BNY in connection with the Fund’s relationship with CustodianAccount(s). The Fund Trust shall use the Electronic Services Software and the System solely for its own internal and proper business purposes and not in the operation of a service bureau. Except as set forth herein, no license or right of any kind is granted to the Trust with respect to the Electronic ServicesSoftware or the System. The Fund Trust acknowledges that Custodian BNY and its suppliers retain and have title and exclusive proprietary rights to the Electronic ServicesSoftware and the System, including any trade secrets or other ideas, concepts, know-how, methodologies, and or information incorporated therein and the exclusive rights to any copyrights, trade dress, look and feel, trademarks and patents (including registrations and applications for registration of either), and or other statutory or legal protections available in respect thereof. The Fund Trust further acknowledges that all or a part of the Electronic Services Software or the System may be copyrighted or trademarked (or a registration or claim made therefor) by Custodian BNY or its suppliers. The Fund Trust shall not take any action with respect to the Electronic Services Software or the System inconsistent with the foregoing acknowledgments, nor shall the Fund Trust attempt to decompile, reverse engineer or modify the Electronic ServicesSoftware. The Fund Trust may not copy, distribute, sell, lease or provide, directly or indirectly, any of the Electronic Services Software or any portion thereof to any other person or entity without CustodianBNY’s prior written consent. The Fund Trust may not remove any statutory copyright notice or other notice included in the Electronic ServicesSoftware or on any media containing the Software. The Fund Trust shall reproduce any such notice on any reproduction of any portion of the Electronic Services Software and shall add any statutory copyright notice or other notice to the Software or media upon CustodianBNY’s request. (c) Portions If the Trust subscribes to any database service provided by BNY in connection with its use of the Electronic Services may containSystem, deliver or rely on data delivery of such database to the Trust shall constitute the granting by BNY to the Trust of a non-exclusive, non-transferable license to use such database for so long as this Appendix I is in effect. It is understood and agreed that any database supplied by third parties (“Third Party Data”), such as pricing data and indicative data, and services supplied by third parties (“Third Party Services”) such as analytic and accounting services. Third Party Data and Third Party Services supplied hereunder are obtained BNY is derived from sources that Custodian which BNY believes to be reliable but are provided without any independent investigation by Custodian. Custodian BNY does not, and its suppliers do cannot represent for the fees charged, guarantee or warrant that the Third Party Data or Third Party Services are data is correct, complete or current. Third Party Data and Third Party Services are proprietary to their suppliers, All such databases are provided solely as an accommodation by BNY to its customers and are compiled without any independent investigation by BNY. However, BNY will endeavor to update and revise each database on a periodic basis as BNY, in its discretion, deems necessary and appropriate. The Trust also agrees that the Trust will promptly install all updates and revisions to each database which BNY provides and that BNY cannot bear any responsibility whatsoever for the FundTrust’s internal use, and may not be reused, disseminated or redistributed in any formfailure to do so. The Fund shall not use any Third Party Data in any manner that would act as a substitute for obtaining a license for the data directly from the supplier. Third Party Data and Third Party Services should not be used in making any investment decision. (a) This Appendix I shall govern the Fund’s Huntington's use of electronic communications, information delivery, portfolio management and banking services, that The Bank of New York Mellon and its affiliates (“"Custodian”") may provide to the FundHuntington, such as The Bank of New York Inform ™ (TM) and The Bank of New York CA$H-Register Plus®Plus(R), and any computer software, proprietary data and documentation provided by Custodian to the Fund Huntington in connection therewith (collectively, the “"Electronic Services”"). In the event of any conflict between the terms of this Appendix I and the main body of this Agreement with respect to the Fund’s Huntington's use of the Electronic Services, the terms of this Appendix I shall control. (b) Custodian grants to the Fund Huntington a personal, nontransferable and nonexclusive license to use the Electronic Services to which the Fund Huntington subscribes solely for the purpose of transmitting instructions and information (“"Written Instructions”"), obtaining reports, analyses and statements and other information and data, making inquiries and otherwise communicating with Custodian in connection with the Fund’s Huntington's relationship with Custodian. The Fund Huntington shall use the Electronic Services solely for its own internal and proper business purposes and not in the operation of a service bureau. Except as set forth herein, no license or right of any kind is granted to with respect to the Electronic Services. The Fund Huntington acknowledges that Custodian and its suppliers retain and have title and exclusive proprietary rights to the Electronic Services, including any trade secrets or other ideas, concepts, know-how, methodologies, and information incorporated therein and the exclusive rights to any copyrights, trade dress, look and feel, trademarks and patents (including registrations and applications for registration of either), and other legal protections available in respect thereof. The Fund Huntington further acknowledges that all or a part of the Electronic Services may be copyrighted or trademarked (or a registration or claim made therefor) by Custodian or its suppliers. The Fund Huntington shall not take any action with respect to the Electronic Services inconsistent with the foregoing acknowledgments, nor shall the Fund Huntington attempt to decompile, reverse engineer or modify the Electronic Services. The Fund Huntington may not copy, distribute, sell, lease or provide, directly or indirectly, the Electronic Services or any portion thereof to any other person or entity without Custodian’s 's prior written consent. The Fund Huntington may not remove any statutory copyright notice or other notice included in the Electronic Services. The Fund Huntington shall reproduce any such notice on any reproduction of any portion of the Electronic Services and shall add any statutory copyright notice or other notice upon Custodian’s 's request. Third Party Data and Third Party Services supplied hereunder are obtained from sources that Custodian believes to be reliable but are provided without any independent investigation by Custodian. Custodian and its suppliers do not represent or warrant that the Third Party Data or Third Party Services are correct, complete or current. Third Party Data and Third Party Services are proprietary to their suppliers, are provided solely for the Fund’s Huntington's internal use, and may not be reused, disseminated or redistributed in any form. The Fund Huntington shall not use any Third Party Data in any manner that would act as a substitute for obtaining a license for the data directly from the supplier. Third Party Data and Third Party Services should not be used in making any investment decision. The Fund Customer acknowledges that Custodian BNY and its suppliers retain and have title and exclusive proprietary rights to the Electronic Services, including any trade secrets or other ideas, concepts, know-how, methodologies, and information incorporated therein and the exclusive rights to any copyrights, trade dress, look and feel, trademarks and patents (including registrations and applications for registration of either), and other legal protections available in respect thereof. The Fund Customer further acknowledges that all or a part of the Electronic Services may be copyrighted or trademarked (or a registration or claim made therefor) by Custodian BNY or its suppliers. In the event of any conflict between the terms of this Appendix I and the main body of this Agreement with respect to the FundCustomer’s use of the Electronic ServicesSystems, the terms of this Appendix I shall control. (b) Upon delivery to Customer of System access codes, Custodian grants to the Fund Customer a personal, nontransferable and nonexclusive license to use the Electronic Services to which Software and the Fund subscribes System solely for the purpose of transmitting instructions and information (“Written Instructions”), obtaining receiving reports, analyses and statements and other information and data, making inquiries and or otherwise communicating with Custodian in connection with the Fund’s relationship with CustodianAccount(s). The Fund Customer shall use the Electronic Services Systems solely for its own internal and proper business purposes and not in the operation of a service bureau. Except as set forth herein, no license or right of any kind is granted to Customer with respect to the Electronic ServicesSystems. The Fund Customer acknowledges that Custodian and its suppliers retain and have title and exclusive proprietary rights to the Electronic ServicesSystems, including any trade secrets or other ideas, concepts, know-how, methodologies, and or information incorporated therein and the exclusive rights to any copyrights, trade dress, look and feel, trademarks and patents (including registrations and applications for registration of either), and or other statutory or legal protections available in respect thereof. The Fund Customer further acknowledges that all or a part of the Electronic Services Systems may be copyrighted or trademarked (or a registration or claim made therefor) by Custodian or its suppliers. The Fund Customer shall not take any action with respect to the Electronic Services Systems inconsistent with the foregoing acknowledgments, nor shall the Fund Customer attempt to decompile, reverse engineer or modify the Electronic ServicesSystem. The Fund Customer may not copy, distribute, sell, lease or provide, directly or indirectly, the Electronic Services Systems or any portion thereof to any other person or entity without Custodian’s prior written consent. The Fund Customer may not remove any statutory copyright notice or other notice included in the Electronic ServicesSystem or on any media containing the Systems or any portion thereof. The Fund Customer shall reproduce any such notice on any reproduction of any portion of the Electronic Services a System and shall add any statutory copyright notice or other notice to the Systems or media upon Custodian’s request. (c) Portions If Customer subscribes to any database service provided by Custodian in connection with its use of the Electronic Services may containSystems, deliver or rely on data delivery of such database to Customer shall constitute the granting by Custodian to Customer of a non-exclusive, non-transferable license to use such database for so long as this Appendix I is in effect. It is understood and agreed that any database supplied by third parties (“Third Party Data”), such as pricing data and indicative data, and services supplied by third parties (“Third Party Services”) such as analytic and accounting services. Third Party Data and Third Party Services supplied hereunder are obtained Custodian is derived from sources that which Custodian believes to be reliable but Custodian does not, and cannot for the fees charged, guarantee or warrant that the data is correct, complete or current. All such databases are provided as an accommodation by Custodian to its customers and are compiled without any independent investigation by Custodian. However, Custodian will endeavor to update and revise each database on a periodic basis as Custodian, in its suppliers discretion, deems necessary and appropriate. Customer also agrees that Customer will promptly install all updates and revisions to each database which Custodian provides and that Custodian cannot bear any responsibility whatsoever for Customer’s failure to do not represent or warrant that the Third Party Data or Third Party Services are correct, complete or current. Third Party Data and Third Party Services are proprietary to their suppliers, are provided solely for the Fund’s internal use, and may not be reused, disseminated or redistributed in any form. The Fund shall not use any Third Party Data in any manner that would act as a substitute for obtaining a license for the data directly from the supplier. Third Party Data and Third Party Services should not be used in making any investment decisionso. CUSTODIAN AND ITS SUPPLIERS ARE IS NOT RESPONSIBLE FOR ANY RESULTS OBTAINED BY CUSTOMER FROM THE USE OF OR RELIANCE UPON THIRD PARTY DATA OR THIRD PARTY SERVICES. Custodian’s suppliers of Third Party Data and Services are intended third party beneficiaries of this Section 1(c) and Section 5 belowDATABASE SERVICES PROVIDED BY CUSTODIAN. (d) The Fund understands and agrees that any links in the Electronic Services to Internet sites may be to sites sponsored and maintained by third parties. Custodian make no guarantees, representations or warranties concerning the information contained in any third party site (including without limitation that such information is correct, current, complete or free of viruses or other contamination), or any products or services sold through third party sites. All such links to third party Internet sites are provided solely as a convenience to the Fund and the Fund accesses and uses such sites at its own risk. A link in the Electronic Services to a third party site does not constitute Custodian’s endorsement, authorisation or sponsorship of such site or any products and services available from such site.

License; Use. (a) This Appendix I D shall govern the Fund’s use of electronic communications, information delivery, portfolio management and banking services, that The Bank of New York Mellon and its affiliates (“CustodianBNYM”) may provide to the Fund, such as The Bank of New York Mellon Inform ™ and The Bank of New York Mellon CA$H-Register Plus®, and any computer software, proprietary data and documentation provided by Custodian BNYM to the Fund in connection therewith (collectively, the “Electronic Services”). In the event of any conflict between the terms of this Appendix I D and the main body of this Agreement with respect to the Fund’s use of the Electronic Services, the terms of this Appendix I D shall control. (b) Custodian BNYM grants to the Fund a personal, nontransferable and nonexclusive license to use the Electronic Services to which the Fund subscribes solely for the purpose of transmitting instructions and information (“Written Instructions”), obtaining reports, analyses and statements and other information and data, making inquiries and otherwise communicating with Custodian BNYM in connection with the Fund’s relationship with CustodianBNYM. The Fund shall use the Electronic Services solely for its own internal and proper business purposes and not in the operation of a service bureau. Except as set forth herein, no license or right of any kind is granted to the Fund with respect to the Electronic Services. The Fund acknowledges that Custodian BNYM and its suppliers retain and have title and exclusive proprietary rights to the Electronic Services, including any trade secrets or other ideas, concepts, know-how, methodologies, and information incorporated therein and the exclusive rights to any copyrights, trade dress, look and feel, trademarks and patents (including registrations and applications for registration of either), and other legal protections available in respect thereof. The Fund further acknowledges that all or a part of the Electronic Services may be copyrighted or trademarked (or a registration or claim made therefor) by Custodian BNYM or its suppliers. The Fund shall not take any action with respect to the Electronic Services inconsistent with the foregoing acknowledgments, nor shall the Fund attempt to decompile, reverse engineer or modify the Electronic Services. The Fund may not copy, distribute, sell, lease or provide, directly or indirectly, the Electronic Services or any portion thereof to any other person or entity without CustodianBNYM’s prior written consent. The Fund may not remove any statutory copyright notice or other notice included in the Electronic Services. The Fund shall reproduce any such notice on any reproduction of any portion of the Electronic Services and shall add any statutory copyright notice or other notice upon CustodianBNYM’s reasonable request. (c) Portions of the Electronic Services may contain, deliver or rely on data supplied by third parties (“Third Party Data”), such as pricing data and indicative data, and services supplied by third parties (“Third Party Services”) such as analytic and accounting services. Third Party Data and Third Party Services supplied hereunder are obtained from sources that Custodian BNYM reasonably believes to be reliable but are provided without any independent investigation by CustodianBNYM. Custodian BNYM and its suppliers do not represent or warrant that the Third Party Data or Third Party Services are correct, complete or current. Third Party Data and Third Party Services are proprietary to their suppliers, are provided solely for the Fund’s internal use, and may not be reused, disseminated or redistributed in any form. The Fund shall not use any Third Party Data in any manner that would act as a substitute for obtaining a license for the data directly from the supplier. Third Party Data and Third Party Services should not be used in making any investment decision.
