Licensed Service. The term “Licensed Service” shall mean the performance of a service for a third party, which performance (a) cannot be performed without infringing a Valid Claim of Licensed Patent Rights in the country where the service is performed, or (b) utilizes or incorporates Licensed Biological Material.
Licensed Service. COMPANY does not anticipate that COMPANY, AFFILIATE, or SUBLICENSEE will perform LICENSED SERVICES. In the event that COMPANY, AFFILIATE, or SUBLICENSEE will be performing LICENSED SERVICES, COMPANY and ▇▇▇▇▇▇▇▇▇ shall negotiate in good faith a commercially reasonable Running Royalty of SERVICE INCOME prior to the earliest provision of such LICENSED SERVICE by COMPANY, AFFILIATE, or SUBLICENSEE. Running royalties will be payable for each REPORTING PERIOD and will be due to ▇▇▇▇▇▇▇▇▇ within [**] days of the end of each REPORTING PERIOD. Running royalties for each IDENTIFIED PRODUCT under this Section 4.1(d)(ii) will be due for a period extending until the ten (10) year anniversary of the date of the first sale for consumption by an end-user patient of each said IDENTIFIED PRODUCT on a country-by-country basis. The Parties expressly agree that such a payment period is not an extension of the PATENT RIGHTS beyond their term, but rather is a period determined for the convenience of the Parties in recognition of the value of the PATENT RIGHTS and TANGIBLE PROPERTY in identifying IDENTIFIED PRODUCTS and as appropriate compensation for the rights granted herein. The Parties agree that neither royalty-stacking nor combination-product provisions will apply to these Running Royalties.
Licensed Service of the iNDemand Agreement is hereby replaced in its entirety with the following:
Licensed Service a) TransLoc RealTime – passenger information system
i) Website – allows riders to access TransLoc RealTime by using a web browser
ii) Mobile – allows riders to access TransLoc RealTime by using web-enabled mobile devices
iii) Apps – allows riders to access TransLoc RealTime by using the TransLoc iPhone or Android app iv) SMS – allows riders to access TransLoc RealTime by using the TransLoc text messaging service v) LiveDisplay (*) – TransLoc RealTime formatted for display on large displays
Licensed Service. Section 1.8 of the Agreement is deleted in its entirety and replaced with the following:
Licensed Service. The term “Licensed Service” shall mean the performance on behalf of a third party by LICENSEE or any Affiliate of LICENSEE or Sublicensee of any method or the manufacture of any product or the use of any product or composition which would constitute, but for the license granted to LICENSEE herein, an infringement of a claim of EVMS Patent Rights or unauthorized use of know-how related to the EVMS Patent Rights. (Infringement includes direct, contributory or inducement to infringe).
