Common use of Licensee Patent Rights Clause in Contracts

Licensee Patent Rights. Subject to Section 10.3.3, Licensee shall have the sole right and authority, but not the obligation, to prepare, file, prosecute and maintain the Licensee Patent Rights (other than Fleximer Conjugation Patent Rights) on a worldwide basis, and to be responsible for any related interference, re-issuance, re-examination and opposition proceedings, in each case, at Licensee’s sole expense.

Licensee Patent Rights. Subject to Except as provided in Section 10.3.38.2(c), Licensee shall have the sole right and authorityright, but not the obligation, to preparecontrol the preparation, filefiling, prosecute prosecution and maintain the maintenance of Licensee Patent Rights (other than Fleximer Conjugation Patent Rights) on a worldwide basisincluding without limitation, and to be responsible for any related interference, re-issuance, re-examination and opposition proceedings, in each casethe Development Period IP), at Licensee’s sole expenseexpense and by counsel of its choice.

Subject to Except as provided in Section 10.3.38.3(b), Licensee shall have the sole right and authorityright, but not the obligationin its discretion, to preparehandle any interference, fileopposition, prosecute and maintain the invalidation, reissue, reexamination or post grant review proceeding relating to Licensee Patent Rights (other than Fleximer Conjugation Patent Rights) on a worldwide basis, and to be responsible for any related interference, re-issuance, re-examination and opposition proceedings, Premas shall have no rights in each case, at Licensee’s sole expenseconnection therewith.
