Common use of Licensor Termination Clause in Contracts

Licensor Termination. Licensor may terminate this Agreement upon forty-five (45) days written notice if (a) Licensee breaches a material term of this Agreement and fails to remedy said breach within thirty (30) days of its receipt of written notice of the breach; (b) Licensee becomes insolvent or files a petition in bankruptcy; (c) Licensee permanently discontinues production and distribution of the Products; or (d) Licensee breaches a material term of this Agreement two or more times in the License Term, regardless of cure.

Licensor Termination. Licensor may terminate this Agreement effective immediately upon forty-five (45) days its giving written notice if in the event of any of the following: (a) liquidation of Licensee; (b) insolvency or bankruptcy of Licensee, whether voluntary or involuntary; or (c) appointment of a trustee or receiver for Licensee. Licensor also may terminate this Agreement at the end of the then current Renewal Term by providing 60 days' written notice to Licensee breaches a a) prior to the expiration of the then current Renewal Term, or b) upon material term breach of this Agreement and fails failure to remedy said cure such breach within thirty (30) days of its receipt of written notice of the breach; (b) Licensee becomes insolvent or files a petition in bankruptcy; (c) Licensee permanently discontinues production and distribution of the Products; or (d) Licensee breaches a material term of this Agreement two or more times in the License Term, regardless of cure30 days.

Licensor Termination. Licensor may terminate this Agreement upon forty-five (45) days written notice if (a) Licensee breaches a material term of this Agreement and fails to remedy said breach within thirty (30) days of its receipt of written notice of the breach; (b) Licensee becomes insolvent or files a petition in bankruptcy; (c) quality standards as required by industry are not met or (d) Licensee permanently discontinues production and distribution of the Products; (e) Upon death or (d) Licensee breaches a material term retirement of this Agreement two or more times in Licensor. All royalties due to Licensor up to the License Term, regardless date of curetermination will be paid to Licensor.

Licensor Termination. Licensor may terminate this Agreement upon forty-five (45) days written notice if (a) Licensee breaches a Licensee’s material term breach of this Agreement and fails to remedy said breach or the Patent Assignment Agreement, executed contemporaneously with this Agreement, that is not remedied within thirty (30) days of its after receipt of Licensor’s written notice of the such breach; (b) Licensee becomes insolvent or files a petition in bankruptcy; (c) Licensee permanently discontinues production and distribution of the Products; or (d) Licensee breaches a material term of this Agreement two or more times in the License Term, regardless of cure.;
