Common use of Lien /Removal of Liens Clause in Contracts

Lien /Removal of Liens. During the Term, except for any liens in favor of the Lender, Licensee shall not cause or permit any liens to attach or to be placed upon or encumber the System or the Licensed Area or Site arising out of or resulting from any improvements, Alterations or other work performed by Licensee. If any such lien attaches, Licensee agrees to cause the lien to be removed within ten (10) calendar days of notification thereof by the post of a bond, payment of the lien or otherwise. If Licensee fails to remove the lien within the allowed time period, Trustees, in addition to its other remedies under this Agreement, may undertake to cause such lien to be removed and charge to Licensee any costs and expenses incurred in connection with the removal of said lien. Licensee agrees to hold harmless, defend and indemnify Trustees against all costs and expenses including reasonable attorneys’ fees and court costs at trial and on appeal incurred in discharging and releasing any such lien.
