Common use of Lien Searches Clause in Contracts

Lien Searches. The Administrative Agent shall have received the results of a recent search, by a Person satisfactory to the Administrative Agent, of Uniform Commercial Code lien filings which may have been filed with respect to personal property of the Borrower and the results of such search shall be reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent search, search by a Person reasonably satisfactory to the Administrative Agent, Agent of the Uniform Commercial Code in effect in the applicable jurisdiction, judgment and tax lien filings which may that have been filed with respect to personal property of the Borrower and its Subsidiaries in each of the results of such search shall be reasonably satisfactory to the Administrative Agentjurisdictions set forth in Schedule 5.1(c).

The Administrative Agent shall have received the results of a recent search, search by a Person reasonably satisfactory to the Administrative Agent, of Uniform Commercial Code the UCC, judgment and tax lien filings which may have been filed with respect to personal property of Holdings, the Parent Borrower and their respective Subsidiaries in any of the jurisdictions set forth in Schedule 6.1(e), and the results of such search shall be reasonably satisfactory to the Administrative Agentnot reveal any liens other than Liens permitted by Section 8.2.

The Administrative Agent shall have received the results of a recent search, search by a Person satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of the Borrower Borrower, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent search, search by a Person reasonably satisfactory to the Administrative Agent, of under the Uniform Commercial Code, PPSA, Civil Code lien filings of Quebec and equivalent legislation in all relevant jurisdictions and all customary judgment and tax Lien searches for financing transactions of this nature in all applicable jurisdictions, which may have been filed with respect to personal property of the Borrower Loan Parties, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent search, by a Person satisfactory to the Administrative Agent, of Uniform Commercial Code lien filings which may have been filed searches in each relevant jurisdiction reasonably requested by the Administrative Agent with respect to personal property each of the Borrower and the results of such search shall be reasonably satisfactory to the Administrative AgentLoan Parties.

Lien Searches. The General Administrative Agent shall have received the results of a recent search, search by a Person satisfactory to the General Administrative Agent, of the Uniform Commercial Code Code, judgement and tax lien filings which may have been filed with respect to personal property of the Borrower Loan Parties, and the results of such search shall be reasonably satisfactory to the General Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent search, search by a Person reasonably satisfactory to the Administrative Agent, Agent of the Uniform Commercial Code lien filings Code, judgment and tax Lien filings, and all customary searches for financing transactions of this nature in all applicable jurisdictions, which may have been filed with respect to personal property of the Borrower MLP and the results of such search shall be reasonably satisfactory to the Administrative Agent.;

The Administrative Agent shall have received the results of a recent search, search by a Person reasonably satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of the Borrower Borrower, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent search, search by a Person reasonably satisfactory to the Administrative Agent, of under the Uniform Commercial Code lien filings and equivalent legislation in all relevant jurisdictions and all customary judgment and tax Lien searches for financing transactions of this nature in all applicable jurisdictions, which may have been filed with respect to personal property of the Borrower Loan Parties, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent search, by a Person satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of the Borrower and the other Restricted Loan Parties, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent search, search by a Person satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgement and tax lien filings which may have been filed with respect to personal property of the Borrower Borrower, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent search, search by a Person reasonably satisfactory to the Administrative Agent, of the Uniform Commercial Code lien filings Code, and all customary judgment and tax Lien searches for financing transactions of this nature in all applicable jurisdictions, which may have been filed with respect to personal property of the Borrower Loan Parties, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent search, by a Person satisfactory to the Administrative Agent, of Uniform Commercial Code lien filings which may have been filed with respect to personal property of the Borrower search in form and the results of such search shall be reasonably substance satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent search, search by a Person satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of the Borrower Borrower, any other Loan Party and the results of such search shall be reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent search, search by a Person satisfactory to the Administrative Agent, Agent of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of the Borrower and the results of its Subsidiaries, and such search shall be reasonably reveal no Liens other than Liens permitted by subsection 7.3 or otherwise satisfactory to the Administrative AgentLenders.

The Administrative Agent shall have received the results of a recent search, search by a Person satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of each Loan Party (other than any Subsidiary of the Borrower which is not a Significant Subsidiary), and the results of such search shall be reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent search, search by a Person reasonably satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of the Borrower Loan Parties in any of the jurisdictions set forth in Schedule 6.1(d), and the results of such search shall be reasonably satisfactory to the Administrative Agentnot reveal any Liens other than Permitted Liens.

The Administrative Agent shall have received the results of a recent search, by a Person satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of the Borrower and the other Loan Parties, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent search, search by a Person reasonably satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of the O'Gara Companies, the Borrower and Bengal Acquisition Corp. and the results of such search shall be reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent search, search by a Person satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgement and tax lien filings which may have been filed with respect to personal property of the Guarantor, the Primary Borrower and their Domestic Subsidiaries (including Foreign Subsidiary Holdcos) which are Credit Parties, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the ------------- results of a recent search, search by a Person reasonably satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of UMI and Travel Agent in any of the Borrower jurisdictions where the assets of UMI and Travel Agent are located, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent Agents shall have received the results of a recent search, search by a Person reasonably satisfactory to the Administrative AgentAgents, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of the Borrower (other than any property acquired in the Sprint Acquisition), and the results of such search shall be reasonably satisfactory to the Administrative AgentAgents.

Lien Searches. The Administrative Agent shall have received the results of a recent search, search by a Person satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgement and tax lien filings which may have been filed with respect to personal property of the Borrower Loan Parties, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent search, search in such states and other jurisdictions as the Administrative Agent shall determine by a Person satisfactory to the Administrative Agent, Agent of the Uniform Commercial Code (or similar legislation), judgement and tax lien filings which may have been filed with respect to personal property of the Borrower and the other Loan Parties, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent search, search by a Person satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of each Loan Party existing as of the Borrower Closing Date, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent search, by a Person satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of the Borrower and the other Loan Parties, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the ------------- results of a recent search, search by a Person satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of the Borrower Xxxxxx, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent search, search by a Person reasonably satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgement and tax lien filings which may have been filed with respect to personal property of the Borrower Zhone, AcquisitionCo, LegacyCo, Premisys and their respective subsidiaries, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent search, by a Person satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of the Borrower Borrower, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent search, Lien searches by a Person reasonably satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, Intellectual Property, judgment and Tax lien filings which that may have been filed with respect to personal property of the Borrower Borrowers, and the results of such search searches shall be reasonably satisfactory in form and substance to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent search, search by a Person satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of the Borrower any Loan Party, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent search, by a Person satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of the Borrower and the other Wholly-Owned Domestic Subsidiaries, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the ------------- results of a recent search, search by a Person satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgement and tax lien filings which may have been filed with respect to personal property of the Borrower ASI and its Subsidiaries and the results of such search shall be reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent search, search by a Person reasonably satisfactory to the Administrative Agent, Agent of the Uniform Commercial Code in effect in the applicable jurisdiction, judgment and tax lien filings which may that have been filed with respect to personal property of the Borrower and its Subsidiaries in each of the results of such search shall be reasonably satisfactory to the Administrative Agentjurisdictions set forth in Schedule 5.1(d).

The Administrative Agent shall have received the results of a recent search, search by a Person reasonably satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgement and tax lien filings which that may have been filed with respect to personal property of and Persons to be acquired in connection with the Borrower and the results of such search shall be reasonably satisfactory to the Administrative Agentrelevant Permitted Acquisition.

The Administrative Agent shall have received the ------------- results of a recent search, search by a Person satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of the Borrower SuperGraphics, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent search, search by a Person reasonably satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of Holding, the Parent Borrower and its Subsidiaries in any of the jurisdictions set forth in Schedule 6.1(k), and the results of such search shall be reasonably satisfactory to the Administrative Agentnot reveal any Liens other than Liens permitted by subsection 8.3.

The Administrative Agent shall have received the results of a recent search, search by a Person reasonably satisfactory to the Administrative Agent, of the Uniform Commercial Code and tax lien filings which may have been filed with respect to personal property of Persons that are becoming Subsidiaries of the Borrower and the results of such search shall be reasonably satisfactory pursuant to the Administrative AgentAltivity Transaction in any of the jurisdictions set forth in Schedule 3.

The Administrative Agent shall have received ------------- the results of a recent search, search by a Person reasonably satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgement and tax lien filings which may have been filed with respect to personal property of the Borrower Zhone, AcquisitionCo, LegacyCo, Premisys and their respective subsidiaries, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent search, search by a Person reasonably satisfactory to the Administrative AgentAgent and its counsel, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of Holding, the Borrower Parent Borrower, the Acquired Business and their respective Subsidiaries in any of the jurisdictions set forth in Schedule 5.14, and the results of such search shall be not reveal any Liens other than Liens permitted by subsection 8.3 or that are otherwise reasonably satisfactory to the Administrative AgentAgent and its counsel.

The Administrative Agent shall have received the results of a recent search, search by a Person reasonably satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgement and tax lien filings which may have been filed with respect to personal property of the Borrower and its Domestic Subsidiaries, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent search, search by a Person satisfactory to the Administrative Agent, of the Uniform Commercial Code and judgment and tax lien filings which that may have been filed with respect to personal property Borrower or any Affiliate of Borrower that has previously held any Eligible Asset being added to the Borrower Collateral as of such Borrowing Date and the results of such search shall be reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent search, search by a Person reasonably satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of the Borrower each Loan Party, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent search, search (conducted no earlier than forty-five days prior to the Closing Date) by a Person reasonably satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of the Borrower Loan Parties, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the ------------- results of a recent search, search by a Person reasonably satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of MAGIC and its Subsidiaries in any of the Borrower jurisdictions where the assets of MAGIC and its Subsidiaries are located, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent search, search by a Person reasonably satisfactory to the Administrative AgentCollateral Trustee, of the Uniform Commercial Code lien filings Code, judgment and tax Lien filings, and all customary searches for financing transactions of this nature in all applicable jurisdictions, which may have been filed with respect to personal property of the Borrower Borrower, and the results of such search shall be reasonably satisfactory to the Administrative Agent.Collateral Trustee

The Administrative Agent shall have received the results of a recent search, Lien searches by a Person satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, Intellectual Property, judgment and tax lien filings which that may have been filed with respect to personal property of the Borrower Loan Parties, and the results of such search searches shall be reasonably satisfactory in form and substance to the Administrative Agent.

The Administrative Agent shall have received the results of a recent search, by a Person satisfactory to the Administrative Agent, of Uniform Commercial Code lien filings which may have been filed with respect to personal property of the Borrower and the results of such search shall be reasonably satisfactory to the Administrative AgentAgent (it being understood that such search results delivered in connection with the Original Credit Agreement shall satisfy the requirements hereof and be applicable to this Agreement).

The Administrative Agent shall have received the results of a recent search, search by a Person satisfactory to the Administrative Agent, of Uniform Commercial Code lien filings which may have been filed with respect to personal property of the Borrower and the results of such search shall be reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent search, by a Person satisfactory to the Administrative Agent, of Uniform Commercial Code lien filings which may have been filed with respect to personal property of the Borrower and the results of such search shall be reasonably satisfactory to the Administrative AgentAgent (it being understood that such search results delivered in connection with the Existing Credit Agreement shall satisfy the requirements hereof and be applicable to this Agreement).

The Administrative Agent shall have received the ------------- results of a recent search, search by a Person reasonably satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of Xxxxxx and Sensors in any of the Borrower jurisdictions where the assets of Xxxxxx or Sensors are located, and the results of such search shall be reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent search, search by a Person reasonably satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgment and tax lien filings which may have been filed with respect to personal property of the Borrower Borrower, and the results of such search shall be reasonably satisfactory to the Administrative AgentRequired Lenders.

Lien Searches. The Administrative Agent shall have received the results of a recent search, lien search in each jurisdiction or office as reasonably determined by a Person satisfactory to the Administrative Agent and the Collateral Agent, of Uniform Commercial Code lien filings which may have been filed and the Administrative Agent and the Collateral Agent shall be satisfied with respect to personal property of the Borrower and the results of such search shall be reasonably satisfactory to the Administrative Agentlien searches.

Lien Searches. The Administrative Agent shall have received the ------------- results of a recent search, search by a Person satisfactory to the Administrative Agent, of the Uniform Commercial Code Code, judgement and tax lien filings which may have been filed with respect to personal property of the Borrower Holding, TTC and their Domestic Subsidiaries (including Foreign Subsidiary Holdcos) which are Credit Parties, and the results of such search shall be reasonably satisfactory to the Administrative Agent.
