LIENS AND SETOFF. Supplier shall cause installation to occur lien free. For installation of realty improvements, Supplier must provide a lien waiver, (partial or final as applicable) in a form acceptable to Purchaser prior to payment, from itself and all parties providing either or both labor or materials under this Agreement. Supplier shall promptly pay for all materials, supplies and labor employed by it so that the project site is free of materialmen's and mechanic's liens. If any liens, claims or other encumbrances are outstanding against Supplier or Purchaser as a consequence of the Material, Purchaser may set-off against Supplier sufficient amounts to indemnify and hold Purchaser harmless.

LIENS AND SETOFF. In addition to all liens upon, and rights of setoff against the moneys, securities or other property of Guarantors given to Banks by law, Banks shall have a lien upon and a right of setoff against all moneys, securities and other property of Guarantors, now or hereafter in the possession of or on deposit with Banks, whether held in a general or special account or deposit, or for safekeeping or otherwise; and every such lien and right of setoff may be exercised without demand upon or notice to Guarantors. No lien or right of setoff shall be deemed to have been waived by any act or conduct on the part of Agent or Banks, or by any neglect to exercise such right of setoff or to enforce such lien, or by any delay in so doing; and every right of setoff and lien shall continue in full force and effect until such right of setoff or lien is specifically waived or released by an instrument in writing executed by Banks.
LIENS AND SETOFF. In addition to all liens and rights of setoff given to Xxxxx Star by law, Xxxxx Star is hereby given a lien upon and a right of setoff against all moneys, securities, and other property of Guarantor now or hereafter in the constructive or actual possession of or on deposit with Xxxxx Star, whether held in general or special accounts, for safekeeping or otherwise.
