LIENS; EASEMENTS; PARTIAL CONVEYANCES. Lessee shall not directly or indirectly create, incur or assume, any Lien on or with respect to any Leased Property, the title thereto, or any interest therein, including any Liens which arise out of the possession, use, occupancy, construction, repair or rebuilding of any Leased Property or by reason of labor or materials furnished or claimed to have been furnished to Lessee, or any of its contractors or agents or Alterations constructed by Lessee, except, in all cases, Permitted Liens. Notwithstanding the foregoing paragraph, at the request of Lessee, Lessor shall, from time to time during the Lease Term and upon reasonable advance written notice from Lessee, and receipt of the materials specified in the next succeeding sentence, consent to and join in any (i) grant of easements, licenses, rights of way and other rights in the nature of easements, including, without limitation, utility easements to facilitate Lessee's use, development and construction of the Leased Properties, (ii) release or termination of easements, licenses, rights of way or other rights in the nature of easements which are for the benefit of the Land or the Building(s) or any portion thereof, (iii) dedication or transfer of portions of the Land, not improved with a Building, for road, highway or other public purposes, (iv) execution of agreements for ingress and egress and amendments to any covenants and restrictions affecting the Land or the Building(s) or any portion thereof and (v) request to any Governmental Authority for platting or subdivision or replatting or resubdivision approval with respect to the Land or any portion thereof or any parcel of land of which the Land or any portion thereof forms a part or a request for any variance from zoning or other governmental requirements. Lessor's obligations pursuant to the preceding sentence shall be subject to the requirements that: (a) any such action shall be at the sole cost and expense of Lessee and Lessee shall pay all actual and reasonable out-of-pocket costs of Lessor, the Agent and any Lender in connection therewith (including, without limitation, the reasonable fees of attorneys, architects, engineers, planners, appraisers and other professionals reasonably retained by Lessor, the Agent or any Lender in connection with any such action), (b) Lessee shall have delivered to Lessor and Agent a certificate of a Responsible Officer of Lessee stating that (1) such action will not cause any Leased Property, the Land or any Building or any portion thereof to fail to comply in any material respect with the provisions of the Lease or any other Operative Documents, or in any material respect with Applicable Law; and (2) such action will not materially reduce the Fair Market Sales Value, utility or useful life of any Leased Property, the Land or any Building nor Lessor's interest therein; and (c) in the case of any release or conveyance, if Lessor, the Agent or any Lender so reasonably requests, Lessee will cause to be issued and delivered to Lessor and the Agent by the Title Insurance Company an endorsement to the Title Policy pursuant to which the Title Insurance Company agrees that its liability for the payment of any loss or damage under the terms and provisions of the Title Policy will not be affected by reason of the fact that a portion of the real property referred to in Schedule A of the Title Policy has been released or conveyed by Lessor.

(2ii) such action will not materially reduce the Fair Market Sales Value, utility or useful life of any Leased Property, the Land or any Building nor Lessor's interest therein; and
(c) in the case of any release or conveyance, if Lessor, the Agent or any Lender so reasonably requests, the requesting Lessee will cause to be issued and delivered to Lessor and the Agent by the Title Insurance Company an endorsement to the Title Policy pursuant to which the Title Insurance Company agrees that its liability for the payment of any loss or damage under the terms and provisions of the Title Policy will not be affected by reason of the fact that a portion of the real property referred to in Schedule A of the Title Policy has been released or conveyed by Lessor.

(c) in the case of any release or conveyance, if Lessor, the Agent or any Lender so reasonably requests, the requesting Lessee will cause to be issued and delivered to Lessor and the Agent by the Title Insurance Company an endorsement to the Title Policy pursuant which shall revise the insured legal description to which delete the Title Insurance Company agrees released property, and shall indicate that its liability for the payment of any loss or damage under the terms and provisions of the Title Policy will not be affected by reason is in full force and effect at the original policy amount. In addition to the foregoing, the related Lessee may arrange for a sale of the fact that a portion of the real property referred Leased Property located at the southeast corner of N.W. 108/th/ Avenue and N.W. 91/st/ Terrace, Miami, Florida and Lessor shall execute such documents and instruments as may be requested by such Lessee to in Schedule A effect such sale, provided that all of the Title Policy following conditions are met: (i) after giving -------- effect to such sale, the Leased Property complies with all Applicable Laws (including all zoning laws and regulations) and all applicable insurance requirements, (ii) after giving effect to such sale, such Leased Property has available all services of public facilities and other utilities, together with all means of egress and ingress, to and from such Leased Property, necessary for the use and operation of such Leased Property for its intended purpose, (iii) the net proceeds of such sale shall be at least equal to the diminution in the Fair Market Sales Value of such Leased Property resulting from such sale, and shall be applied to reduce the Funded Amounts (on a pro rata basis, among the Funding Parties) related thereto, (iv) such sale shall be on an "as is, where is" basis, without representation or recourse on the part of Lessor, (v) the related Lessee shall pay, or shall promptly reimburse the Agent and the Funding Parties for, all out of pocket costs and expenses, including legal fees and disbursements, incurred by any of them in connection with such sale, and (vi) the related Lessee shall deliver a certificate of a Responsible Officer to the effect that the foregoing conditions have been released satisfied and such other certificates and documents as the Agent or conveyed by Lessorany Funding Party shall reasonably request.

(2ii) such action will not materially reduce the Fair Market Sales Value, utility or useful life of any Leased Property, the Land or any Building nor Lessor's ’s interest therein; and
(c) in the case of any release or conveyance, if Lessor, the Agent or any Lender so reasonably requests, the requesting Lessee will cause to be issued and delivered to Lessor and the Agent by the Title Insurance Company an endorsement to the Title Policy pursuant to which the Title Insurance Company agrees that its liability for the payment of any loss or damage under the terms and provisions of the Title Policy will not be affected by reason of the fact that a portion of the real property referred to in Schedule A of the Title Policy has been released or conveyed by Lessor. (ai) any such action shall be at the sole cost and expense of Lessee and Lessee shall pay all actual reasonable and reasonable documented out-of-pocket costs of Lessor, the Agent and any Lender Lessor in connection therewith (including, without limitation, the reasonable and documented fees of attorneys, architects, engineers, planners, appraisers and other professionals reasonably retained by Lessor, the Agent or any Lender Lessor in connection with any such action),;
(bii) Lessee shall have delivered to Lessor and Agent a certificate of a Responsible Officer of Lessee stating that
that (1) such action will not cause any Leased Propertythe Land, the Land or any Building Improvements or any portion thereof to fail to comply in any material respect with the provisions of the this Lease or any other Operative Documents, Documents or in any material respect with Applicable Law; and
Law and (2) such action will not materially reduce the Fair Market Sales Value, utility or useful life of any Leased Property, the Land or any Building the Improvements nor Lessor's interest therein;
(iii) all consideration received, if any, in connection with such action (net of all reasonable out-of- pocket expenses incurred by Lessee in connection therewith) shall be paid to the Lender within ten (10) Business Days following receipt thereof and shall constitute a Qualified Payment (to the extent consistent with the definition thereof) and be applied to reduce the Loan; and
(civ) in the case of any release or conveyance, if Lessor, Lessor so requests and to the Agent or any Lender so reasonably requestsextent available without undue expense, Lessee will cause to be issued and delivered to Lessor and the Agent by the Title Insurance Company an endorsement to the Title Policy pursuant to which the Title Insurance Company agrees that its liability for the payment of any loss or damage under the terms and provisions of the Title Policy will not be affected by reason of the fact that a portion of the real property referred to in Schedule A of the Title Policy has been released or conveyed by Lessor.

Notwithstanding the foregoing paragraph, at the request of Lessee, Lessor (and Agent and the Lenders by accepting an assignment of this Lease) shall, from time to time during the Lease Term and upon reasonable advance written notice from Lessee, and receipt of the materials specified in the next succeeding sentence, consent to and join in any (i) grant of easements, licenses, rights of way and other rights in the nature of easements, including, without limitation, utility easements to facilitate Lessee's use, development development, construction, repair and construction operation of the Leased PropertiesProperty, (ii) release or termination of easements, licenses, rights of way or other rights in the nature of easements which are for the benefit of the Land or the Building(s) or any portion thereof, (iii) dedication or transfer of portions of the Land, not improved with a Buildingbuilding, for road, highway or other public purposes, (iv) execution of agreements for ingress and egress and amendments to any covenants and restrictions affecting the Land or the Building(s) or any portion thereof and (v) request to any Governmental Authority for platting or subdivision or replatting or resubdivision approval with respect to the Land or any portion thereof or any parcel of land of which the Land or any portion thereof forms a part or a request for any variance from zoning or other governmental requirements. Lessor's obligations pursuant to the preceding sentence shall be subject to the requirements that:
(a) any such action shall be at the sole cost and expense of Lessee and Lessee shall pay all actual and reasonable out-of-pocket costs of Lessor, the Agent and any Lender in connection therewith (including, without limitation, the reasonable fees of attorneys, architects, engineers, planners, appraisers and other professionals reasonably retained by Lessor, the Agent or any Lender in connection with any such action),
(b) Lessee shall have delivered to Lessor and Agent a certificate of a Responsible Officer of Lessee stating that
(1) such action will not cause any the Leased Property, the Land or any Building or any portion thereof to fail to comply in any material respect with the provisions of the this Lease or any other Operative Documents, or in any material respect with Applicable Law; and
(2) except as to Alterations required by Applicable Law, such action will not materially reduce the Fair Market Sales Value, utility or useful life of any the Leased Property, the Land or any Building nor Lessor's interest therein; and
(c) in the case of any release or conveyance, if Lessor, the Agent or any Lender so reasonably requests, Lessee will cause to be issued and delivered to Lessor and the Agent by the Title Insurance Company an endorsement to the Title Policy pursuant to which the Title Insurance Company agrees that its liability for the payment of any loss or damage under the terms and provisions of the Title Policy will not be affected by reason of the fact that a portion of the real property referred to in Schedule A of the Title Policy has been released or conveyed by Lessor.

Lessor's obligations pursuant to the preceding sentence shall be subject to the requirements that:
(a) any such action shall be at the sole cost and expense of the requesting Lessee and such Lessee shall pay all actual and reasonable out-of-pocket costs of Lessor, the Agent and any Lender in connection therewith (including, without limitation, the reasonable fees of attorneys, architects, engineers, planners, appraisers and other professionals reasonably retained by Lessor, the Agent or any Lender in connection with any such action),
(b) the requesting Lessee shall have delivered to Lessor and Agent a certificate of a Responsible Officer of such Lessee stating that
(1i) such action will not cause any Leased Property, the Land or any Building or any portion thereof to fail to comply in any material respect with the provisions of the this Lease or any other Operative Documents, or in any material respect with Applicable Law; and
(2ii) such action will not materially reduce the Fair Market Sales Value, utility or useful life of any Leased Property, the Land or any Building nor Lessor's interest therein; and
(c) in the case of any release or conveyance, if Lessor, the Agent or any Lender so reasonably requests, the requesting Lessee will cause to be issued and delivered to Lessor and the Agent by the Title Insurance Company an endorsement to the Title Policy pursuant to which the Title Insurance Company agrees that its liability for the payment of any loss or damage under the terms and provisions of the Title Policy will not be affected by reason of the fact that a portion of the real property referred to in Schedule A of the Title Policy has been released or conveyed by Lessor.

Notwithstanding the foregoing paragraph, at the request of Lessee, Lessor shall, from time to time during the Lease Term and upon reasonable advance written notice from Lessee, and receipt of the materials specified in the next succeeding sentence, consent to and join in any (i) grant of easements, licenses, rights of way and other rights in the nature of easements, including, without limitation, utility easements to which in each case facilitate Lessee's use, development and construction of the Leased PropertiesProperty, (ii) release or termination of easements, licenses, rights of way or other rights in the nature of easements which release and terminations are for the benefit of the Land or the Building(s) Building or any portion thereof, (iii) dedication or transfer of portions of the Land, not improved with a Buildingbuilding, for road, highway or other public purposes, provided the same are for the benefit of the Land or Building, (iv) execution of agreements for ingress and egress and amendments to any covenants and restrictions affecting the Land or the Building(s) Building or any portion thereof and (v) request to any Governmental Authority for platting or subdivision or replatting or resubdivision approval with respect to the Land or any portion thereof or any parcel of land of which the Land or any portion thereof forms a part or a request for any variance from zoning or other governmental requirements. Lessor's obligations pursuant to the preceding sentence shall be subject to the requirements that:
(a) any such action shall be at the sole cost and expense of Lessee and Lessee shall pay all actual and reasonable out-of-pocket costs of Lessor, the Partners, the Administrative Agent and any Lender the Lenders, in connection therewith (including, without limitation, the reasonable fees of attorneys, architects, engineers, planners, appraisers and other professionals reasonably retained by Lessor, the Partners, the Administrative Agent or any Lender the Lenders in connection with any such action),;
(b) Lessee shall have delivered to Lessor Lessor, the Lenders and the Administrative Agent a certificate of a Responsible Officer of Lessee stating that
(1) such action will not cause any the Leased Property, the Land or any Building Property or any portion thereof to fail to comply in any material respect with the provisions of the Lease or any other Operative Documents, or in any material respect with Applicable Law; and
(2) such action will not materially reduce the Fair Market Sales Value, utility or useful life of any the Leased Property, the Land or any Building portion thereof nor Lessor's interest therein; and
(c) in the case of any release or conveyance, if Lessor, Lessor or the Administrative Agent or any Lender so reasonably requests, Lessee will cause to be issued and delivered to Lessor and the Agent by the Title Insurance Company an endorsement to the Title Policy pursuant to which the Title Insurance Company agrees that its liability for the payment of any loss or damage under the terms and provisions of the Title Policy will not be affected by reason of the fact that a portion of the real property referred to in Schedule A of the Title Policy has been released or conveyed by Lessor.

(1i) such action will not cause any Leased Property, the Land or any Building or any portion thereof to fail to comply in any material respect with the provisions of the this Lease or any other Operative Documents, or in any material respect with Applicable Law; and
(2ii) such action will not materially reduce the Fair Market Sales Value, utility or useful life of any Leased Property, the Land or any Building nor Lessor's interest therein; and
(c) in the case of any release or conveyance, if Lessor, the Agent or any Lender so reasonably requests, the requesting Lessee will cause to be issued and delivered to Lessor and the Agent by the Title Insurance Company an endorsement to the Title Policy pursuant to which the Title Insurance Company agrees that its liability for the payment of any loss or damage under the terms and provisions of the Title Policy will not be affected by reason of the fact that a portion of the real property referred to in Schedule A of the Title Policy has been released or conveyed by Lessor. Lessor shall provide written acknowledgments or lien subordination and waiver agreements from time to time, at a Lessee's reasonable request and expense, to other financiers of such Lessee with respect to Lessee Equipment, confirming that this Lease does not cover such Lessee Equipment.

Notwithstanding the foregoing paragraph, at the request of Lessee, Lessor shall, from time to time during the Lease Term and upon reasonable advance written notice from Lessee, Lessee and receipt of the materials specified in the next succeeding sentence, consent to and join in any (i) grant of easements, licenses, rights of way and other rights in the nature of easements, including, without limitation, utility easements to facilitate Lessee's use, development and construction of the Leased PropertiesProperty, (ii) release or termination of easements, licenses, rights of way or other rights in the nature of easements which are for the benefit of the Land or Land, the Building(s) Improvements or any portion thereof, (iii) dedication or transfer of portions of the Land, not improved with a Buildingbuilding, for road, highway or other public purposes, (iv) execution of agreements for ingress and egress and amendments to any covenants and restrictions affecting the Land or Land, the Building(s) Improvements or any portion thereof and (v) request to any Governmental Authority for platting or subdivision or replatting or resubdivision approval with respect to the Land or any portion thereof or any parcel of land of which the Land or any portion thereof forms a part or a request for any variance from zoning or other governmental requirements. Lessor's obligations pursuant to the preceding sentence shall be subject to the requirements that:
(ai) any such action shall be at the sole cost and expense of Lessee and Lessee shall pay all actual reasonable and reasonable documented out-of-pocket costs of Lessor, the Agent and any Lender Lessor in connection therewith (including, without limitation, the reasonable and documented fees of attorneys, architects, engineers, planners, appraisers and other professionals reasonably retained by Lessor, the Agent or any Lender Lessor in connection with any such action),;
(bii) Lessee shall have delivered to Lessor and Agent a certificate of a Responsible Officer of Lessee stating that
that (1) such action will not cause any Leased Propertythe Land, the Land or any Building Improvements or any portion thereof to fail to comply in any material respect with the provisions of the this Lease or any other Operative Documents, Documents or in any material respect with Applicable Law; and
Law and (2) such action will not materially reduce the Fair Market Sales Value, utility or useful life of any Leased Property, the Land or any Building the Improvements nor Lessor's interest therein;
(iii) all consideration received, if any, in connection with such action (net of all reasonable out-of-pocket expenses incurred by Lessee in connection therewith) shall be paid to the Lender within ten (10) Business Days following receipt thereof and shall constitute a Qualified Payment (to the extent consistent with the definition thereof) and be applied to reduce the Loan; and
(civ) in the case of any release or conveyance, if Lessor, Lessor so requests and to the Agent or any Lender so reasonably requestsextent available without undue expense, Lessee will cause to be issued and delivered to Lessor and the Agent by the Title Insurance Company Company, to the extent available in the State of Texas, an endorsement to the Title Policy pursuant to which the Title Insurance Company agrees that its liability for the payment of any loss or damage under the terms and provisions of the Title Policy will not be affected by reason of the fact that a portion of the real property referred to in Schedule A of the Title Policy has been released or conveyed by Lessor.

(1i) such action will not cause any the Leased Property, the Land or any the Building or any portion thereof to fail to comply in any material respect with the provisions of the this Lease or any other Operative Documents, or in any material respect with Applicable LawLaws; and
(2ii) such action will not materially reduce the Fair Market Sales Value, utility or useful life of any the Leased Property, the Land or any the Building nor the Lessor's interest therein; and

(2ii) such action will not materially reduce the Fair Market Sales Value, utility or useful life of any the Leased Property, the Land or any Building nor Lessor's interest therein; and
(c) in the case of any release or conveyance, if Lessor, the Agent or any Lender so reasonably requests, the Lessee will cause to be issued and delivered to Lessor and the Agent by the Title Insurance Company an endorsement to the Title Policy pursuant to which the Title Insurance Company agrees that its liability for the payment of any loss or damage under the terms and provisions of the Title Policy will not be affected by reason of the fact that a portion of the real property referred to in Schedule A of the Title Policy has been released or conveyed by Lessor.

The Lessor's obligations pursuant to the preceding sentence shall be subject to the requirements that:
(ai) any such action shall be at the sole cost and expense of the Lessee and the Lessee shall pay all actual reasonable and reasonable documented out-of-pocket costs of Lessor, the Agent and any Lender Lessor in connection therewith (including, without limitation, the reasonable and documented fees of attorneys, architects, engineers, planners, appraisers and other professionals reasonably retained by Lessor, the Agent or any Lender Lessor in connection with any such action),;

Law and (2) such action will not materially reduce the Fair Market Sales Value, utility or useful life of any the Leased Property, Property nor the Land or any Building nor Lessor's interest therein; and
(ciii) in the case of any release or conveyance, if Lessorthe Lessor so requests and to the extent available without undue expense, the Agent or any Lender so reasonably requests, Lessee will cause to be issued and delivered to Lessor and the Agent Credit Bank by the Title Insurance Company an endorsement to the Title Policy pursuant to which the Title Insurance Company agrees that its liability for the payment of any loss or damage under the terms and provisions of the Title Policy will not be affected by reason of the fact that a portion of the real property referred to in Schedule A of the Title Policy has been released or conveyed by the Lessor.

(a) any such action shall be at the sole cost and expense of the requesting Lessee and such Lessee shall pay all actual and reasonable out-of-of- pocket costs of Lessor, Lessor and the Agent and any Lender in connection therewith (including, without limitation, the reasonable fees of attorneys, architects, engineers, planners, appraisers and other professionals reasonably retained by Lessor, Lessor or the Agent or any Lender in connection with any such action, it being expressly understood that such parties may be approved in advance by Lessor and retained by Lessee as Construction Agent so that duplicate charges may be avoided),;
(b) the requesting Lessee shall have delivered to Lessor and Agent a certificate of a Responsible Officer of such Lessee stating that
(1i) such action will not cause any Leased Property, the Land or any Building or any portion thereof to fail to comply in any material respect with the provisions of the this Lease or any other Operative Documents, or in any material respect with Applicable Law; and
(2ii) such action will not materially reduce the Fair Market Sales Value, utility or useful life of any Leased Property, the Land or any Building nor Lessor's interest therein; and
(c) in the case of any release or conveyance, if Lessor, the Agent or any Lender so reasonably requests, the requesting Lessee will cause to be issued and delivered to Lessor and the Agent by the Title Insurance Company an endorsement to the Title Policy pursuant to which confirming that such release or reconveyance does not impair the Title Insurance Company agrees that its liability for validity, enforceability or priority of this Lease or the payment of any loss or damage under Lessor's interest in the terms and provisions of the Title Policy will not be affected by reason of the fact that a portion of the real property referred to in Schedule A of the Title Policy has been released or conveyed by LessorLeased Property.

Notwithstanding the foregoing paragraph, at the request of Lessee, Lessor shall, from time to time during the Lease Term and upon reasonable advance written notice from Lessee, and receipt of the materials specified in the next succeeding sentence, consent to and join in any (i) grant of easements, licenses, rights of way and other rights in the nature of easements, including, without limitation, utility easements to facilitate Lessee's ’s use, development and construction of the Leased Properties, (ii) release or termination of easements, licenses, rights of way or other rights in the nature of easements which are for the benefit of the Land or the Building(s) or any portion thereof, (iii) dedication or transfer of portions of the Land, not improved with a Building, for road, highway or other public purposes, (iv) execution of agreements for ingress and egress and amendments to any covenants and restrictions affecting the Land or the Building(s) or any portion thereof and (v) request to any Governmental Authority for platting or subdivision or replatting or resubdivision approval with respect to the Land or any portion thereof or any parcel of land of which the Land or any portion thereof forms a part or a request for rezoning or any variance from zoning or other governmental requirements. Lessor's ’s obligations pursuant to the preceding sentence shall be subject to the requirements that:
(a) any such action shall be at the sole cost and expense of Lessee and Lessee shall pay all actual and reasonable out-of-pocket costs of Lessor, the Agent and any Lender in connection therewith (including, without limitation, the reasonable fees of attorneys, architects, engineers, planners, appraisers and other professionals reasonably retained by Lessor, the Agent or any Lender in connection with any such action),
(b) Lessee shall have delivered to Lessor and Agent a certificate of a Responsible Officer of Lessee stating that:
(1i) such action will not cause any Leased Property, the Land or any Building or any portion thereof to fail to comply in any material respect with the provisions of the this Lease or any other Operative Documents, or in any material respect with Applicable Law; and
(2ii) such action will not materially reduce the Fair Market Sales Value, utility or useful life of any Leased Property, the Land or any Building nor Lessor's ’s interest therein; and
(c) in the case of any release or conveyance, if Lessor, the Agent or any Lender so reasonably requests, Lessee will cause to be issued and delivered to Lessor and the Agent by the Title Insurance Company an endorsement to the Title Policy pursuant to which the Title Insurance Company agrees that its liability for the payment of any loss or damage under the terms and provisions of the Title Policy will not be affected by reason of the fact that a portion of the real property referred to in Schedule A of the Title Policy has been released or conveyed by Lessor.

(b) the requesting Lessee shall have delivered to Lessor and Syndication Agent a certificate of a Responsible Officer of such Lessee stating that
(1i) such action will not cause any Leased Property, the Land or any Building or any portion thereof to fail to comply in any material respect with the provisions of the this Lease or any other Operative Documents, or to the best of such officer's knowledge, in any material respect with Applicable Law; and
(2ii) such action will not materially reduce the Fair Market Sales Value, utility or useful life of any Leased Property, the Land or any Building nor Lessor's interest therein; and
(c) in the case of any release or conveyance, if Lessor, the Syndication Agent or any Lender so reasonably requests, the requesting Lessee will cause to be issued and delivered to Lessor and the Syndication Agent by the Title Insurance Company an endorsement to the Title Policy pursuant to which the Title Insurance Company agrees that its liability for the payment of any loss or damage under the terms and provisions of the Title Policy will not be affected by reason of the fact that a portion of the real property referred to in Schedule A of the Title Policy has been released or conveyed by Lessor.
