Maintenance and Repair; Compliance With Law. At all times during the Lease Term, the Lessee shall (a) maintain the Improvements and the Site in good operating condition and repair, subject to ordinary wear and tear, and in any event in a manner consistent with other similar facilities or buildings owned or leased by the Lessee and its Subsidiaries; (b) subject to Section 9.5, maintain the Improvements and the Site in accordance with all Applicable Laws (including all Environmental Laws) in all material respects, whether or not such maintenance requires structural modifications; (c) maintain the Improvements and the Site in such a way that the Improvements and the Site shall not constitute a danger to persons or things; (d) comply in all material respects with the Insurance Requirements which are in effect at any time with respect to the Leased Property or any part thereof; (e) use the Improvements and the Site only in accordance with Article X; (f) make all necessary or appropriate repairs, replacements and renewals of the Improvements and the Site or any part thereof which may be required to keep the Improvements and the Site in the condition required by the preceding clauses (a) through (e), whether interior or exterior, structural or nonstructural, ordinary or extraordinary, foreseen or unforeseen, and including repairs, replacements and renewals that would constitute capital expenditures under GAAP if incurred by an owner of property; and (g) procure, maintain and comply in all material respects with all licenses, permits, orders, approvals, consents and other authorizations required for the construction, use, maintenance and operation of the Improvements and the Site. The Lessee waives any right that it may now have or hereafter acquire to (x) require the Lessor to maintain, repair, replace, alter, remove or rebuild all or any part of the Improvements or the Site or (y) make repairs at the expense of the Lessor pursuant to any Applicable Laws or other agreements.

Maintenance and Repair; Compliance With Law. Lessee, at its own expense, shall at all times (i) maintain the Leased Property in good repair and condition (subject to ordinary wear and tear), in accordance with prudent industry standards and, in any event, in no less a manner as other similar automobile auction facilities owned or leased by ADESA, Lessee or ADESA's other subsidiaries, (ii) make all alterations in accordance with, and maintain (whether or not such maintenance requires structural modifications or alterations) and operate and otherwise keep the Leased Property in compliance with, all applicable laws and (iii) make all material repairs, replacements and renewals of the Leased Property or any part thereof which may be required to keep the Leased Property in the condition required by the preceding clauses (i) and (ii). Lessee shall perform the foregoing maintenance obligations regardless of whether the Leased Property is occupied or unoccupied. Lessee waives any right that it may now have or hereafter acquire to (i) require Lessor to maintain, repair, replace, alter, remove or rebuild all or any part of the Leased Property or (ii) make repairs at the expense of Lessor pursuant to any applicable law or other agreements or otherwise. Lessor shall not be liable to Lessee or to any contractors, subcontractors, laborers, materialmen, suppliers or vendors for services performed or material provided on or in connection with the Leased Property or any part thereof. Lessor shall not be required to maintain, alter, repair, rebuild or replace the Leased Property in any way.
Maintenance and Repair; Compliance With Law. Lessee, at its ------------------------------------------- own expense, shall at all times (a) maintain the Leased Assets in good and safe repair and condition, subject to ordinary wear and tear; provided, that the -------- condition of all Leased Assets shall be maintained in at least as good and safe repair and condition as similar systems and equipment that Lessee (or its Affiliates) owns or leases from others; (b) maintain, manage and monitor the Leased Assets in accordance with all Applicable Laws, whether or not such maintenance requires structural modifications, noncompliance with which (i) would have a material adverse effect on Lessee's right to use all or a material portion of the Leased Assets or Lessee's business or financial condition, (ii) would result in an injunction preventing or otherwise interfere with the disposition of any System in any material respect after the Lease Termination Date, (iii) would adversely affect the fair market value, utility, remaining economic useful life or residual value of any System comprising a portion of the Leased Assets, or (iv) would adversely affect Lessor's interest in any System comprising a portion of the Leased Assets; (c) comply with the standards imposed by any insurance policies required to be maintained hereunder which are in effect at any time with respect to the Leased Assets; (d) maintain, manage and monitor the Leased Assets in accordance with all applicable contracts, including service contracts and insurance contracts; (e) conduct all scheduled maintenance of the Leased Assets in conformity with maintenance and repair guidelines, if any, for similar property (including, without limitation, Lessee's maintenance program for such property); (f) cause each System subject to a Lease Supplement to continue to have at all times at least the capacity and functional ability to be used for, on a continuing basis (subject to normal interruption in the ordinary course of business for maintenance, inspection and repair) and in Commercial Operation, the purposes for which it was specifically designed; (g) make all necessary or appropriate repairs, replacements, substitutions and renewals of the Leased Assets or any part thereof which may be required to keep the Leased Assets in the condition required by the preceding clauses (a) through ----------- (f), in accordance with standard industry practice; and (h) procure, maintain --- and comply in all material respects with all material licenses, permits, ord...
Maintenance and Repair; Compliance With Law. (a) Debtor, at its own expense, shall at all times maintain the Collateral in good and safe order, operating condition and repair (ordinary wear and tear excepted), substantially in conformance with the maintenance and repair standards and procedures as are set forth in the manufacturer's manuals pertaining to same (and in any event to at least as high a standard of maintenance and repair as Debtor and/or its Affiliates observe with respect to similar equipment owned or leased by Debtor or any such Affiliate) and as otherwise required to enforce claims against each vendor or manufacturer of each item of Collateral and in compliance in all material respects with applicable laws and the standards imposed by insurance policies required to be maintained under the Indenture and this Agreement with respect to the Collateral.

Maintenance and Repair; Compliance With Law. (1) Without limiting Lessee's obligations under Section 5.11 of the Participation Agreement, Lessee, at its own expense, shall at all times maintain the Equipment in good and safe order, operating condition and repair (ordinary wear and tear excepted), substantially in conformance with the maintenance and repair standards and procedures as are set forth in the manufacturer's manuals pertaining to the Equipment (and in any event to at least as high a standard of maintenance and repair as Lessee and/or its Affiliates observe with respect to similar equipment owned or leased by Lessee or any such Affiliate) and as otherwise required to enforce claims against each vendor or manufacturer of each item of Equipment and in compliance in all material respects with Applicable Laws and the standards imposed by insurance policies required to be maintained hereunder with respect to the Equipment.
