Common use of Limitation of JSC Authority Clause in Contracts

Limitation of JSC Authority. The JSC shall only have the powers expressly assigned to it in this Article 3 and elsewhere in this Agreement and shall not have the authority to: (a) modify or amend the terms and conditions of this Agreement; (b) waive or determine either Party’s compliance with the terms and conditions of under this Agreement; or (c) decide any issue in a manner that would conflict with the express terms and conditions of this Agreement.

The JSC shall only have the powers expressly assigned to it in this Article 3 4 and elsewhere in this Agreement and shall not have the authority to: (a) modify or amend the terms and or conditions of this Agreement; (b) waive or determine either Party’s compliance with the terms and or conditions of under this Agreement; or (c) decide any issue in a manner that would conflict with the express [***] terms and or conditions of this Agreement; or (d) bind either Party in any way, without prior written consent of such Party.

The JSC shall only have the powers expressly assigned to it in this Article 3 (Governance) and elsewhere in this Agreement and shall not have the authority to: (a) modify or amend the terms and conditions of this Agreement; (b) waive or determine either Party’s compliance with the terms and conditions of under this Agreement; or (c) decide determine any such issue in a manner that would conflict with the express terms and conditions of this Agreement.

Limitation of JSC Authority. The JSC shall only have the powers expressly assigned to it in this Article 3 Section 3.3 and elsewhere in this Agreement and shall not have the authority to: : (ai) modify or amend the terms and or conditions of this Agreement; (bii) waive or determine either Party’s compliance with the terms and or conditions of under this Agreement; or (ciii) decide any issue in a manner that would conflict with the express terms and or conditions of this Agreement; or (iv) bind either Party in any way, without prior written consent of such Party. The activities to be performed by the JSC shall solely relate to governance under this Agreement, and are not intended to be or involve the delivery of services.

Limitation of JSC Authority. The JSC shall only have the powers expressly assigned to it in this Article 3 and elsewhere in this Agreement and shall not have the authority to: (a) modify or amend the terms and conditions of this AgreementAgreement (including any material alteration to the terms of the Services or time commitments of any Consultant); (b) waive or determine either Party’s compliance with the terms and conditions of under this Agreement; or (c) decide any issue in a manner that would conflict with the express terms and conditions of this Agreement.

Limitation of JSC Authority. The JSC shall only have the powers expressly assigned to it in this Article 3 Sections 2.6, 3.2(a), 3.5, 4.3 and elsewhere in this Agreement 4.6 and shall not have the authority to: (a) modify or amend the terms and conditions of this Agreement; (b) waive or determine either Party’s compliance with the terms and conditions of under this Agreement; or (c) decide any issue in a manner that would conflict with the express terms and conditions of this Agreement.
