LIMITATION ON BUSINESS CONDUCT. Neither RP nor any of the RP Subsidiaries is a party to, or has any obligation under, any contract or agreement, written or oral, which contains any covenants currently or prospectively limiting in any material respect the freedom of RP or any of the RP Subsidiaries to engage in any line of business or to compete with any entity or which would prohibit the business of RP, CSI or any of their respective Subsidiaries from being conducted in substantially the same manner as it was conducted prior to the Merger.
