Common use of Limitation on Delegation Clause in Contracts

Limitation on Delegation. The Company acknowledges and agrees that in accepting the delegation hereunder, the Transfer Agent is agreeing to perform only the Delegated Duties, as may be amended from time to time, and is not undertaking and shall not be responsible for any other aspect of the AML Program for the Company or for the overall compliance by the Company with the USA PATRIOT Act or for any other matters that have not been delegated hereunder. Additionally, the parties acknowledge and agree that the Transfer Agent shall only be responsible for performing the Delegated Duties with respect to the ownership of, and transactions in, the Accounts for which the Transfer Agent maintains the applicable shareholder information.

The Company Trust acknowledges and agrees that in accepting the delegation hereunder, the Transfer Agent is agreeing to perform only those duties that have been expressly delegated on this Schedule 1.2(g) (the “Delegated Duties”), as may be amended from time to time, and is not undertaking and shall not be responsible for any other aspect of the AML Program for the Company or for the overall compliance by the Company Trust with the USA PATRIOT Act or for any other matters that have not been delegated hereunder. Additionally, the parties acknowledge and agree that the Transfer Agent shall only be responsible for performing the Delegated Duties with respect to the ownership of, and transactions in, shares in the Accounts Trust for which the Transfer Agent maintains the applicable shareholder information.

The Company Trust acknowledges and agrees that in accepting the delegation hereunder, the Transfer Agent is agreeing to perform only the Delegated Duties, as may be amended from time to time, and is not undertaking and shall not be responsible for any other aspect of the AML Program for the Company or for the overall compliance by the Company Trust with the USA PATRIOT U.S. Global Investors Funds Transfer Agency Agreement Dated July 31, 2008 Act or for any other matters that have not been delegated hereunder. Additionally, the parties acknowledge and agree that the Transfer Agent shall only be responsible for performing the Delegated Duties with respect to the ownership of, and transactions in, the Accounts accounts for which the Transfer Agent maintains the applicable shareholder information.

Limitation on Delegation. The Company Trust acknowledges and agrees that in accepting the delegation hereunder, the Transfer Agent is agreeing to perform only the Delegated Duties, as may be amended from time to time, AML Procedures and is not undertaking and shall not be responsible for any other aspect of the Trust AML Program for the Company or for the overall compliance by the Company Trust with the USA PATRIOT Act or for any other matters that have not been delegated hereunder. Additionally, the parties acknowledge and agree that the Transfer Agent shall only be responsible for performing the Delegated Duties ALPS AML Procedures with respect to the ownership of, and transactions in, Shares in the Accounts Portfolio(s) for which the Transfer Agent maintains the applicable shareholder Shareholder information. For the avoidance of doubt, the Transfer Agent is not responsible for the beneficial information held in omnibus accounts.

Limitation on Delegation. The Company Trust acknowledges and agrees that in accepting the delegation hereunder, the Transfer Agent is agreeing to perform only the Delegated Duties, as may be amended from time to timetime for the Portfolio Accounts, and is not undertaking and shall not be responsible for any other aspect of the AML Program for the Company Trust or for the overall compliance by the Company Portfolio Accounts with the USA PATRIOT Act or for any other matters that have not been delegated hereunder. Additionally, the parties acknowledge and agree that the Transfer Agent shall only be responsible for performing the Delegated Duties with respect to the ownership of, and transactions in, the Portfolio Accounts for which the Transfer Agent maintains the applicable shareholder information.
