Limitation on Liens; Negative Pledges. Except for Permitted Liens and as expressly permitted pursuant to the Intercreditor Agreements, the Borrower shall not, and shall not suffer or permit any of its Subsidiaries to, directly or indirectly, make, create, incur, assume or suffer to exist any Lien upon or with respect to any part of the Collateral, whether now owned or hereafter acquired, other than Permitted Liens, (b) the Borrower shall not enter into any transaction or series of transactions pursuant to which it grants a security interest in the Collateral (other than a Permitted Lien), without the consent of all of the Lenders; and (c) the Borrower shall not grant a negative pledge to any 104 Person under any agreement, indenture or other document if the result would be to inhibit the ability of the Borrower to grant a first priority (subject to Permitted Liens) perfected security interest in favor of the Administrative Agent in the Collateral.

Limitation on Liens; Negative Pledges. The Company will not, and will not permit any Restricted Subsidiary to, create, incur, assume or suffer to exist any Lien on any of its assets or properties of any character, or any shares of Capital Stock or Indebtedness of any Restricted Subsidiary, without making effective provisions for all of the Notes and all other amounts due under the Indentures to be directly secured equally and ratably with (or, if the obligation or liability to be secured by such Lien is subordinated in right of payment to the Notes, prior to) the obligation or liability secured by such Lien. The foregoing limitation does not apply to (i) Liens existing on the Closing Date or arising thereafter in connection with the New Credit Facility; (ii) Liens granted after the Closing Date on any assets or Capital Stock of the Company or its Restricted Subsidiaries created in favor of the Holders; (iii) Liens with respect to the assets of a Restricted Subsidiary granted by such Restricted Subsidiary to the Company or a Wholly Owned Restricted Subsidiary to secure Indebtedness owing to the Company or such other Restricted Subsidiary; (iv) Liens securing Indebtedness which is Incurred to refinance secured Indebtedness which is permitted to be Incurred under clause (iii) of the second paragraph of Section 4.8(a); PROVIDED that such Liens do not extend to or cover any property or assets of the company or any Restricted Subsidiary other than the property or assets securing the Indebtedness being financed; (v) Liens securing Indebtedness Incurred under clause (i), (iv), (viii) and (ix) of the second paragraph of Section 4.8(a); or (vi) Permitted Liens; The Company, CHS Delaware, Inc. and CHS Delaware L.L.C. hereby provide Negative Pledges to the Trustee for the benefit of the Holders of 100% of the partnership interests in, and all of the assets of, CHS Cayman L.P., except for its shares in CHS Logistic Services B.V., which will be pledged only as security for the New Credit Facility.
