Prohibition on Liens. The indenture governing the Second Priority Senior Secured Notes will prohibit SATMEX or any guarantor from granting or suffering to exist any lien on the Shared Collateral other than liens securing: - the First Priority Senior Secured Notes and any refinancing thereof; - the Second Priority Senior Secured Notes and any refinancing thereof; - taxes, assessments or other governmental charges or levies not yet delinquent or which are being validly contested in good faith; - carriers', warehousemen's, mechanics', laborers' or similar liens arising in the ordinary course of business and securing obligations that are not yet due and payable or that are being contested in good faith and in respect of which SATMEX will have set aside on its books reserves; - purchase money liens to finance the acquisition of assets in the ordinary course of business so long as such lien is limited to the assets so acquired, the indebtedness does not exceed the purchase price and such lien exists at the time of the acquisition or will be created within 180 days of such acquisition; and - other customary permitted liens.
