Limitation on Modifications. (a) The Company shall not amend, modify, waive or otherwise change any provision of the Company Operating Agreement without the prior written consent of the Majority Holders. (b) The Company shall not amend, modify, waive or otherwise change any provision of the MBIA Facility without the prior written consent of the Majority Holders. (c) The Company shall not amend, modify, waive or otherwise change any provision of the Subordinated Facility without the prior written consent of the Majority Holders.
