Limitation on Officers’ Liability. Except as otherwise provided in Section 608.4228 of the Act, the Officers shall not be liable, responsible, or accountable, in damages or otherwise to the Company or the Members for any act performed by them within the scope of the authority conferred on them by this Agreement, except for intentional acts of malfeasance, gross negligence, fraud or intentional misrepresentation.
