Limitation on Payments and Benefits. Notwithstanding any other provision of this Agreement, payments pursuant to this Agreement shall be subject to the following limitations: (a) No payment (other than a payment pursuant to Section 3) shall be made pursuant to this Agreement until the Release has become effective according to its terms. (b) If the Executive intentionally and materially breaches any provision of the Confidentiality and Non-Competition Agreement, and fails to cure such breach (if curable) within thirty (30) days, he shall promptly repay to the Company any and all severance amounts previously paid to him pursuant to Section 4 and/or 5, and he shall have no further rights pursuant to this Agreement. (c) Payments hereunder shall be limited to the extent provided in Section 6.
