Common use of Limitation on Purchaser’s Liability Clause in Contracts

Limitation on Purchaser’s Liability. Purchaser’s maximum aggregate liability for Claims for breaches of representations and warranties under this Agreement is limited to Purchaser’s Maximum Liability set forth in Part VI of Appendix B; provided that the Purchaser’s Maximum Liability will not apply to any Claim based on (A) actual fraud or (B) any breach of the representations and warranties set forth in Sections 3.1, 3.2, 3.3, 3.5 and 3.11.

The Purchaser’s maximum aggregate liability for Claims for breaches of representations and warranties under this Agreement with respect to an Acquisition is limited to the Purchaser’s Maximum Liability set forth in Part VI of Section A of the Appendix Bfor such Acquisition; provided that the Purchaser’s Maximum Liability will not apply to any Claim based on (A) actual fraud or willful misrepresentation with respect to such Acquisition or (B) any breach of the representations and warranties set forth in Sections 3.1‎3.1, 3.2‎3.2, 3.3‎3.3, 3.5 ‎3.5 and 3.11‎‎3.10 with respect to such Acquisition.

Purchaser’s Purchasers’ maximum aggregate liability for Claims for breaches of representations and warranties under this Agreement is limited to Purchaser’s Maximum Liability set forth in Part VI of Appendix B; provided that the Purchaser’s Maximum Liability will not apply to any Claim based on (A) actual fraud or willful misrepresentation, (B) any breach of the representations and warranties set forth in Sections 3.1, 3.2, 3.3, 3.5 and 3.113.10, and (C) solely with respect to PEGI, paragraphs 1, 2, 3, 5, 6, 9 and 10 of Appendix B-6.
