Limitation on Put and Call Rights. Notwithstanding anything in this Schedule A to the contrary, the Company shall not be required to purchase any Options, Option Shares or Purchased Shares (whether through the exercise of a put or a call) if such purchase would be, or would result in, a violation of the terms of its then existing debt agreements or any applicable law or regulation. In addition, no such put or call will occur if, in the reasonable discretion of the Board, such purchase would be reasonably likely to (i) impair the Company's available cash, (ii) require unsuitable additional debt to be incurred by the Company or (iii) result in any other adverse economic or financial condition, in each case only to the extent that any such event described in clauses (i), (ii) or (iii), individually or in the aggregate, would have or would reasonably be expected to have a material adverse effect on the financial condition of the Company.
