Common use of Limitation on Sections 11.1 and 11 Clause in Contracts

Limitation on Sections 11.1 and 11. 2. The provisions of sections 11.1 and 11.2 shall not apply to any Development meeting the following conditions: (a) such Development was developed entirely on Executive's own time; and (b) such Development was made without the use of any Company equipment, supplies, facility or trade secret information; and (c) such Development does not relate (i) directly to the business of the Company, or (ii) to the Company's actual or demonstrably anticipated research or development.
