LIMITATION ON VOTING POWER. It is expressly understood and acknowledged that nothing contained herein is intended to restrict the Stockholder from voting on any matter, or otherwise from acting, in the Stockholder's capacity as a director of the Company with respect to any matter, including but not limited to, the management or operation of the Company.

It is expressly understood and acknowledged that nothing contained herein is intended to restrict the Shareholder from voting on any matter, or otherwise from acting, in the Shareholder’s capacity as a director or officer of Exchange with respect to any matter including, but not limited to, the management or operation of Exchange.
LIMITATION ON VOTING POWER. It is expressly understood and acknowledged that nothing contained herein is intended to restrict any Post-Closing EPi Stockholder from voting on any matter (other than the election of directors of EPi) or otherwise from acting, in the Post-Closing EPi Stockholder's capacity as a director or officer of EPi, EPi Sub, HTD, Gemini, or the Partnership with respect to any matter, including but not limited to, the management or operation of EPi, EPi Sub, HTD, Gemini, or the Partnership.
LIMITATION ON VOTING POWER. It is expressly understood and acknowledged that nothing contained herein is intended to restrict the Shareholder from voting on any matter, or otherwise from acting, in the Shareholder's capacity as a director or officer of Towne Financial with respect to any matter, including but not limited to, the management or operation of Towne Financial.
LIMITATION ON VOTING POWER. It is expressly understood and acknowledged that nothing contained herein is intended to restrict the Shareholder from voting on any matter, or otherwise from acting, in the Shareholder’s capacity as a director or officer of PVFC with respect to any matter, including but not limited to, the management or operation of PVFC.
LIMITATION ON VOTING POWER. The parties hereto acknowledge and agree that nothing contained herein is intended to restrict a Shareholder from voting on any matter, or otherwise from acting, in the Shareholder's capacity as a director of Maple Leaf with respect to any matter, including but not limited to, the management or operation of Maple Leaf.
LIMITATION ON VOTING POWER. It is expressly understood and acknowledged that nothing contained herein is intended to restrict the Stockholder from voting on any matter, or otherwise from acting, in the Stockholder’s capacity as a director or officer of NBM with respect to any matter including, but not limited to, the management or operation of NBM.
LIMITATION ON VOTING POWER. It is expressly understood and acknowledged that nothing contained herein is intended to restrict the Shareholder from voting on any matter, or otherwise from acting, in the Shareholder's capacity as a director or officer of Winter Park Bank with respect to any matter, including but not limited to, the management or operation of Winter Park Bank.
LIMITATION ON VOTING POWER. It is expressly understood and acknowledged that nothing contained herein is intended to restrict the Shareholder from voting on any matter, or otherwise from acting, in the Shareholder's capacity as a director or officer of FTC with respect to any matter, including but not limited to, the management or operation of FTC. In addition, Shareholder may be relieved of his/her duties under Section 1 hereof if the Agreement has been terminated in connection with Section 8.01(e) and FNBI has been paid the Termination Fee required under such Section.

It is expressly understood and acknowledged that nothing contained herein is intended to restrict the Stockholder from voting on any matter, or otherwise from acting, in the Stockholder's capacity as a director or officer of Genoa with respect to any matter, including but not limited to, the management or operation of Genoa.
