Common use of Limitations on Authority of Manager Clause in Contracts

Limitations on Authority of Manager. The Manager shall have no authority to: (a) do any act in contravention of this Agreement; (b) do any act on behalf of the Company that would make it impossible to carry on the ordinary business of the Company; (c) confess a judgment against the Company; or (d) possess Company property, or assign the rights in specific Company property, other than for a Company purpose.

Limitations on Authority of Manager. The Manager shall not have no the authority to: (a) , or cause the Company to, do any act in contravention of this Agreement; (b) do , including any act on behalf actions specifically reserved to the Members. The Manager shall not have the authority to, or cause the Company to, encumber the Properties without the consent of the Company that would make it impossible to carry on the ordinary business of the Company; (c) confess a judgment against the Company; or (d) possess Company property, or assign the rights in specific Company property, other than for a Company purposeMembers.

Limitations on Authority of Manager. The Notwithstanding any other provision in this Agreement to the contrary, no Manager shall have no authority todo any of the following on behalf of the Company: (a) do Alter the primary purposes of the Company, as set forth in Section 1.02.3 above; (b) Pledge or hypothecate the credit of the Company for any purpose other than in furtherance of the Company’s business or as required by the Master Agreement; (c) Possess Company property, or assign its rights in specific Company property, for other than a Company purpose; or (d) Do any act in contravention of this Agreement; (b) do any act on behalf of the Company that would make it impossible to carry on the ordinary business of the Company; (c) confess a judgment against the Company; or (d) possess Company property, or assign the rights in specific Company property, other than for a Company purpose.
