Common use of Limitations on Availability of Resale Services Clause in Contracts

Limitations on Availability of Resale Services. The following limitations shall apply to Resale Services: 10.3.1 Any Telecommunications Services which SBC-AMERITECH offers to existing retail subscribers, but not to new subscribers (“Grandfathered Services”), may be revised or supplemented from time to time to include those additional services that SBC-AMERITECH may, in its discretion and to the extent permitted by Applicable Law, classify as Grandfathered Services. SBC-AMERITECH agrees to make Grandfathered Services available to CLEC for resale to any Customer of SBC-AMERITECH that subscribes to a Grandfathered Service from SBC-AMERITECH at the time of its selection of CLEC as its primary local exchange carrier. If a local Telecommunications Service is subsequently classified as a Grandfathered Service by SBC-AMERITECH, SBC-AMERITECH agrees to continue to sell such Grandfathered Service (subject to the terms of Section 10.3.2) to CLEC for resale to CLEC’s Customers that subscribe to such Grandfathered Service at the time it is so classified by SBC-AMERITECH. Grandfathered Services shall be made available to CLEC at wholesale rates determined in accordance with the Act. To the extent that SBC- AMERITECH is unable to provide wholesale systems support and billing within the first ninety (90) days from the date each CLEC Resale Customer is provided such Grandfathered Service, SBC-AMERITECH shall retroactively apply such wholesale rate as a credit to CLEC and will bill such service to CLEC from its retail billing systems. 10.3.2 Any Telecommunication Services which SBC-AMERITECH currently intends to discontinue offering to any retail subscriber (“Sunsetted Services”) may be revised or supplemented from time to time to include those additional Telecommunications Services that SBC-AMERITECH may, in its discretion and to the extent permitted by Applicable Law, classify as Sunsetted Services. SBC-AMERITECH agrees to make Sunsetted Services available to CLEC for resale to CLEC’s Customers who are subscribers to the Sunsetted Service either from SBC-AMERITECH or CLEC at the time so classified (subject to the provisions of Section 10.3.1 if such Sunsetted Service was previously classified as a Grandfathered Service) until the date such service is discontinued.

Grandfathered Services shall be made available to CLEC Requesting Carrier at wholesale a discount off the retail rates determined in accordance with the Act. To the extent that SBC- AMERITECH is unable to provide wholesale systems support and billing within the first ninety (90) days from the date each CLEC Resale Customer is provided for such Grandfathered Service, SBC-AMERITECH shall retroactively apply Services based on Ameritech’s avoided costs associated with such wholesale rate as a credit to CLEC and will bill such service to CLEC from its retail billing systemsGrandfathered Services. 10.3.2 Any The Telecommunication Services which SBC-AMERITECH that Ameritech currently intends to discontinue offering to any retail subscriber (“Sunsetted Services”) are identified in the Resale Tariff, as such Resale Tariff may be revised or supplemented from time to time to include those additional Telecommunications Services that SBC-AMERITECH Ameritech may, in at its discretion and to the extent permitted by Applicable Law, classify as Sunsetted Services. SBC-AMERITECH Ameritech agrees to make Sunsetted Services available to CLEC Requesting Carrier for resale to CLECRequesting Carrier’s Customers who are subscribers to the Sunsetted Service either from SBC-AMERITECH Ameritech or CLEC Requesting Carrier at the time so classified (subject to the provisions of Section 10.3.1 if such Sunsetted Service was previously classified as a Grandfathered Service prior to its classification as a Sunsetted Service) until the date such service is discontinued. 10.3.3 Each Party acknowledges that Resale Services shall be available to Requesting Carrier on the same basis (including the availability of features and facilities) as offered by Ameritech to itself or to any subsidiary, Affiliate, or any other person to which Ameritech directly provides the Resale Services, including Ameritech’s retail Customers and other resellers of Ameritech’s Telecommunications Services.

If a local Telecommunications Service is subsequently classified as a Grandfathered Service by SBC-AMERITECHAmeritech, SBC-AMERITECH Ameritech agrees to continue to sell such Grandfathered Service (subject to the terms of Section 10.3.2) to CLEC Requesting Carrier for resale to CLEC’s Requesting Xxxxxxx's Customers that subscribe to such Grandfathered Service at the time it is so classified by SBC-AMERITECHAmeritech. Grandfathered Services shall be made available to CLEC Requesting Carrier at wholesale rates determined in accordance with the Act. To the extent that SBC- AMERITECH Ameritech is unable to provide wholesale systems support and billing within the first ninety (90) days from the date each CLEC Requesting Carrier Resale Customer is provided such Grandfathered Service, SBC-AMERITECH Ameritech shall retroactively apply such wholesale rate as a credit to CLEC Requesting Carrier and will bill such service to CLEC Requesting Carrier from its retail billing systems. 10.3.2 Any Telecommunication Services which SBC-AMERITECH Ameritech currently intends to discontinue offering to any retail subscriber (“Sunsetted Services”) are set forth in the Resale Tariff as such Resale Tariff may be revised or supplemented from time to time to include those additional Telecommunications Services that SBC-AMERITECH Ameritech may, in its discretion and to the extent permitted by Applicable Law, classify as Sunsetted Services. SBC-AMERITECH Ameritech agrees to make Sunsetted Services available to CLEC Requesting Carrier for resale to CLEC’s Requesting Carrier's Customers who are subscribers to the Sunsetted Service either from SBC-AMERITECH Ameritech or CLEC Requesting Carrier at the time so classified (subject to the provisions of Section 10.3.1 if such Sunsetted Service was previously classified as a Grandfathered Service) until the date such service is discontinued. 10.3.3 Each Party acknowledges that Resale Services shall be available to Requesting Carrier on the same basis as offered by Ameritech to itself or to any subsidiary, Affiliate, or any other person to which Ameritech directly provides the Resale Services, including Ameritech’s retail Customers and other resellers of Ameritech's Telecommunications Services (i) only in those service areas in which such Resale Services (or any feature or capability thereof) are offered by Ameritech to itself or to any subsidiary, Affiliate, or any other person, including Ameritech's retail Customers and (ii) to the same extent as Ameritech's retail Telecommunications Services are subject to the availability of facilities.

SBC-AMERITECH Ameritech agrees to make Grandfathered Services available to CLEC Frontier for resale to any Customer of SBC-AMERITECH that subscribes to a Grandfathered Service from SBC-AMERITECH at the time of its selection of CLEC as its primary local exchange carrier. If a local Telecommunications Service is subsequently classified as a Grandfathered Service by SBC-AMERITECHresale, SBC-AMERITECH agrees to continue to sell such Grandfathered Service (subject to the terms of Section 10.3.2) , to CLEC for resale to CLEC’s those Customers that (i) subscribed to the applicable Telecommunications Service (whether through Ameritech or Frontier as the provider) at the time such service was classified by Ameritech as a Grandfathered Service and (ii) continue to subscribe to such Grandfathered Service at the time it is so classified by SBC-AMERITECHof such Customer's selection of Frontier as its primary Local Exchange Carrier. Grandfathered Services shall be made available to CLEC Frontier at wholesale rates determined in accordance with the Act. To the extent that SBC- AMERITECH Ameritech is unable to provide wholesale systems support and billing within the first ninety (90) days from the date each CLEC Frontier Resale Service Customer is provided such Grandfathered Service, SBC-AMERITECH Ameritech shall retroactively apply such wholesale rate as a credit to CLEC Frontier and will bill such service to CLEC Frontier from its retail billing systems. 10.3.2 Any X.3.2 The Telecommunication Services which SBC-AMERITECH that Ameritech currently intends to discontinue offering to any retail subscriber (“Sunsetted Withdrawn Services”) are identified in the Resale Tariff, as such Resale Tariff may be revised or supplemented from time to time to include those additional Telecommunications Services that SBC-AMERITECH Ameritech may, in at its discretion and to the extent permitted by Applicable Law, classify as Sunsetted Withdrawn Services. SBC-AMERITECH Ameritech agrees to make Sunsetted Withdrawn Services available to CLEC Frontier for resale to CLEC’s Frontier's Customers who are subscribers to the Sunsetted Withdrawn Service either from SBC-AMERITECH Ameritech or CLEC Frontier at the time so classified (subject to the provisions of Section 10.3.1 if such Sunsetted Withdrawn Service was previously classified as a Grandfathered Service prior to its classification as a Withdrawn Service) until the date such service is discontinued. X.3.3 Each Party acknowledges that Resale Services shall be available to Frontier on the same basis as offered by Ameritech to itself or to any subsidiary, Affiliate, or any other person to which Ameritech directly provides the Resale Services, including Ameritech’s retail Customers and other resellers of Ameritech's Telecommunications Services (i) only in those service areas in which such Resale Services (or any feature or capability thereof) are offered by Ameritech to itself or to any subsidiary, Affiliate, or any other person, including Ameritech's retail Customers and (ii) to the same extent as Ameritech's retail Telecommunications Services are subject to the availability of facilities.

If a local Telecommunications Service is subsequently classified as a Grandfathered Service by SBC-AMERITECH, SBC-AMERITECH agrees to continue to sell such Grandfathered Service (subject to the terms of Section 10.3.2) to CLEC AT&T for resale to CLECAT&T’s Customers that subscribe to such Grandfathered Service at the time it is so classified by SBC-AMERITECH. Grandfathered Services shall be made available to CLEC AT&T at wholesale rates determined in accordance with the Act. SBC-AMERITECH Ameritech agrees to make Sunsetted Services available to CLEC Requesting Carrier for resale to CLEC’s Requesting Carrier's Customers who are subscribers to the Sunsetted Service either from SBC-AMERITECH Ameritech or CLEC Requesting Carrier at the time so classified (subject to the provisions of Section 10.3.1 if such Sunsetted Service was previously classified as a Grandfathered Service prior to its classification as a Sunsetted Service) until the date such service is discontinued. 10.3.3 Each Party acknowledges that Resale Services shall be available to Requesting Carrier on the same basis (including the availability of features and facilities) as offered by Ameritech to itself or to any subsidiary, Affiliate, or any other person to which Ameritech directly provides the Resale Services, including Ameritech’s retail Customers and other resellers of Ameritech's Telecommunications Services.

Limitations on Availability of Resale Services. The following limitations shall apply to Resale Services: 10.3.1 Any Telecommunications Services which SBC-AMERITECH Ameritech offers to existing retail subscribers, but not to new subscribers (“Grandfathered Services”), ) are listed in the Resale Tariff as such Resale Tariff may be revised or supplemented from time to time to include those additional services that SBC-AMERITECH Ameritech may, in its discretion and to the extent permitted by Applicable Law, classify as Grandfathered Services. SBC-AMERITECH Ameritech agrees to make Grandfathered Services available to CLEC Requesting Carrier for resale to any Customer of SBC-AMERITECH Ameritech that subscribes to a Grandfathered Service from SBC-AMERITECH Ameritech at the time of its selection of CLEC Requesting Carrier as its primary local exchange carrier. If a local Telecommunications Service is subsequently classified as a Grandfathered Service by SBC-AMERITECHAmeritech, SBC-AMERITECH Ameritech agrees to continue to sell such Grandfathered Service (subject to the terms of Section 10.3.2) to CLEC Requesting Carrier for resale to CLEC’s Requesting Carrier's Customers that subscribe to such Grandfathered Service at the time it is so classified by SBC-AMERITECHAmeritech. Grandfathered Services shall be made available to CLEC Requesting Carrier at wholesale rates determined in accordance with the Act. To the extent that SBC- AMERITECH Ameritech is unable to provide wholesale systems support and billing within the first ninety (90) days from the date each CLEC Requesting Carrier Resale Customer is provided such Grandfathered Service, SBC-AMERITECH Ameritech shall retroactively apply such wholesale rate as a credit to CLEC Requesting Carrier and will bill such service to CLEC Requesting Carrier from its retail billing systems. 10.3.2 Any Telecommunication Services which SBC-AMERITECH Ameritech currently intends to discontinue offering to any retail subscriber (“Sunsetted Services”) are set forth in the Resale Tariff as such Resale Tariff may be revised or supplemented from time to time to include those additional Telecommunications Services that SBC-AMERITECH Ameritech may, in its discretion and to the extent permitted by Applicable Law, classify as Sunsetted Services. SBC-AMERITECH Ameritech agrees to make Sunsetted Services available to CLEC Requesting Carrier for resale to CLEC’s Requesting Carrier's Customers who are subscribers to the Sunsetted Service either from SBC-AMERITECH Ameritech or CLEC Requesting Carrier at the time so classified (subject to the provisions of Section 10.3.1 if such Sunsetted Service was previously classified as a Grandfathered Service) until the date such service is discontinued. 10.3.3 Each Party acknowledges that Resale Services shall be available to Requesting Carrier on the same basis as offered by Ameritech to itself or to any subsidiary, Affiliate, or any other person to which Ameritech directly provides the Resale Services, including Ameritech’s retail Customers and other resellers of Ameritech's Telecommunications Services (i) only in those service areas in which such Resale Services (or any feature or capability thereof) are offered by Ameritech to itself or to any subsidiary, Affiliate, or any other person, including Ameritech's retail Customers and (ii) to the same extent as Ameritech's retail Telecommunications Services are subject to the availability of facilities.

Limitations on Availability of Resale Services. To the extent that SBC- AMERITECH Ameritech is unable to provide wholesale systems support and billing within the first ninety (90) days from the date each CLEC Requesting Carrier Resale Customer is provided such Grandfathered Service, SBC-AMERITECH Ameritech shall retroactively apply such wholesale rate as a credit to CLEC Requesting Carrier and will bill such service to CLEC Requesting Carrier from its retail billing systems. 10.3.2 Any The Telecommunication Services which SBC-AMERITECH that Ameritech currently intends to discontinue offering to any retail subscriber (“Sunsetted Services”) are identified in the Resale Tariff, as such Resale Tariff may be revised or supplemented from time to time to include those additional Telecommunications Services that SBC-AMERITECH Ameritech may, in its discretion and to the extent permitted by Applicable Law, classify as Sunsetted Services. Grandfathered Services shall be made available to CLEC Requesting Carrier at wholesale rates determined in accordance with the Act. To the extent that SBC- AMERITECH Ameritech is unable to provide wholesale systems support and billing within the first ninety (90) days from the date each CLEC Requesting Carrier Resale Service Customer is provided such Grandfathered Service, SBC-AMERITECH Ameritech shall retroactively apply such wholesale rate as a credit to CLEC Requesting Carrier and will bill xxxx such service to CLEC Requesting Carrier from its retail billing systems. 10.3.2 Any X.3.2 The Telecommunication Services which SBC-AMERITECH that Ameritech currently intends to discontinue offering to any retail subscriber (“Sunsetted Services”Sunsetted Services) are identified in the Resale Tariff, as such Resale Tariff may be revised or supplemented from time to time to include those additional Telecommunications Services that SBC-AMERITECH Ameritech may, in at its discretion and to the extent permitted by Applicable Law, classify as Sunsetted Services. If a local Telecommunications Service is subsequently classified as a Grandfathered Service by SBC-AMERITECH, SBC-AMERITECH SBC agrees to continue to sell such Grandfathered Service (subject to the terms of Section 10.3.2) to CLEC for resale to CLEC’s CLEC 's Customers that subscribe to such Grandfathered Service at the time it is so classified by SBC-AMERITECH. Grandfathered Services shall be made available to CLEC at wholesale rates determined in accordance with the Act. To the extent that SBC- AMERITECH SBC is unable to provide wholesale systems support and billing within the first ninety (90) days from the date each CLEC Resale Customer is provided such Grandfathered Service, SBC-AMERITECH SBC shall retroactively apply such wholesale rate as a credit to CLEC and will bill xxxx such service to CLEC from its retail billing systems. 10.3.2 Any Telecommunication Services which SBC-AMERITECH SBC currently intends to discontinue offering to any retail subscriber (“Sunsetted Services”) may be revised or supplemented from time to time to include those additional Telecommunications Services that SBC-AMERITECH SBC may, in its discretion and to the extent permitted by Applicable Law, classify as Sunsetted Services. SBC-AMERITECH SBC agrees to make Sunsetted Services available to CLEC for resale to CLEC’s CLEC 's Customers who are subscribers to the Sunsetted Service either from SBC-AMERITECH SBC or CLEC at the time so classified (subject to the provisions of Section 10.3.1 if such Sunsetted Service was previously classified as a Grandfathered Service) until the date such service is discontinued.

If a local Telecommunications Service is subsequently classified as a Grandfathered Service by SBC-AMERITECHresale, SBC-AMERITECH agrees to continue to sell such Grandfathered Service (subject to the terms of Section 10.3.2) , to CLEC for resale to CLEC’s those Customers that (i) subscribed to the applicable Telecommunications Service (whether through Ameritech or Requesting Carrier as the provider) at the time such service was classified by Ameritech as a Grandfathered Service and (ii) continue to subscribe to such Grandfathered Service at the time it is so classified by SBC-AMERITECHof such Customer’s selection of Requesting Carrier as primary Local Exchange Carrier. Grandfathered Services shall be made available to CLEC Requesting Carrier at wholesale a discount off the retail rates determined in accordance with the Act. To the extent that SBC- AMERITECH is unable to provide wholesale systems support and billing within the first ninety (90) days from the date each CLEC Resale Customer is provided for such Grandfathered Service, SBC-AMERITECH shall retroactively apply Services based on Ameritech’s avoided costs associated with such wholesale rate as a credit to CLEC and will bill such service to CLEC from its retail billing systemsGrandfathered Services. 10.3.2 Any The Telecommunication Services which SBC-AMERITECH that Ameritech currently intends to discontinue diswntinue offering to any retail subscriber (“Sunsetted Services”) are identified in the Resale Tariff, as such Resale Tariff may be revised or supplemented from time to time to include those additional Telecommunications Services that SBC-AMERITECH Ameritech may, in at its discretion and to the extent permitted by Applicable Law, classify as Sunsetted Services. X.3.3 Each Party acknowledges that Resale Services shall be available to Requesting Carrier on the same basis (including the availability of features and facilities) as offered by Ameritech to itself or to any subsidiary, Affiliate, or any other person to which Ameritech directly provides the Resale Services, including Ameritech’s retail Customers and other resellers of Ameritech’s Telecommunications Services.

Limitations on Availability of Resale Services. The following limitations shall apply to Resale Services: 10.3.1 Any X.3.1 The Telecommunications Services which SBC-AMERITECH that Ameritech offers to existing retail subscribers, but not to new subscribers (“Grandfathered Services”)) are identified in the Resale Tariff, as such Resale Tariff may be revised or supplemented from time to time to include those additional services that SBC-AMERITECH Ameritech may, in its discretion and to the extent permitted by Applicable Law, classify as Grandfathered Services. SBC-AMERITECH Ameritech agrees to make Grandfathered Services available to CLEC Urban Media for resale to any Customer of SBC-AMERITECH Ameritech that subscribes to a Grandfathered Service from SBC-AMERITECH Ameritech at the time of its selection of CLEC Urban Media as its primary local exchange carrier. If a local Telecommunications Service is subsequently classified as a Grandfathered Service by SBC-AMERITECHAmeritech, SBC-AMERITECH Ameritech agrees to continue to sell such Grandfathered Service (subject to the terms of Section 10.3.2) to CLEC Urban Media for resale to CLEC’s Urban Media's Customers that subscribe to such Grandfathered Service at the time it is so classified by SBC-AMERITECHAmeritech. Grandfathered Services shall be made available to CLEC Urban Media at wholesale rates determined in accordance with the Act. To the extent that SBC- AMERITECH Ameritech is unable to provide wholesale systems support and billing within the first ninety (90) days from the date each CLEC Urban Media Resale Customer is provided such Grandfathered Service, SBC-AMERITECH Ameritech shall retroactively apply such wholesale rate as a credit to CLEC Urban Media and will bill such service to CLEC Urban Media from its retail billing systems. 10.3.2 Any X.3.2 The Telecommunication Services which SBC-AMERITECH that Ameritech currently intends to discontinue offering to any retail subscriber (“Sunsetted Services”) are identified in the Resale Tariff, as such Resale Tariff may be revised or supplemented from time to time to include those additional Telecommunications Services that SBC-AMERITECH Ameritech may, in its discretion and to the extent permitted by Applicable Law, classify as Sunsetted Services. SBC-AMERITECH Ameritech agrees to make Sunsetted Services available to CLEC Urban Media for resale to CLEC’s Urban Media's Customers who are subscribers to the Sunsetted Service either from SBC-AMERITECH Ameritech or CLEC Urban Media at the time so classified (subject to the provisions of Section 10.3.1 if such Sunsetted Service was previously classified as a Grandfathered Service) until the date such service is discontinued. X.3.3 Each Party acknowledges that Resale Services shall be available to Urban Media on the same basis as offered by Ameritech to itself or to any subsidiary, Affiliate, or any other person to which Ameritech directly provides the Resale Services, including Ameritech’s retail Customers and other resellers of Ameritech's Telecommunications Services (i) only in those service areas in which such Resale Services (or any feature or capability thereof) are offered by Ameritech to itself or to any subsidiary, Affiliate, or any other person, including Ameritech's retail Customers and (ii) to the same extent as Ameritech's retail Telecommunications Services are subject to the availability of facilities.

SBC-AMERITECH agrees to make Grandfathered Services available to CLEC AT&T for resale to any Customer of SBC-AMERITECH that subscribes to a Grandfathered Service from SBC-AMERITECH at the time of its selection of CLEC AT&T as its primary local exchange carrier. If a local Telecommunications Service is subsequently classified as a Grandfathered Service by SBC-AMERITECH, SBC-AMERITECH agrees to continue to sell such Grandfathered Service (subject to the terms of Section 10.3.2) to CLEC AT&T for resale to CLEC’s AT&T's Customers that subscribe to such Grandfathered Service at the time it is so classified by SBC-AMERITECH. Grandfathered Services shall be made available to CLEC AT&T at wholesale rates determined in accordance with the Act. To the extent that SBC- AMERITECH is unable to provide wholesale systems support and billing within the first ninety (90) days from the date each CLEC AT&T Resale Customer is provided such Grandfathered Service, SBC-AMERITECH shall retroactively apply such wholesale rate as a credit to CLEC AT&T and will bill such service to CLEC AT&T from its retail billing systems. 10.3.2 Any Telecommunication Services which SBC-AMERITECH currently intends to discontinue offering to any retail subscriber (“Sunsetted Services”) may be revised or supplemented from time to time to include those additional Telecommunications Services that SBC-AMERITECH may, in its discretion and to the extent permitted by Applicable Law, classify as Sunsetted Services. SBC-AMERITECH agrees to make Sunsetted Services available to CLEC AT&T for resale to CLEC’s AT&T's Customers who are subscribers to the Sunsetted Service either from SBC-AMERITECH or CLEC AT&T at the time so classified (subject to the provisions of Section 10.3.1 if such Sunsetted Service was previously classified as a Grandfathered Service) until the date such service is discontinued.

Limitations on Availability of Resale Services. The following limitations shall apply to both Wholesale Resale Services and Retail Resale Services (collectively, "Resale Services:"): 10.3.1 X.3.1 Any Telecommunications Services which SBC-AMERITECH that Ameritech offers to existing retail subscribers, but not to new subscribers (“"Grandfathered Services”"), are listed on Schedule 10.3.1. Schedule 10.3.1 may be revised or supplemented from time to time to include those additional services that SBC-AMERITECH Ameritech may, in its discretion and to the extent permitted by Applicable Law, classify as Grandfathered Services. SBC-AMERITECH Ameritech agrees to make Grandfathered Services available to CLEC 21st Century for resale to any Customer of SBC-AMERITECH Ameritech that subscribes to a Grandfathered Service from SBC-AMERITECH Ameritech at the time of its selection of CLEC 21st Century as its primary local exchange carrier; provided, however, that if such Grandfathered Services are provided under a Shared Tenant Service Agreement, such Grandfathered Services shall be available for resale by 21st Century pursuant to the terms and conditions of such Shared Tenant Service Agreement to all tenants, existing or in the future, in the specific facility subject to such Shared Tenant Service Agreement. If a local Telecommunications Service is subsequently classified as a Grandfathered Service by SBC-AMERITECHAmeritech, SBC-AMERITECH Ameritech agrees to continue to sell such Grandfathered Service (subject to the terms of Section 10.3.2) to CLEC 21st Century for resale to CLEC’s 21st Century's Customers that subscribe to such Grandfathered Service at the time it is so classified by SBC-AMERITECHAmeritech. Grandfathered Services shall be made available to CLEC 21st Century at wholesale rates determined in accordance with the Act. To the extent that SBC- AMERITECH Ameritech is unable to provide wholesale systems support and billing within the first ninety (90) days from the date each CLEC 21st Century Resale Customer is provided such Grandfathered Service, SBC-AMERITECH Ameritech shall retroactively apply such wholesale rate as a credit to CLEC 21st Century and will bill xxxx such service to CLEC 21st Century from its retail billing systems. Such billing will be in the same format and using the same standards and interfaces as other billing to 21st Century of Resale Services. Nothing in this Section 10.3.1 shall prevent 21st Century from taking a position before any regulatory body or court of law in opposition to any classification of a service by Ameritech as a Grandfathered Service. 10.3.2 X.3.2 Any Telecommunication Telecommunications Services which SBC-AMERITECH that Ameritech currently intends to discontinue offering to any retail subscriber (“"Sunsetted Services”") are set forth on Schedule 10.3.1. Schedule 10.3.1 may be revised or supplemented from time to time to include those additional Telecommunications Services that SBC-AMERITECH Ameritech may, in its discretion and to the extent permitted by Applicable Law, classify as Sunsetted Services. SBC-AMERITECH Ameritech agrees to make Sunsetted Services available to CLEC 21st Century for resale to CLEC’s 21st Century's Customers who are subscribers to the Sunsetted Service either from SBC-AMERITECH Ameritech or CLEC 21st Century at the time so classified (subject to the provisions of Section 10.3.1 if such Sunsetted Service was previously classified as a Grandfathered Service) until the date such service is discontinued. Nothing in this Section 10.3.2 shall prevent 21st Century from taking a position before any regulatory body or court of law in opposition to any such withdrawal of service by Ameritech. X.3.3 Each Party acknowledges that Resale Services shall be available to 21st Century on the same basis as offered by Ameritech to itself or to any subsidiary, Affiliate or any other person to which Ameritech directly provides the Resale Services, including Ameritech's retail Customers and other resellers of Ameritech's Telecommunications Services (i) only in those service areas in which such Resale Services (or any feature or capability thereof) are offered by Ameritech to itself or to any subsidiary, Affiliate or any other person, including Ameritech's retail Customers, and (ii) to the same extent as Ameritech's retail Telecommunications Services are subject to the availability of facilities. Each Party also acknowledges and agrees that certain Resale Services and the rights and obligations of each Party may be subject to certain rights of third persons pursuant to its agreements with such third persons.

Limitations on Availability of Resale Services. SBC-AMERITECH Ameritech agrees to make Grandfathered Services available to CLEC for resale to any Customer of SBC-AMERITECH that subscribes to a Grandfathered Service from SBC-AMERITECH at the time of its selection of CLEC as its primary local exchange carrier. If a local Telecommunications Service is subsequently classified as a Grandfathered Service by SBC-AMERITECHresale, SBC-AMERITECH agrees to continue to sell such Grandfathered Service (subject to the terms of Section 10.3.2) , to CLEC for resale to CLEC’s those Customers that (i) subscribed to the applicable Telecommunications Service (whether through Ameritech or CLEC as the provider) at the time such service was classified by Ameritech as a Grandfathered Service and (ii) continue to subscribe to such Grandfathered Service at the time it is so classified by SBC-AMERITECHof such Customer’s selection of CLEC as its primary Local Exchange Carrier. Grandfathered Services shall be made available to CLEC at wholesale a discount off the retail rates determined in accordance with the Act. To the extent that SBC- AMERITECH is unable to provide wholesale systems support and billing within the first ninety (90) days from the date each CLEC Resale Customer is provided for such Grandfathered ServiceServices at the Commission ordered 18.15% discount for any service grandfathered after January 1, SBC-AMERITECH shall retroactively apply such wholesale rate as 1996, but at a credit discount of 3.42% for all services grandfathered prior to CLEC and will bill such service to CLEC from its retail billing systemsJanuary 1, 1996. 10.3.2 Any The Telecommunication Services which SBC-AMERITECH that Ameritech currently intends to discontinue offering to any retail subscriber (“Sunsetted ServicesSer vices”) are identified in the Resale Tariff, as such Resale Tariff may be revised or supplemented from time to time to include those additional Telecommunications Services that SBC-AMERITECH Ameritech may, in at its discretion and to the extent permitted by Applicable Law, classify as Sunsetted Services. SBC-AMERITECH Ameritech agrees to make Sunsetted Services available to CLEC for resale to CLEC’s Customers who are subscribers to the Sunsetted Service either from SBC-AMERITECH Ameritech or CLEC at the time so classified (subject to the provisions of Section 10.3.1 if such Sunsetted Service was previously classified as a Grandfathered Service prior to its classification as a Sunsetted Service) until the date such service is discontinued. 10.3.3 Each Party acknowledges that Resale Services shall be available to CLEC on the same basis (including the availability of features and facilities) as offered by Ameritech to itself or to any subsidiary, Affiliate, or indirectly through any authorized dealer or distributor, or to any other person to which Ameritech directly provides the Resale Services, including Ameritech’s retail Customers and other resellers of Ameritech’s Telecommunications Services.

To the extent that SBC- AMERITECH is unable to provide wholesale systems support and billing within the first ninety (90) days from the date each CLEC Resale Customer is provided for such Grandfathered Service, SBC-AMERITECH shall retroactively apply Services based on Ameritech's avoided costs associated with such wholesale rate as a credit to CLEC and will bill such service to CLEC from its retail billing systemsGrandfathered Services. 10.3.2 Any The Telecommunication Services which SBC-AMERITECH that Ameritech currently intends to discontinue offering to any retail subscriber (“"Sunsetted Services”") are identified in the Resale Tariff, as such Resale Tariff may be revised or supplemented from time to time to include those additional Telecommunications Services that SBC-AMERITECH Ameritech may, in at its discretion and to the extent permitted by Applicable Law, classify as Sunsetted Services. SBC-AMERITECH Ameritech agrees to make Sunsetted Services available to CLEC Requesting Carrier for resale to CLEC’s Requesting Carrier's Customers who are subscribers to the Sunsetted Service either from SBC-AMERITECH Ameritech or CLEC Requesting Carrier at the time so classified (subject to the provisions of Section 10.3.1 if such Sunsetted Service was previously classified as a Grandfathered Service) until the date such service is discontinued. 10.3.3 Each Party acknowledges that Resale Services shall be available to Requesting Carrier on the same basis as offered by Ameritech to itself or to any subsidiary, Affiliate, or any other person to which Ameritech directly provides the Resale Services, including Ameritech’s retail Customers and other resellers of Ameritech's Telecommunications Services (i) only in those service areas in which such Resale Services (or any feature or capability thereof) are offered by Ameritech to itself or to any subsidiary, Affiliate, or any other person, including Ameritech's retail Customers and (ii) to the same extent as Ameritech's retail Telecommunications Services are subject to the availability of facilities.

Limitations on Availability of Resale Services. The following limitations shall apply to Resale Services: 10.3.1 Any Telecommunications Services which SBC-AMERITECH Ameritech offers to existing retail subscribers, but not to new subscribers (“Grandfathered Services”), ) are listed on Schedule 10.3.1. Schedule 10.3.1 may be revised or supplemented from time to time to include those additional services that SBC-AMERITECH Ameritech may, in its discretion and to the extent permitted by Applicable Law, classify as Grandfathered Services. SBC-AMERITECH Ameritech agrees to make Grandfathered Services available to CLEC Requesting Carrier for resale to any Customer of SBC-AMERITECH Ameritech that subscribes to a Grandfathered Service from SBC-AMERITECH Ameritech at the time of its selection of CLEC Requesting Carrier as its primary local exchange carrier. If a local Telecommunications Service is subsequently classified as a Grandfathered Service by SBC-AMERITECHAmeritech, SBC-AMERITECH Ameritech agrees to continue to sell such Grandfathered Service (subject to the terms of Section 10.3.2) to CLEC Requesting Carrier for resale to CLEC’s Requesting Xxxxxxx's Customers that subscribe to such Grandfathered Service at the time it is so classified by SBC-AMERITECHAmeritech. Grandfathered Services shall be made available to CLEC Requesting Carrier at wholesale rates determined in accordance with the Act. To the extent that SBC- AMERITECH Ameritech is unable to provide wholesale systems support and billing within the first ninety (90) days from the date each CLEC Requesting Carrier Resale Customer is provided such Grandfathered Service, SBC-AMERITECH Ameritech shall retroactively apply such wholesale rate as a credit to CLEC Requesting Carrier and will bill such service to CLEC Requesting Carrier from its retail billing systems. 10.3.2 Any Telecommunication Services which SBC-AMERITECH Ameritech currently intends to discontinue offering to any retail subscriber (“Sunsetted Services”) are set forth on Schedule 10.3.1. Schedule 10.3.1 may be revised or supplemented from time to time to include those additional Telecommunications Services that SBC-AMERITECH Ameritech may, in its discretion and to the extent permitted by Applicable Law, classify as Sunsetted Services. If a local Telecommunications Service is subsequently classified as a Grandfathered Service by SBC-AMERITECH, SBC-AMERITECH agrees to continue to sell such Grandfathered Service (subject to the terms of Section 10.3.2) to CLEC for resale to CLEC’s 's Customers that subscribe to such Grandfathered Service at the time it is so classified by SBC-AMERITECH. Grandfathered Services shall be made available to CLEC at wholesale rates determined in accordance with the Act. SBC-AMERITECH agrees to make Sunsetted Services available to CLEC for resale to CLEC’s 's Customers who are subscribers to the Sunsetted Service either from SBC-AMERITECH or CLEC at the time so classified (subject to the provisions of Section 10.3.1 if such Sunsetted Service was previously classified as a Grandfathered Service) until the date such service is discontinued.
