Limitations on Oversight Board Members. The Oversight Board shall not nor shall any member of the Oversight Board take part in the management of the business or assets of the Partnerships or hold himself out to be or be held out by the Partnerships or the Manager as taking part in the management of the Partnerships nor shall any member of the Oversight Board have the power or capacity to bind the Partnerships or hold himself out or be held out by any other members of the Oversight Board or by the Partnerships or by the Manager as having the power or capacity to bind the Partnerships, provided that nothing in this section shall prevent those members of the Oversight Board who are representatives of the Manager from performing in their capacities as representatives of the Manager (but not in their capacities as members of the Oversight Board) those functions which as representatives of the Manager they are employed or engaged by the Manager to perform.

Notwithstanding the foregoing, the Advisor, its directors, officers, employees and stockholders, and the directors, officers, employees and stockholders of the Advisor’s Affiliates shall not be liable to the Company or to the Board or Stockholders for any act or omission by the Advisor, its directors, officers, employees or stockholders, or for any act or omission of any Affiliate of the Advisor, its directors, officers, employees or stockholders, except as provided in Section 5.02 of this Agreement.
