The provisions of this Agreement are solely for the benefit of the Owner Trustee, the Delaware Trustee, the Indemnified Parties, the Depositor, the Certificateholders, the Administrator and, to the extent expressly provided hereinCertificate Paying Agent, the Indenture Trustee Certificate Registrar, the Issuer and the NoteholdersTrustor, and nothing in this Agreement, whether express or implied, shall will be construed to give to any other Person any legal or equitable 141966038 right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

Limitations on Rights of Others. The provisions of this Agreement are solely for the benefit of the Owner Trustee, the Delaware Trustee, the Indemnified Parties, the DepositorTransferors, the Certificateholders, the Administrator and, to the extent expressly provided herein, the Indenture Trustee and the Noteholders, and nothing in this Agreement, whether express or implied, shall is to be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The provisions of this Agreement are solely for the benefit of the Owner Eligible Lender Trustee, the Delaware Trustee, the Indemnified Parties, the Depositor, the CertificateholdersExcess Distribution Certificateholder, the Administrator and, to the extent expressly provided herein, the Indenture Trustee and the NoteholdersNoteholders and each Swap Counterparty, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.
