Limitations on Upstreaming. Company shall not, and shall not suffer -------------------------- or permit any of its Subsidiaries to, agree to any restriction or limitation on the making of Restricted Payments or transferring of assets from any Subsidiary to its parent except pursuant to this Agreement, the Bridge Credit Agreement, the Amended and Restated 1999 180 Day Credit Agreement, and the Amended and Restated 1997 364 Day Credit Agreement.
