Common use of Limitations on Utilisations Clause in Contracts

Limitations on Utilisations. (a) The Facility may not be utilised until the Closing Date. (b) The maximum aggregate Base Currency Amount of the Ancillary Commitments of all the Lenders shall not at any time exceed USD 15,000,000. (c) If the drawing of a Loan under the Facility would result in a notional pro-forma non-compliance with the Drawn Super Senior Gross Leverage Ratio calculated based on EBITDA as at the end of the most recent Relevant Period (as certified in the relevant Compliance Certificate) and Drawn Super Senior Gross Debt as at the date of such Utilisation (pro-forma for the proposed Utilisation), the Facility may be utilised (in respect of such Utilisation) only up to the maximum amount that would not result in such notional pro-forma non-compliance.
