Limited Governance Rights. Although the investors will have certain rights specifically granted to them in the Company's governing documents, they will limited rights with respect to the management and control of the Company. In addition, any voting, management, and control rights provided to investors will be exercised by the Custodian at the discretion of a "Lead Investor" appointed by the Company, as described in Section 6, and therefore investors will have no individual voting, management, or control rights. No person should purchase an Shares unless such person is willing to entrust all aspects of the Business to the Company's management and such other professionals as are engaged by the Company.

If included in Texas construction contracts, such provisions are voidable by a party obligated by the contract or agreement to perform the work. By submission of this proposal, Vendor acknowledges this law and if Vendor enters into a construction contract with a Texas TIPS Member under this procurement, Vendor certifies compliance.
