Limited Representation. There is a great demand for Attorney services. Attorney may be able to provide only a portion of the help Client desires. If Attorney is providing only a portion of the help Client desires, Attorney and Client will execute a “Notice to Consent to Limited Representation” in accordance with Rule 1.2, Wyoming Rules of Professional Conduct. The “Notice and Consent to Limited Representation” will be made part of this Retainer Agreement and will be incorporated herein by this reference.
Limited Representation. University represents that it has the right, power and authority to enter into and perform its obligations under this Agreement. University represents and warrants as follows: (i) that University, to the best of University’s knowledge and unless otherwise stated, is the exclusive owner of the entire right, title and interest in and to the Intellectual Property and that University has full legal right, authority and power to enter into this Agreement and to grant the exclusive license to Licensee as set forth herein; (ii) that University is not aware of any existing or threatened litigation concerning the Intellectual Property Rights; (iii) that University has not granted nor will it grant any licenses under the Intellectual Property that would be in conflict with the rights granted in this Agreement; (iv) That to the best knowledge of University each of the Intellectual Properties is valid and enforceable; and (v) University will use commercially reasonable efforts to maintain in effect all Intellectual Property, and will provide reasonable assistance to Licensee in maintaining and/or extending the term of each of the Intellectual Properties.
