Limiting of Taxes. The Executive agrees to reasonably cooperate with the Company to minimize the amount of the excise or similar purpose tax; provided, however, that the Executive shall not be required to take any action which is improper, exposes the Executive to personal liability, or is inconsistent with the overall tax interests of the Executive. The Executive may require the Company to deliver to the Executive an indemnification agreement in form and substance reasonably satisfactory to the Executive as a condition to taking any action required by this Section 11.2.
