Common use of List of Persons Entitled to Vote Clause in Contracts

List of Persons Entitled to Vote. The Purchaser shall (a) prior to each annual, general and special Parent Meeting or the seeking of any Parent Consents and (b) forthwith upon each request made at any time by the Trustee or the Parent in writing, prepare or cause to be prepared a list (a "List") of the names and addresses of the Shareholders arranged in alphabetical order and showing the number of Exchangeable Non-Voting Shares held of record by each such Shareholder, in each case at the close of business on the date specified by the Trustee in such request or, in the case of a List prepared in connection with a Parent Meeting or a Parent Consent, at the close of business on the record date established by the Parent or pursuant to applicable law for determining the holders of Parent Common Shares entitled to receive notice of and/or to vote at such Parent Meeting or to give consent in connection with such Parent Consent. Each such List shall be delivered to the Parent promptly after receipt by the Purchaser of such request or the record date for such meeting or seeking of consent, as the case may be, and in any event within sufficient time as to enable the Parent to perform its obligations under this Agreement. The Parent agrees to give the Purchaser written notice (with a copy to the Trustee) of the calling of any Parent Meeting or the seeking of any Parent Consent, together with the record dates therefor, sufficiently prior to the date of the calling of such meeting or seeking of such consent so as to enable the Purchaser to perform its obligations under this Section 3.8.

The Purchaser shall Corporation shall, (ai) prior to each annual, general and special Parent ParentCo Meeting or the seeking of any Parent Consents ParentCo Consent and (bii) forthwith upon each request made at any time by the Trustee or the Parent in writing, prepare or cause to be prepared a list (a "“Voting List"”) of the names and addresses of the Shareholders Holders arranged in alphabetical order and showing the number of Exchangeable Non-Voting Shares held of record by each such ShareholderHolder, in each case at the close of business on the date specified by the Trustee in such request or, in the case of a Voting List prepared in connection with a Parent ParentCo Meeting or a Parent ParentCo Consent, at the close of business on the record date established by the Parent ParentCo or pursuant to applicable law for determining the holders of Parent ParentCo Common Shares entitled to receive notice of and/or to vote at such Parent ParentCo Meeting or to give consent in connection with such Parent ParentCo Consent. Each such List shall be delivered to the Parent Trustee promptly after receipt by the Purchaser Corporation of such request or the record date for such meeting or seeking of consent, as the case may be, and in any event within sufficient time as to enable the Parent Trustee to perform its obligations under this Agreementagreement. The Parent ParentCo agrees to give the Purchaser Corporation written notice (with a copy to the Trustee) of the calling of any Parent ParentCo Meeting or the seeking of any Parent ParentCo Consent, together with the record dates therefor, sufficiently prior to the date of the calling of such meeting or seeking of such consent so as to enable the Purchaser Corporation to perform its obligations under this Section 3.84.6.

Each such List shall be delivered to the Parent Trustee promptly after receipt by the Purchaser Corporation of such request or the record date for such meeting or seeking of consent, as the case may be, and and, in any event event, within sufficient time as to enable the Parent Trustee to perform its obligations under this Agreementtrust agreement. The Parent agrees to give the Purchaser Corporation written notice (with a copy to the Trustee) of the calling of any Parent Meeting or the seeking of any Parent Consent, together with the record dates therefor, sufficiently prior to the date of the calling of such meeting or seeking of such consent so as to enable the Purchaser Corporation to perform its obligations under this Section 3.80.

The Purchaser Mergeco shall (a) prior to each annual, general and special Parent Meeting or the seeking of any Parent Consents and (b) forthwith upon each request made at any time by the Trustee or the Parent in writing, prepare or cause to be prepared a list (a "List") of the names and addresses of the Shareholders arranged in alphabetical order and showing the number of Exchangeable Non-Voting Shares held of record by each such Shareholder, in each case at the close of business on the date specified by the Trustee in such request or, in the case of a List prepared in connection with a Parent Meeting or a Parent Consent, at the close of business on the record date established by the Parent or pursuant to applicable law for determining the holders of Parent Common Shares entitled to receive notice of and/or to vote at such Parent Meeting or to give consent in connection with such Parent Consent. Each such List shall be delivered to the Parent promptly after receipt by the Purchaser Mergeco of such request or the record date for such meeting or seeking of consent, as the case may be, and in any event within sufficient time as to enable the Parent to perform its obligations under this Agreement. The Parent agrees to give the Purchaser Mergeco written notice (with a copy to the Trustee) of the calling of any Parent Meeting or the seeking of any Parent Consent, together with the record dates therefor, sufficiently prior to the date of the calling of such meeting or seeking of such consent so as to enable the Purchaser Mergeco to perform its obligations under this Section 3.8.

Each such List shall be delivered to the Parent Trustee promptly after receipt by the Purchaser Corporation of such request or the record date for such meeting or seeking of consent, as the case may be, and and, in any event event, within sufficient time as to enable the Parent Trustee to perform its obligations under this Agreementtrust agreement. The Parent agrees to give the Purchaser Corporation written notice (with a copy to the Trustee) of the calling of any Parent Meeting or the seeking of any Parent Consent, together with the record dates therefor, sufficiently prior to the date of the calling of such meeting or seeking of such consent so as to enable the Purchaser Corporation to perform its obligations under this Section 3.8section 4.6.

Each such List shall be delivered to the Parent promptly after receipt by the Purchaser of such request or the record date for such meeting or seeking of consent, as the case may be, and in any event within sufficient time as to enable the Parent to perform its obligations under this Agreement. The Parent agrees to give the Purchaser written notice (with a copy to the Trustee) of the calling of any Parent Meeting or the seeking of any Parent Consent, together with the record dates therefor, sufficiently prior to the date of the calling of such meeting or seeking of such consent so as to enable the Purchaser to perform its obligations under this Section 3.83.5.
