Common use of List of Persons Entitled to Vote Clause in Contracts

List of Persons Entitled to Vote. Exchangeco shall, (a) prior to each annual, general and special Parent Meeting or the seeking of any Parent Consent and (b) forthwith upon each request made at any time by the Trustee in writing, prepare or cause to be prepared a list (a “List”) of the names and addresses of the Beneficiaries arranged in alphabetical order and showing the number of Exchangeable Shares held of record by each such Beneficiary, in each case at the close of business on the date specified by the Trustee in such request or, in the case of a List prepared in connection with a Parent Meeting or Parent Consent, at the close of business on the record date established by the Parent or pursuant to applicable law for determining the holders of Parent Shares entitled to receive notice of and/or to vote at such Parent Meeting or to give consent in connection with such Parent Consent. Each such List shall be delivered to the Trustee promptly after receipt by Exchangeco of such request or the record date for such meeting or consent, as the case may be, and, in any event, within sufficient time as to permit the Trustee to perform its obligations under this Agreement. The Parent agrees to give Exchangeco notice (with a copy to the Trustee) of the calling of any Parent Meeting or the seeking of any Parent Consent, together with the record date therefor, sufficiently prior to the date of the calling of such meeting or seeking of such consent, so as to enable Exchangeco to perform its obligations under this Section 4.6.

Exchangeco The Corporation shall, (a) prior to each annual, general and special Parent BackWeb Meeting or the seeking of any Parent BackWeb Consent and (b) forthwith upon each request made at any time by the Trustee in writing, prepare or cause to be prepared through the registrar and transfer agent a list (a “"List”") of the names and addresses of the Beneficiaries arranged in alphabetical order and showing the number of Exchangeable Shares held of record by each such Beneficiary, in each case at the close of business on the date specified by the Trustee in such request or, in the case of a List prepared in connection with a Parent BackWeb Meeting or Parent a BackWeb Consent, at the close of business on the record date established by the Parent BackWeb or pursuant to applicable law for determining the holders of Parent BackWeb Ordinary Shares entitled to receive notice of and/or to vote at such Parent BackWeb Meeting or to give consent in connection with such Parent BackWeb Consent. Each such List shall be delivered to the Trustee promptly after receipt by Exchangeco the Corporation of such request or the record date for such meeting or seeking of consent, as the case may be, and, and in any event, event within sufficient time as to permit enable the Trustee to perform its obligations under this Agreement. The Parent BackWeb agrees to give Exchangeco the Corporation notice (with a copy to the Trustee) of the calling of any Parent BackWeb Meeting or the seeking of any Parent BackWeb Consent, together with the record date dates therefor, sufficiently prior to the date of the calling of such meeting or seeking of such consent, consent so as to enable Exchangeco the Corporation to perform its obligations under this Section section 4.6.

Exchangeco The Corporation shall, (a) prior to each annual, general and special Parent Orbital Meeting or the seeking of any Parent Orbital Consent and (b) forthwith upon each request made at any time by the Trustee in writing, prepare or cause to be prepared a list (a “"List”") of the names and addresses of the Beneficiaries Holders arranged in alphabetical order and showing the number of Exchangeable Shares held of record by each such BeneficiaryHolder, in each case at the close of business on the date specified by the Trustee in such request or, in the case of a List prepared in connection with a Parent an Orbital Meeting or Parent an Orbital Consent, at the close of business on the record date established by the Parent Orbital or pursuant to applicable law for determining the holders of Parent Orbital Common Shares entitled to receive notice of and/or to vote at such Parent Orbital Meeting or to give consent in connection with such Parent Orbital Consent. Each such List shall be delivered to the Trustee promptly after receipt by Exchangeco the Corporation of such request or the record date for such meeting or seeking of consent, as the case may be, and, and in any event, event within sufficient time as to permit enable the Trustee to perform its obligations under this Agreement. The Parent Orbital agrees to give Exchangeco the Corporation notice (with a copy to the Trustee) of the calling of any Parent Orbital Meeting or the seeking of any Parent Orbital Consent, together with the record date dates therefor, sufficiently prior to the date of the calling of such meeting or seeking of such consent, consent so as to enable Exchangeco the Corporation to perform its obligations under this Section section 4.6.

The Parent agrees to give Exchangeco notice (with a copy to the Trustee) of the calling of any Parent Meeting or the seeking of any Parent Consent, together with the record date therefor, sufficiently prior to the date of the calling of such meeting or seeking of such consent, so as to enable Exchangeco to perform its obligations under this Section ?4.6.

Exchangeco LuxCo shall, : (ai) prior to each annual, general and special Parent ParentCo Meeting or the seeking of any Parent Consent ParentCo Consent; and (bii) forthwith upon each request made at any time by the Trustee in writing, prepare or cause to be prepared a list (a “List”"LIST") of the names and addresses of the Beneficiaries arranged in alphabetical order and showing the number of LuxCo Exchangeable Preferred Shares held of record by each such Beneficiary, in each case at the close of business on the date specified by the Trustee in such request or, in the case of a List prepared in connection with a Parent ParentCo Meeting or Parent a ParentCo Consent, at the close of business on the record date established by the Parent ParentCo or pursuant to applicable law for determining the holders of Parent ParentCo Common Shares entitled to receive notice of and/or to vote at such Parent ParentCo Meeting or to give consent in connection with such Parent ParentCo Consent. Each such List shall be delivered to the Trustee promptly after receipt by Exchangeco LuxCo of such request or the record date for such meeting or seeking of consent, as the case may be, and, and in any event, event within sufficient time as to permit the Trustee to perform its obligations under this Agreement. The Parent ParentCo agrees to give Exchangeco LuxCo notice (with a copy to the Trustee) of the calling of any Parent ParentCo Meeting or the seeking of any Parent ParentCo Consent, together with the record date dates therefor, sufficiently prior to the date of the calling of such meeting or seeking of such consent, consent so as to enable Exchangeco LuxCo to perform its obligations under this Section section 4.6.

Exchangeco The Acquisition Sub shall, (a) prior to each annual, general and special Parent Meeting or the seeking of any Parent Consent and (b) forthwith upon each request made at any time by the Parent or Trustee in writing, prepare or cause to be prepared a list (a “"List”") of the names and addresses of the Beneficiaries Holders arranged in alphabetical order and showing the number of Exchangeable Shares held of record by each such BeneficiaryHolder, in each case at the close of business on the date specified by the Parent or Trustee in such request or, in the case of a List prepared in connection with a Parent Meeting or a Parent Consent, at the close of business on the record date established by the Parent or pursuant to applicable law for determining the holders of shares of Parent Shares Common Stock entitled to receive notice of and/or to vote at such Parent Meeting or to give consent in connection with such Parent Consent. Each such List shall be delivered to the Parent and Trustee promptly after receipt by Exchangeco the Acquisition Sub of such request or the record date for such meeting or seeking of consent, as the case may be, and, and in any event, event within sufficient time as to permit enable the Parent or Trustee to perform its obligations under this Agreement. The Parent agrees to give Exchangeco the Acquisition Sub notice (with a copy to the Trustee) of the calling of any Parent Meeting or the seeking of any Parent Consent, together with the record date dates therefor, sufficiently prior to the date of the calling of such meeting or seeking of such consent, consent so as to enable Exchangeco the Acquisition Sub to perform its obligations under this Section section 4.6.

The Parent agrees to give Exchangeco notice (with a copy to the Trustee) of the calling of any Parent Meeting or the seeking of any Parent Consent, together with the record date therefor, sufficiently prior to the date of the calling of such meeting or seeking of such consent, so as to enable Exchangeco to perform its obligations under this Section 4.6.

Exchangeco shall, shall (a) prior to each annual, general and special Parent Meeting or the seeking of any Parent Consent and (b) forthwith upon each request made at any time by the Voting Trustee or the Parent in writing, prepare or cause to be prepared a list (a “List”) of the names and addresses of the Voting Trust Beneficiaries arranged in alphabetical order and showing the number of Exchangeable Shares held of record by each such Voting Trust Beneficiary, in each case at the close of business on the date specified by the Voting Trustee or the Parent in such request or, in the case of a List prepared in connection with a Parent Meeting or a Parent Consent, at the close of business on the record date established by the Parent or pursuant to applicable law for determining the holders of Parent Common Shares entitled to receive notice of and/or to vote at such Parent Meeting or to give consent in connection with such Parent Consent. Each such List shall be delivered to the Voting Trustee or the Parent promptly after receipt by Exchangeco of such request or the record date for such meeting or seeking of consent, as the case may be, and, and in any event, event within sufficient time as to permit enable the Trustee Parent to perform its obligations under this Agreement. The Parent agrees to give Exchangeco written notice (with a copy to the Voting Trustee) of the calling of any Parent Meeting or the seeking of any Parent Consent, together with the record date therefordates therefore, sufficiently prior to the date of the calling of such meeting or seeking of such consent, consent so as to enable Exchangeco to perform its obligations under this Section 4.64.7.

Exchangeco shall, (a) prior to each annual, general and special Parent Meeting or the seeking of any Parent Consent and (b) forthwith upon each request made at any time by the Trustee Agent in writing, prepare or cause to be prepared a list (a “"List”") of the names and addresses of the Beneficiaries Vendors arranged in alphabetical order and showing the number of Exchangeable Shares held of record by each such BeneficiaryVendor, in each case at the close of business on the date specified by the Trustee Agent in such request or, in the case of a List prepared in connection with a Parent Meeting or a Parent Consent, at the close of business on the record date established by the Parent or pursuant to applicable law for determining the holders of Parent Common Shares entitled to receive notice of and/or to vote at such Parent Meeting or to give consent in connection with such Parent Consent. Each such List shall be delivered to the Trustee Agent promptly after receipt by Exchangeco of such request or the record date for such meeting or seeking of consent, as the case may be, and, and in any event, event within sufficient time as to permit the Trustee Agent to perform its obligations under this Agreement. The Parent agrees to give Exchangeco notice (with a copy to the TrusteeAgent) of the calling of any Parent Meeting or the seeking of any Parent Consent, together with the record date dates therefor, sufficiently prior to the record date of the calling of in connection with such meeting or seeking of such consent, consent so as to enable Exchangeco to perform its obligations under this Section section 4.6.. Voting And Exchange Agency Agreement

Each such List shall be delivered to the Trustee promptly after receipt by Exchangeco the Corporation of such request or the record date for such meeting or seeking of consent, as the case may be, and, in any event, within sufficient time as to permit enable the Trustee to perform its obligations under this Agreementtrust agreement. The Parent agrees to give Exchangeco the Corporation written notice (with a copy to the Trustee) of the calling of any Parent Meeting or the seeking of any Parent Consent, together with the record date dates therefor, sufficiently prior to the date of the calling of such meeting or seeking of such consent, consent so as to enable Exchangeco the Corporation to perform its obligations under this Section 4.6.
