Common use of List of Persons Entitled to Vote Clause in Contracts

List of Persons Entitled to Vote. MG shall, (i) prior to each annual, general and special TMW Meeting or the seeking of any TMW Consent and (ii) forthwith upon each request made at any time by the Trustee in writing, prepare or cause to be prepared a list (a "List") of the names and addresses of the Holders arranged in alphabetical order and showing the number of Exchangeable Shares held of record by each such Holder, in each case at the close of business on the date specified by the Trustee in such request or, in the case of a List prepared in connection with a TMW Meeting or a TMW Consent, at the close of business on the record date established by TMW or pursuant to applicable law for determining the holders of TMW Common Stock entitled to receive notice of and/or to vote at such TMW Meeting or to give consent in connection with such TMW Consent. Each such List shall be delivered to the Trustee promptly after receipt by MG of such request or the record date for such meeting or seeking of consent, as the case may be, and in any event within sufficient time as to enable the Trustee to perform its obligations under this Agreement. TMW agrees to give MG written notice (with a copy to the Trustee) of the calling of any TMW Meeting or the seeking of any TMW Consent, together with the record dates therefor, sufficiently prior to the date of the calling of such meeting or seeking of such consent so as to enable MG to perform its obligations under this Section 4.6.

MG ACTsub shall, (ia) prior to each annual, general and special TMW ACT Meeting or the seeking of any TMW ACT Consent and (iib) forthwith upon each request made at any time by the Trustee in writing, prepare or cause to be prepared a list (a "List") of the names and addresses of the Holders arranged in alphabetical order and showing the number of Exchangeable Shares held of record by each such Holder, in each case at the close of business on the date specified by the Trustee in such request or, in the case of a List prepared in connection with a TMW an ACT Meeting or a TMW an ACT Consent, at the close of business on the record date established by TMW ACT or pursuant to applicable law for determining the holders Holders of TMW ACT Common Stock entitled to receive notice of and/or to vote at such TMW ACT Meeting or to give consent in connection with such TMW ACT Consent. Each such List shall be delivered to the Trustee promptly after receipt by MG the ACTsub of such request or the record date for such meeting or seeking of consent, as the case may be, and in any event within sufficient time as to enable the Trustee to perform its obligations under this Agreement. TMW ACT agrees to give MG written ACTsub notice (with a copy to the Trustee) of the calling of any TMW ACT Meeting or the seeking of any TMW ACT Consent, together with the record dates therefor, sufficiently prior to the date of the calling of such meeting or seeking of such consent so as to enable MG ACTsub to perform its obligations under this Section 4.6.

MG ExchangeCo shall, (i) prior to each annual, general and or special TMW JAG Meeting or the seeking of any TMW JAG Consent and (ii) forthwith upon each request made at any time by the Trustee in writing, prepare or cause to be prepared a list (a "List") of the names and addresses of the Holders arranged in alphabetical order and showing the number of Exchangeable Shares held of record by each such Holder, in each case at the close of business on the date specified by the Trustee in such request or, in the case of a List prepared in connection with a TMW JAG Meeting or a TMW JAG Consent, at the close of business on the record date established by TMW JAG or pursuant to applicable law for determining the holders of TMW JAG Common Stock entitled to receive notice of and/or to vote at such TMW JAG Meeting or to give consent in connection with such TMW JAG Consent. Each such List shall be delivered to the Trustee promptly after receipt by MG ExchangeCo of such request or the record date for such meeting or seeking of consent, as the case may be, and in any event within sufficient time as to enable the Trustee to perform its obligations under this Agreementagreement. TMW JAG agrees to give MG ExchangeCo written notice (with a copy to the Trustee) of the calling of any TMW JAG Meeting or the seeking of any TMW JAG Consent, together with the record dates therefor, sufficiently prior to the date of the calling of such meeting or seeking of such consent so as to enable MG ExchangeCo to perform its obligations under this Section 4.6.

MG Dreco shall, (i) prior to each annual, general and special TMW NOI Meeting or the seeking of any TMW NOI Consent and (ii) forthwith upon each request made at any time by the Trustee in writing, prepare or cause to be prepared a list (a "List") of the names and addresses of the Holders arranged in alphabetical order and showing the number of Exchangeable Shares held of record by each such Holder, in each case at the close of business on the date specified by the Trustee in such request or, in the case of a List prepared in connection with a TMW NOI Meeting or a TMW NOI Consent, at the close of business on the record date established by TMW NOI or pursuant to applicable law for determining the holders of TMW NOI Common Stock entitled to receive notice of and/or to vote at such TMW NOI Meeting or to give consent in connection with such TMW NOI Consent. Each such List shall be delivered to the Trustee promptly after receipt by MG Dreco of such request or the record date for such meeting or seeking of consent, as the case may be, and in any event within sufficient time as to enable the Trustee to perform its obligations under this Agreementagreement. TMW NOI agrees to give MG Dreco written notice (with a copy to the Trustee) of the calling of any TMW NOI Meeting or the seeking of any TMW NOI Consent, together with the record dates therefor, sufficiently prior to the date of the calling of such meeting or seeking of such consent so as to enable MG Dreco to perform its obligations under this Section 4.6.

MG The Corporation shall, (ia) prior to each annual, general and special TMW Applied Meeting or the seeking of any TMW Applied Consent and (iib) forthwith upon each request made at any time by the Trustee in writing, prepare or cause to be prepared a list (a "List") of the names and addresses of the Holders arranged in alphabetical order and showing the number of Exchangeable Shares held of record by each such Holder, in each case at the close of business on the date specified by the Trustee in such request or, in the case of a List prepared in connection with a TMW an Applied Meeting or a TMW an Applied Consent, at the close of business on the record date established by TMW Applied or pursuant to applicable law for determining the holders of TMW Applied Common Stock entitled to receive notice of and/or to vote at such TMW Applied Meeting or to give consent in connection with such TMW Applied Consent. Each such List shall be delivered to the Trustee promptly after receipt by MG the Corporation of such request or the record date for such meeting or seeking of consent, as the case may be, and in any event within sufficient time as to enable the Trustee to perform its obligations under this Agreement. TMW Applied agrees to give MG written the Corporation notice (with a copy to the Trustee) of the calling of any TMW Applied Meeting or the seeking of any TMW Applied Consent, together with the record dates therefor, sufficiently prior to the date of the calling of such meeting or seeking of such consent so as to enable MG the Corporation to perform its obligations under this Section section 4.6.
