Common use of List of Persons Entitled to Vote Clause in Contracts

List of Persons Entitled to Vote. ExchangeCo shall (a) prior to each annual or other D-Wave Quantum Meeting, and (b) forthwith upon each request made at any time by the Trustee in writing, prepare or cause to be prepared a list (a “List”) of the names and addresses of the Beneficiaries arranged in alphabetical order and showing the number of Exchangeable Shares held of record by each such Beneficiary, in each case at the close of business on the date specified by the Trustee in such request or, in the case of a List prepared in connection with a D-Wave Quantum Meeting, at the close of business on the record date established by D-Wave Quantum or pursuant to applicable law for determining the holders of D-Wave Quantum Shares entitled to receive notice of and/or to vote at such D-Wave Quantum Meeting. Each such List shall be delivered to the Trustee promptly after receipt by ExchangeCo of such request or the record date for such meeting and, in any event, within sufficient time as to permit the Trustee to perform its obligations under this Agreement. D-Wave Quantum agrees to give ExchangeCo notice (with a copy to the Trustee) of the calling of any D-Wave Quantum Meeting together with the record date therefor, sufficiently prior to the date of the calling of such meeting or seeking of such consent, so as to enable ExchangeCo to perform its obligations under this Section 4.6.

ExchangeCo shall shall, (a) prior to each annual or other D-Wave Quantum Meeting, general and special Shire Meeting and (b) forthwith upon each request made at any time by the Trustee in writing, prepare or cause to be prepared a list (a “"List”") of the names and addresses of the Beneficiaries arranged in alphabetical order (and, if requested, arranged by jurisdiction of residence) and showing the number of Exchangeable Shares held of record by each such Beneficiary, in each case at the close of business on the date specified by the Trustee in such request or, in the case of a List prepared in connection with a D-Wave Quantum Shire Meeting, at the close of business on the record date established by D-Wave Quantum Shire or pursuant to applicable law for determining the holders of D-Wave Quantum Shire Ordinary Shares entitled to receive notice of and/or to vote at such D-Wave Quantum Shire Meeting. Each such List shall be delivered to the Trustee promptly after receipt by ExchangeCo of such request or the record date for such meeting andor seeking of consent, as the case may be, and in any event, event within sufficient time as to permit enable the Trustee to perform its obligations under this Agreementtrust agreement. D-Wave Quantum Shire agrees to give ExchangeCo notice (with a copy to the Trustee) of the calling of any D-Wave Quantum Meeting Shire Meeting, together with the record date dates therefor, sufficiently prior to the date of the calling of such meeting or seeking of such consent, consent so as to enable ExchangeCo to perform its obligations under this Section 4.6.

ExchangeCo shall Exchangeco shall, (a) prior to each annual annual, general and special Apta Meeting or other D-Wave Quantum Meeting, the seeking of any Apta Consent and (b) forthwith upon each request made at any time by the Trustee in writingAgent, prepare or cause to be prepared a list (a “"List”") of the names and addresses of the Beneficiaries arranged in alphabetical order and showing the number of Exchangeable Shares held of record by each such Beneficiary, in each case at the close of business on the date specified by the Trustee Agent in such request or, in the case of a List prepared in connection with a D-Wave Quantum MeetingApta Meeting or a Apta Consent, at the close of business on the record date established by D-Wave Quantum Apta or pursuant to applicable law for determining the holders of D-Wave Quantum Apta Common Shares entitled to receive notice of and/or to vote at such D-Wave Quantum MeetingApta Meeting or to give consent in connection with such Apta Consent. Each such List shall be delivered to the Trustee Agent promptly after receipt by ExchangeCo Exchangeco of such request or the record date for such meeting andor seeking of consent, as the case may be, and in any event, event within sufficient time as to permit the Trustee Agent to perform its obligations under this Agreement. D-Wave Quantum Apta agrees to give ExchangeCo Exchangeco notice (with a copy to the TrusteeAgent) of the calling of any D-Wave Quantum Apta Meeting or the seeking of any Apta Consent, together with the record date dates therefor, sufficiently prior to the record date of the calling of in connection with such meeting or seeking of such consent, consent so as to enable ExchangeCo Exchangeco to perform its obligations under this Section section 4.6.

ExchangeCo shall THC shall, (a) prior to each annual or other D-Wave Quantum Meeting, general and special Holdings Meeting and (b) forthwith upon each request made at any time by the Trustee in writing, prepare or cause to be prepared a list (a “List”"LIST") of the names and addresses of the Beneficiaries arranged in alphabetical order (and, if requested, arranged by jurisdiction of residence) and showing the number of Exchangeable Shares held of record by each such Beneficiary, in each case at the close of business on the date specified by the Trustee in such request or, in the case of a List prepared in connection with a D-Wave Quantum Holdings Meeting, at the close of business on the record date established by D-Wave Quantum Holdings or pursuant to applicable law for determining the holders of D-Wave Quantum Holdings Common Shares entitled to receive notice of and/or to vote at such D-Wave Quantum Holdings Meeting. Each such List shall be delivered to the Trustee as promptly as practicable after receipt by ExchangeCo THC of such request or the record date for such meeting andor seeking of consent, as the case may be, and in any event, event within sufficient time as to permit enable the Trustee to perform its obligations under this Agreementtrust agreement. D-Wave Quantum Holdings agrees to give ExchangeCo THC notice (with a copy to the Trustee) of the calling of any D-Wave Quantum Meeting Holdings Meeting, together with the record date dates therefor, sufficiently prior to the date of the calling of such meeting or seeking of such consent, consent so as to enable ExchangeCo THC to perform its obligations under this Section 4.6.

ExchangeCo shall AcquisitionCo shall: (ai) prior to each annual annual, general or other D-Wave Quantum Meeting, special Meeting or the seeking of any Consent and (bii) forthwith upon each request made at any time by the Trustee in writing, prepare or cause to be prepared a list (a “List”) of the names and addresses of the Beneficiaries arranged in alphabetical order and showing the number of Exchangeable Shares held of record by each such Beneficiary, in each case at the close of business on the date specified by the Trustee in such request or, in the case of a List prepared in connection with a D-Wave Quantum MeetingMeeting or a Consent, at the close of business on the record date established by D-Wave Quantum Marathon or pursuant to applicable law for determining the holders of D-Wave Quantum Shares Marathon Shareholders entitled to receive notice of and/or to vote at such D-Wave Quantum MeetingMeeting or to give consent in connection with such Consent. Each such List shall be delivered to the Trustee promptly after receipt by ExchangeCo AcquisitionCo of such request or on the record date for such meeting andor seeking of consent, as the case may be, and in any event, event within sufficient time as to permit enable the Trustee to perform its obligations under this Agreementagreement. D-Wave Quantum Marathon agrees to give ExchangeCo AcquisitionCo written notice (with a copy to the Trustee) of the calling of any D-Wave Quantum Meeting or the seeking of any Consent, together with the record date dates therefor, sufficiently prior to the date of the calling of such meeting or seeking of such consent, consent so as to enable ExchangeCo AcquisitionCo to perform its obligations under this Section 4.6.
